Loyalty Program Terms

Effective Date: October 15, 2026 Version: 1.0 Applies to: All members of the Company's loyalty program.

Article 1: Introduction and Scope

1.1 This document governs the Company's loyalty program: membership, earning points, tiers, redemption, expiry, the financial incentive disclosure, abuse, and amendment or termination of the program. This document is the program instrument for the loyalty program and states program terms only.

1.2 The Terms of Use is the master agreement for use of the Platform and is incorporated by reference; this document does not restate that agreement. Combination of points with a Promotion is also governed by the Promotional Offers Terms.

1.3 If a provision of this document conflicts with the Terms of Use, this document controls for the program it governs. Policies and help pages explain this document; they do not amend it, and in any conflict this document prevails.

Article 2: Definitions

2.1 Account: the account a person or business establishes with the Company to use the Platform.

2.2 Buyer: a person who purchases Products or Services through the Platform.

2.3 Company: All About Pawz, LLC, a Tennessee limited liability company.

2.4 Member: a Buyer who has joined the loyalty program by the affirmative act described in clause 3.1.

2.5 Order: a Buyer's purchase of Products or Services through the Platform, accepted in accordance with the Order Formation and Acceptance Policy.

2.6 Platform: the websites, applications, and services the Company operates under the name All About Pawz, including aapawz.com.

2.7 Points: loyalty points recorded on a Member's Account under this document.

2.8 Products: goods offered for sale through the Platform.

2.9 Program Description: the published statement of the program's earn rates, tier thresholds and benefits, redemption options and values, and expiry schedule, as presented in the Account and in the Document Center.

2.10 Services: services offered through the Platform, including grooming, veterinary, pharmacy, and fulfillment services, as applicable.

Article 3: Membership; Nature of Points

3.1 Membership is free, is bound to a single Account, and requires an affirmative act of joining by the Account holder. No points accrue to a Buyer who has not joined, and no Buyer is enrolled by a pre-selected option at checkout.

3.2 Points are a loyalty benefit recorded on the Member's Account. Points have no cash value, are not currency, are not property transferable between Accounts, and shall not be sold, assigned, or converted to cash, except (a) redemption in accordance with Article 6, (b) a transfer feature the Program Description expressly permits for a defined circumstance, and (c) cash redemption where applicable law expressly requires it.

3.3 The Company shall keep a points record for each Member stating points earned, points redeemed, points forfeited, points expired, and the balance, and shall make that record available in the Account.

Article 4: Earning Points

4.1 Points accrue on eligible purchases at the earn rate stated in the Program Description, expressed as points per dollar of merchandise subtotal or as the Program Description otherwise states. The earn rate, tier multipliers, and bonus events in effect for a purchase are those stated in the Program Description at the time of that purchase.

4.2 Points are earned on the merchandise subtotal net of returns, refunds, and chargebacks. Where a Product on which points were earned, or were pending, is returned, the points attributable to that Product are forfeited or are not posted, as applicable.

4.3 The following do not earn points, and the Program Description shall state each exclusion before purchase: (a) purchase of a gift card, as governed by the Gift Card Terms; (b) tax; (c) shipping; and (d) any promotional, clearance, or other category the Program Description expressly excludes.

4.4 Points post after the return window for the purchase closes under the Returns and Refunds Policy. Points pending posting shall be visible in the Account as pending, with the expected posting date. A chargeback on a purchase reverses points posted or pending for that purchase.

Article 5: Tiers

5.1 The program may include tiers. Where tiers exist, the Program Description shall state, for each tier: the qualification threshold, the qualification period, the review cycle, and each benefit in concrete terms. A benefit described only in general words, without a stated benefit a Member can claim, is not a promised benefit.

5.2 A Member who qualifies for a tier retains that tier for the benefit period stated in the Program Description. The Company shall not change a tier threshold during a qualification or benefit period in a manner that removes members from a tier during that period.

5.3 A tier downgrade takes effect only in accordance with the published rules in the Program Description and on notice to the Member before the downgrade takes effect.

Article 6: Redemption

6.1 Points are redeemable for the redemption options, at the redemption values, stated in the Program Description. The redemption value shall be stated as the value the points carry in that redemption: for a discount redemption, the amount of the discount: and not as an unstated ratio.

6.2 Redemption is applied at checkout against eligible merchandise. Points shall not be redeemed for a gift card, shall not be combined beyond the combination rules in the Program Description and the Promotional Offers Terms, and shall not be applied retroactively to a past purchase.

6.3 Expired points are not redeemable.

6.4 A redemption is recorded against the Order and is reversed in proportion where the Order is refunded, subject to Article 4.

Article 7: Expiry of Points

7.1 Points expire in accordance with the expiry schedule stated in the Program Description, by inactivity period or by age of the points, as that schedule states. The expiry schedule shall be published, and the Account shall display the expiry date of points subject to expiry.

7.2 The Company shall give a Member advance notice before points expire, where the Program Description provides for such notice, in sufficient time for the Member to redeem the points before expiry. Points shall not be expired without the notice this clause requires where the Program Description provides for notice.

Article 8: Financial Incentive Notice; Withdrawal

8.1 Where the loyalty program is a financial incentive under applicable privacy law: value offered in connection with the collection or retention of personal information: the material terms are disclosed in the Privacy Policy: the categories of personal information concerned, the value of the incentive, and how a person opts in and withdraws.

8.2 A Member may withdraw from the program at any time through the Account. Withdrawal stops future earning. Unredeemed points on withdrawal are redeemed or forfeited in accordance with the wind-down terms stated at exit in the Account, which shall be stated plainly before the Member confirms withdrawal.

8.3 Withdrawal does not delete the transaction history the program has recorded. That history is retained and handled in accordance with the Privacy Policy.

Article 9: Abuse

9.1 Each of the following is program abuse: manufactured spending undertaken to earn points without a genuine purchase; earning points on purchases that are returned, in a repeated pattern; creating multiple Accounts to obtain new-member bonuses or other per-person benefits; and exploitation of an error in the earning calculation after the error is known.

9.2 Program abuse forfeits the points obtained by the abuse and may restrict or end program participation for the Member concerned, proportionate to the conduct.

9.3 Systematic abuse: including organized, large-scale manufactured spending or Account creation: is fraud governed by the Fraud and Abuse Policy. A Member whose Account is terminated for fraud forfeits all points on that Account. A Member in good standing who leaves the program voluntarily is governed by clause 8.2.

Article 10: Program Amendment and Termination

10.1 The Company may amend the program: earn rates, redemption values, tiers, and expiry: on advance notice in accordance with Article 14. An amendment applies prospectively: points already earned retain the redemption value in effect when the points were earned, for the honour period stated in the amendment notice. The Company shall not reduce the redemption value of points already earned with immediate effect.

10.2 If the Company terminates the program, points accrued at the date of the termination notice remain redeemable for a wind-down period of at least ninety (90) days from that notice. After the wind-down period, unredeemed points expire. Termination notice shall be given by email to Members and by notice in the Account.

10.3 Amendment or termination of the program does not affect an Order already placed, which is governed by the Terms in effect for that Order.

Article 11: Liability

11.1 Exclusion of certain damages. To the fullest extent permitted by law, neither party is liable to the other for indirect, incidental, special, punitive, or consequential damages, or for lost profits, lost revenue, or loss of goodwill, arising out of or relating to this document, even if the party has been advised of the possibility of those damages.

11.2 Cap. To the fullest extent permitted by law, the Company's total liability arising out of or relating to this document shall not exceed the greater of (a) the amounts the Member paid for the Order giving rise to the claim, or (b) one hundred dollars ($100).

11.3 Carve-outs. This Article does not limit (a) a party's indemnification obligations under this document; (b) liability for fraud or willful misconduct; (c) amounts owed for Orders or refunds under this document; or (d) liability that cannot be limited under applicable law.

11.4 Essential purpose. The parties agree that this Article allocates risk between them, that it is an essential part of the basis of their bargain, and that it applies even if a limited remedy fails of its essential purpose.

Article 12: Indemnification

12.1 Duty. The Member shall indemnify, defend, and hold harmless the Company and its members, managers, employees, and agents from and against every claim, demand, action, loss, liability, judgment, settlement, cost, and expense (including reasonable attorneys' fees) arising out of or relating to: (a) the Member's breach of this document; (b) program abuse by the Member; (c) the Member's violation of any law or of the rights of any person; and (d) taxes for which the Member is responsible under this document.

12.2 Procedure. The Company shall give prompt written notice of a claim under this Article. The Member shall control the defense with counsel reasonably acceptable to the Company. The Company may participate in the defense at its own expense. The Member shall not settle a claim in a manner that imposes any obligation or restriction on the Company, or that does not release the Company fully, without the Company's prior written consent.

12.3 Survival. This Article survives the termination of this document.

Article 13: Enforcement and Appeals

13.1 Investigation. The Company may investigate any suspected violation of this document. The Member shall cooperate with an investigation and shall produce the records this document requires the Member to keep.

13.2 Notice. If the Company determines that the Member has violated this document, the Company shall give written notice stating the provision violated and the facts relied on, except where notice would compromise an investigation of fraud, a safety risk, or a legal obligation.

13.3 Opportunity to cure. Where a violation is capable of cure, the Member has ten (10) business days from notice to cure it and to confirm the cure in writing. No cure period applies to fraud, counterfeiting, a risk to the safety of a person or an animal, unlawful conduct, or a violation that by its nature cannot be cured.

13.4 Measures. If a violation is established and is not cured within the period allowed, the Company may, proportionate to the violation: (a) issue a written warning; (b) forfeit points obtained by abuse and restrict program participation; (c) cancel an Order; (d) suspend the Account, in whole or in part; (e) terminate this document and the Account; and (f) exercise any other right or remedy available under this document or at law.

13.5 Appeal. The Member may appeal a measure under this Article by written notice to legal@aapawz.com within thirty (30) days of the measure, stating the grounds and attaching the records relied on. The appeal is decided by a person who did not make the original decision. The Company's decision on appeal is final. A measure remains in effect during an appeal unless the Company directs otherwise in writing.

13.6 No waiver by delay. The Company's delay in acting on a violation is not a waiver of the violation or of any later violation of the same kind.

Article 14: Term and Termination

14.1 Term. This document takes effect when the Member joins the program and continues until terminated under this Article.

14.2 Termination by the Company. The Company may terminate a Member's participation in the program, and where Article 13 so permits the Account, on thirty (30) days' written notice for any reason, and immediately on written notice if the Member materially breaches this document, engages in fraud, or becomes ineligible to participate. Termination of the program as a whole is governed by clause 10.2.

14.3 Termination by the Member. The Member may withdraw from the program in accordance with clause 8.2 at any time, and may terminate this document on thirty (30) days' written notice to support@aapawz.com, provided the Member has no Order or investigation outstanding.

14.4 Effect of termination. On termination of participation: (a) the rights granted under this document end, subject to clauses 8.2 and 10.2; (b) obligations that arose before termination: including refund, record-keeping, and indemnification obligations: survive until satisfied; and (c) the Company shall disburse amounts owed, less amounts the Company may set off under this document, within thirty (30) days, except amounts held in connection with an open investigation or dispute.

14.5 Survival. The Definitions, Liability, Indemnification, Enforcement and Appeals (for measures taken before termination), Dispute Resolution, and General Provisions Articles survive termination.

Article 15: Dispute Resolution

15.1 Any dispute arising out of or relating to this document, or to the relationship it governs, is governed by the Dispute Resolution Policy, which is incorporated into this document by reference.

Article 16: General Provisions

16.1 Amendments. The Company may amend this document by posting the amended document in the Document Center and giving notice to Members at the email address in the Account. An amendment that materially increases a Member's obligations takes effect thirty (30) days after notice; other amendments take effect on posting, subject to Article 10 for program changes. Continued participation in the program after the effective date of an amendment is acceptance of it. If a Member does not accept an amendment, the Member's remedy is to withdraw or terminate under Article 14 before the amendment takes effect.

16.2 Notices. (a) Legal notices under this document shall be sent to legal@aapawz.com. Operational notices and all other communications shall be sent to support@aapawz.com. A notice to the Company is effective when the Company acknowledges receipt or, for email, one business day after sending, whichever is earlier. (b) Notices to a Member are effective when sent to the email address in the Account or posted to the Account's notice facility in the portal, whichever occurs first. Each Member shall keep the email address in the Account current. (c) DMCA notices are given as provided in the DMCA and Copyright Policy, to the designated agent at legal@aapawz.com.

16.3 Governing law. This document is governed by the laws of the State of Tennessee, without regard to its conflict-of-laws rules. Subject to the Dispute Resolution Policy, any proceeding arising out of this document shall be brought in the state or federal courts located in Shelby County, Tennessee, and the parties consent to personal jurisdiction there.

16.4 Severability. If any provision of this document is held unenforceable, the provision shall be enforced to the fullest extent permitted, and the remaining provisions continue in full effect.

16.5 Entire agreement. This document, together with the documents it incorporates by reference and the Program Description in effect for the Member's points, is the entire agreement between the Company and the Member for the subject it governs and supersedes every prior or contemporaneous statement, communication, or agreement on that subject, whether written or oral.

16.6 Assignment. A Member shall not assign this document or any right or obligation under it without the Company's prior written consent, and an assignment without consent is void. The Company may assign this document to an affiliate or in connection with a sale of all or part of its business, on notice to Members.

16.7 Waiver. A waiver of any provision of this document is effective only in writing and only for the instance stated. No waiver is a waiver of any other provision or instance.

16.8 Interpretation. Headings are for convenience only. "Including" means "including without limitation." This document shall not be construed against a party as its drafter. The English-language text controls over any translation.
