Effective Date: October 15, 2026 Version: 1.0 Applies to: All brand owners who register a brand in the Brand Registry or seek to do so.
Article 1: Introduction and Scope
1.1 This document governs the Brand Registry: what a registry record contains, what registration confers on the Brand, what registration does not confer, the evidence on which registration rests, and the maintenance and term of a registry record. It binds every brand owner that applies for registration or holds a registry record.
1.2 The duties of a Seller in respect of a registered brand, including the duty not to list a gated brand without authorization, are governed by the Brand Registry Policy (Brand Registry Policy (Sellers)) and the Brand Gating Policy (Sellers) (Brand Gating Policy (Sellers)). This document states the Brand's rights and the Company's duties to the Brand and does not restate a Seller's duties.
1.3 If a provision of this document conflicts with the Terms of Use, this document controls for the subject it governs. If a provision of this document conflicts with the terms of a program in which the Brand participates, the program terms control for that program. Policies and help pages explain this document; they do not amend it, and in any conflict this document prevails.
Article 2: Definitions
2.1 Account: the account a person or business establishes with the Company to use the Platform.
2.2 Brand: a brand owner: a person or business that owns or controls a brand and that applies for registration or holds a registry record under this document.
2.3 Brand Registry: the registry maintained by the Company as the single record of brands recognized on the Platform, including the owner of record, the registry status, and the authoritative product data for each registered brand.
2.4 Buyer: a person who purchases Products or Services through the Platform.
2.5 Company: All About Pawz, LLC, a Tennessee limited liability company.
2.6 Owner of Record: the single entity recorded in the Brand Registry as entitled to exercise the rights of the Brand for a registered brand.
2.7 Platform: the websites, applications, and services the Company operates under the name All About Pawz, including aapawz.com.
2.8 Products: goods offered for sale through the Platform.
2.9 Registered Brand: a brand for which a registry record exists under this document.
2.10 Registry Status: the status of a registry record: pending (applied, not yet verified), verified (ownership confirmed and rights attached), suspended (rights paused and record retained), or removed (record retired from active use).
2.11 Seller: a person or business the Company has accepted to offer Products or Services through the Platform.
2.12 Services: services offered through the Platform, including grooming, veterinary, pharmacy, and fulfillment services, as applicable.
Article 3: Eligibility and Registration
3.1 Only the owner of a brand, or an agent holding current written authority from the owner, may apply to register the brand. A Seller that resells a brand, including an authorized reseller, shall not register a brand the Seller does not own. Registration is an act of ownership.
3.2 An application shall state: (a) the exact legal brand name; (b) the trademark registration number, where one exists, with the jurisdiction of registration; (c) the owner's legal entity name, formation jurisdiction, and contact information; (d) the product categories the brand covers; and (e) the official logo file and the official website address.
3.3 The Company shall review an application for completeness within five (5) business days of submission and shall itemize every missing item in writing. The Company shall decide a complete application within ten (10) business days. The decision period does not run while an application is incomplete.
3.4 Verification of ownership is governed by the Brand Ownership Verification Policy. A registry record shall not move from pending to verified until verification under that document is complete.
3.5 An application that names a brand the applicant does not own shall be denied. An application supported by false evidence is governed by Article 9.
Article 4: The Registry Record
4.1 The Brand Registry holds one record for one brand. Where two names denote the same commercial brand, the registry holds one record under the legal brand name. The Company shall merge duplicate records under clause 7.4.
4.2 A registry record carries, at minimum: the legal brand name as the Brand states it; a permanent address slug; a description; the official logo; the official website; the pricing tier; the Owner of Record; the Registry Status; the publication date; the live product count; and the wholesale-confirmation indicator.
4.3 The slug is permanent once published. A change of brand name does not change the slug. The Company may correct a slug only through a formal change procedure that records a redirect from the former slug, because authorizations, complaint histories, and enforcement records refer to the brand by its record and slug.
4.4 The live product count and the publication date are maintained by the Company. The Brand shall not edit those fields, and the Company shall keep them current without action by the Brand.
Article 5: Rights Conferred by Registration
5.1 A verified registry record confers on the Owner of Record the right to: (a) control the brand's detail pages and the authoritative product data presented for the brand on the Platform; (b) designate authorized Sellers for the brand, as governed by the Authorized Seller Policy; (c) request that the brand be gated, as governed by the Brand Gating Policy; (d) access the Brand Portal, as governed by the Brand Portal Terms; (e) supply brand assets and publish brand content requirements, as governed by the Brand Asset Standards and the Brand Listing Content Standards; and (f) file brand complaints through the channels the Company provides.
5.2 There is one Owner of Record for each Registered Brand. The Owner of Record is the single entity entitled to exercise the rights in clause 5.1. Where a brand is jointly owned, the owners shall designate one Owner of Record for Platform purposes; the owners' internal arrangement is governed by their own agreement and does not bind the Company.
5.3 The Company shall give effect to the Owner of Record's designation of authorized Sellers, and to a change to that designation, within one (1) business day of the update, as governed by the Authorized Seller Policy.
Article 6: What Registration Does Not Confer
6.1 Registration records a claim of ownership; registration does not adjudicate ownership. The Company records the claim that the evidence supports under the Brand Ownership Verification Policy. A court, and not the Company, decides ownership where ownership is genuinely in dispute.
6.2 Registration does not confer: (a) any trademark right the Brand does not otherwise hold; (b) exclusivity over generic or descriptive words comprised in a brand name; (c) a right to suppress the Company's own first-party listings of Products sold by the Company as "Sold by Pawz Shop"; or (d) a right to suppress a truthful statement, a use the law permits, or the lawful resale of genuine Products by an authorized Seller.
6.3 Verification under this document is not an evaluation of a brand's quality or market position, and is not a legal opinion on the validity of a mark or on infringement.
Article 7: Maintenance of the Record
7.1 The Brand shall report a change to its legal name, logo, website, or category coverage within thirty (30) days of the change. Loss caused by stale registry data that the Brand failed to update under this clause is borne by the Brand.
7.2 The Company shall maintain the system-maintained fields of the record and shall periodically identify records with no live Products, records whose website no longer resolves, and records whose Owner of Record appears to have ceased to exist.
7.3 Where a Registered Brand has no live Products for twelve (12) consecutive months, the Company may move the record to suspended on thirty (30) days' written notice to the Brand. Suspension pauses the exercise of owner rights but preserves the record, its history, and existing Seller authorizations. The Brand restores the record to verified by confirming in writing that the brand remains active in commerce.
7.4 Where two records represent one brand, the Company shall merge them: the surviving record is the older verified record, or the record supported by trademark verification where only one record qualifies; authorizations, complaints, and enforcement history are repointed to the surviving record; and the retired record's slug redirects to the surviving record permanently. The Company shall notify the Brand before a merge, and the Brand may object within fifteen (15) days with evidence that the records are genuinely distinct brands.
7.5 Where the Owner of Record ceases to exist and no successor completes verification within ninety (90) days, the Company shall move the record to suspended. No new owner rights are exercised for the brand until a successor with standing completes verification under the Brand Ownership Verification Policy.
Article 8: Transfer and Disputes
8.1 A transfer of ownership of a Registered Brand takes effect in the registry only on written evidence: an assignment agreement, an acquisition agreement, or a court order: and on re-verification under the Brand Ownership Verification Policy. Until re-verification is complete, the prior Owner of Record retains all rights, including the right to revoke authorizations, so that exactly one Owner of Record exists at all times.
8.2 Where two parties claim the same brand, the registry record freezes at its current status. Neither claimant may issue authorizations, file complaints, or change the record until the dispute is resolved under the Brand Ownership Verification Policy. Authorizations in force at the start of the freeze continue unchanged during the freeze.
Article 9: Fees
9.1 A fee is payable under this document only if the fee is stated in the Brand Program Fees Policy. No other charge of any kind is payable, and the Company shall not impose a fee that that document does not state. Registration, gating, and standard portal access carry no fee except as stated there.
Article 10: Liability
10.1 Exclusion of certain damages. To the fullest extent permitted by law, neither party is liable to the other for indirect, incidental, special, punitive, or consequential damages, or for lost profits, lost revenue, or loss of goodwill, arising out of or relating to this document, even if the party has been advised of the possibility of those damages.
10.2 Cap. To the fullest extent permitted by law, the Company's total liability arising out of or relating to this document shall not exceed the greater of (a) the amounts the Brand paid to the Company under this document in the twelve months before the event giving rise to the claim, or (b) one hundred dollars ($100).
10.3 Carve-outs. This Article does not limit (a) a party's indemnification obligations under this document; (b) liability for fraud or willful misconduct; (c) amounts the Brand owes for Orders, fees, chargebacks, or refunds under this document; or (d) liability that cannot be limited under applicable law.
10.4 Essential purpose. The parties agree that this Article allocates risk between them, that it is an essential part of the basis of their bargain, and that it applies even if a limited remedy fails of its essential purpose.
Article 11: Indemnification
11.1 Duty. The Brand shall indemnify, defend, and hold harmless the Company and its members, managers, employees, and agents from and against every claim, demand, action, loss, liability, judgment, settlement, cost, and expense (including reasonable attorneys' fees) arising out of or relating to: (a) the Brand's breach of this document; (b) the Brand's Products, listings, or content supplied by the Brand; (c) the Brand's violation of any law or of the rights of any person; (d) product liability and intellectual property infringement claims arising from the Brand's Products or from a claim of ownership the Brand asserted under this document, and product recall costs for the Brand's Products; and (e) taxes for which the Brand is responsible under this document.
11.2 Procedure. The Company shall give prompt written notice of a claim under this Article. The Brand shall control the defense with counsel reasonably acceptable to the Company. The Company may participate in the defense at its own expense. The Brand shall not settle a claim in a manner that imposes any obligation or restriction on the Company, or that does not release the Company fully, without the Company's prior written consent.
11.3 Survival. This Article survives the termination of this document.
Article 12: Enforcement and Appeals
12.1 Investigation. The Company may investigate any suspected violation of this document. The Brand shall cooperate with an investigation and shall produce the records this document requires the Brand to keep.
12.2 Notice. If the Company determines that the Brand has violated this document, the Company shall give written notice stating the provision violated and the facts relied on, except where notice would compromise an investigation of fraud, a safety risk, or a legal obligation.
12.3 Opportunity to cure. Where a violation is capable of cure, the Brand has ten (10) business days from notice to cure it and to confirm the cure in writing. No cure period applies to fraud, counterfeiting, a risk to the safety of a person or an animal, unlawful conduct, or a violation that by its nature cannot be cured. Failure to maintain the registry record under Article 7, after two notices in twelve (12) months, results in suspension of the record until the record is current.
12.4 Measures. If a violation is established and is not cured within the period allowed, the Company may, proportionate to the violation: (a) issue a written warning; (b) remove or suppress a listing or content; (c) cancel an Order or a booking; (d) suspend the Account or a program participation, in whole or in part; (e) terminate this document and the Account; and (f) exercise any other right or remedy available under this document or at law. Registering a brand the applicant does not own is a violation of this document; a knowingly false ownership claim, including a forged trademark certificate or a fabricated assignment, is fraud, results in denial of the application or removal of the record, and bars the applicant from the brand program.
12.5 Appeal. The Brand may appeal a measure under this Article by written notice to legal@aapawz.com within thirty (30) days of the measure, stating the grounds and attaching the records relied on. The appeal is decided by a person who did not make the original decision. The Company's decision on appeal is final. A measure remains in effect during an appeal unless the Company directs otherwise in writing.
12.6 No waiver by delay. The Company's delay in acting on a violation is not a waiver of the violation or of any later violation of the same kind.
Article 13: Term and Termination
13.1 Term. This document takes effect when the Brand registers a brand in the Brand Registry and continues until terminated under this Article. Removal of a registry record and the effect of removal are governed by the Brand Registry Removal & Termination Policy.
13.2 Termination by the Company. The Company may terminate this document and the Account on thirty (30) days' written notice for any reason, and immediately on written notice if the Brand materially breaches this document, engages in fraud, or becomes ineligible to participate.
13.3 Termination by the Brand. The Brand may terminate this document on thirty (30) days' written notice to support@aapawz.com, provided the Brand has no complaint, authorization, or investigation outstanding.
13.4 Effect of termination. On termination: (a) the rights granted under this document end; (b) obligations that arose before termination: including payment, record-keeping, and indemnification obligations: survive until satisfied; and (c) the Company shall disburse amounts owed, less amounts the Company may set off under this document, within thirty (30) days, except amounts held in connection with an open investigation or dispute.
13.5 Survival. The Definitions, Fees (for accrued amounts), Liability, Indemnification, Enforcement and Appeals (for measures taken before termination), Dispute Resolution, and General Provisions Articles survive termination.
Article 14: Dispute Resolution
14.1 Any dispute arising out of or relating to this document, or to the relationship it governs, is governed by the Dispute Resolution Policy, which is incorporated into this document by reference.
Article 15: General Provisions
15.1 Amendments. The Company may amend this document by posting the amended document in the Document Center and giving notice to the Brand at the email address in the Account. An amendment that materially increases the Brand's fees or obligations takes effect thirty (30) days after notice; other amendments take effect on posting. Continued use of the Platform after the effective date of an amendment is acceptance of it. If the Brand does not accept an amendment, the Brand's remedy is to terminate under Article 13 before the amendment takes effect.
15.2 Notices. (a) Legal notices under this document shall be sent to legal@aapawz.com. Operational notices and all other communications shall be sent to support@aapawz.com. A notice to the Company is effective when the Company acknowledges receipt or, for email, one business day after sending, whichever is earlier. (b) Notices to the Brand are effective when sent to the email address in the Account or posted to the Account's notice facility in the portal, whichever occurs first. The Brand shall keep the email address in the Account current. (c) DMCA notices are given as provided in the DMCA and Copyright Policy, to the designated agent at legal@aapawz.com.
15.3 Governing law. This document is governed by the laws of the State of Tennessee, without regard to its conflict-of-laws rules. Subject to the Dispute Resolution Policy, any proceeding arising out of this document shall be brought in the state or federal courts located in Shelby County, Tennessee, and the parties consent to personal jurisdiction there.
15.4 Severability. If any provision of this document is held unenforceable, the provision shall be enforced to the fullest extent permitted, and the remaining provisions continue in full effect.
15.5 Entire agreement. This document, together with the documents it incorporates by reference, is the entire agreement between the Company and the Brand for the subject it governs and supersedes every prior or contemporaneous statement, communication, or agreement on that subject, whether written or oral.
15.6 Assignment. The Brand shall not assign this document or any right or obligation under it without the Company's prior written consent, and an assignment without consent is void. The Company may assign this document to an affiliate or in connection with a sale of all or part of its business, on notice to the Brand.
15.7 Waiver. A waiver of any provision of this document is effective only in writing and only for the instance stated. No waiver is a waiver of any other provision or instance.
15.8 Interpretation. Headings are for convenience only. "Including" means "including without limitation." This document shall not be construed against a party as its drafter. The English-language text controls over any translation.
