Terms of Use

Effective Date: October 15, 2026 Version: 1.0 Applies to: All persons who access or use the Platform.

Article 1: Introduction and Scope

1.1 This document is the master agreement between All About Pawz, LLC (the "Company") and each person who accesses or uses the Platform. It governs access to and use of the Platform, the purchase of Products and Services through the Platform, and the rights and obligations of the Company, Buyers, Sellers, and other Users in that use.

1.2 A User accepts this document by creating an Account, by placing an Order, or by accessing or using the Platform after this document has been posted. A User who does not accept this document shall not use the Platform.

1.3 If a provision of this document conflicts with a provision of another Company policy that governs a specific subject, the specific policy controls for that subject. If a provision of this document conflicts with the terms of a program in which the User participates, the program terms control for that program. Policies and help pages explain this document; they do not amend it, and in any conflict this document prevails, except as the preceding sentences provide for a specific policy or program terms.

1.4 The Conditions of Use states the conditions that apply to use of the Site and is subject to this document as there stated. Service and program instruments: including the Selling Terms of Service for Sellers and the Telemedicine Terms of Service for telemedicine consultations: are separate instruments that govern their subjects in addition to this document; none of them is a part of, or a substitute for, this document.

Article 2: Definitions

2.1 In this document Account: the account a person or business establishes with the Company to use the Platform.

Buyer: a person who purchases Products or Services through the Platform.

Company: All About Pawz, LLC, a Tennessee limited liability company.

Order: a Buyer's purchase of Products or Services through the Platform, accepted in accordance with the Order Formation and Acceptance Policy.

Platform: the websites, applications, and services the Company operates under the name All About Pawz, including aapawz.com.

Products: goods offered for sale through the Platform.

Seller: a person or business the Company has accepted to offer Products or Services through the Platform.

Services: services offered through the Platform, including grooming, veterinary, pharmacy, and fulfillment services, as applicable.

Site: aapawz.com and its subdomains.

User: any person who accesses or uses the Platform, whether or not the person holds an Account.

User Content: content a User submits to the Platform, including listings, reviews, photographs, and messages.

Article 3: Eligibility and Accounts

3.1 A User shall be at least 18 years of age, or the age of majority in the jurisdiction in which the User resides, whichever is greater, to create an Account or place an Order. A User who creates an Account for a business represents that the User has authority to bind that business to this document.

3.2 The User shall provide complete and accurate information when creating an Account and shall keep that information current. Account registration and security are governed by the Account Registration and Security Policy.

3.3 The User shall keep Account credentials confidential and shall not permit another person to use the User's Account. The User is responsible for every act taken through the User's Account, whether or not the User authorized the act, except where the act results from the Company's failure to apply the security measures stated in the Account Registration and Security Policy.

3.4 The Company may refuse to create an Account, and may require verification of identity or eligibility, where the Company has a reasonable basis to do so under this document or applicable law.

Article 4: The Platform and the Services

4.1 The Platform is a marketplace and services platform operated by the Company. Through the Platform, the Company sells Products and Services of its own, and Sellers offer Products and Services of their own, and Users may purchase those Products and Services and use the Platform's account, communication, and support facilities.

4.2 The Company may add, change, or discontinue a feature, Product category, or Service of the Platform. A change that materially increases a User's obligations under this document is an amendment governed by Article 18.

4.3 The Company shall operate the Platform with reasonable care and skill. The Company does not promise that the Platform is uninterrupted or free of error, and Article 12 states the disclaimers that apply.

Article 5: First-Party and Third-Party Sales

5.1 Products sold by the Company are identified as "Sold by Pawz Shop." Products sold by a Seller are identified as "Sold by" followed by the Seller's name. The identity of the seller of each Product is stated on the Product's page and in the Order summary before the Buyer completes checkout.

5.2 For a first-party sale, the Company is the seller, and the contract of sale is between the Company and the Buyer.

5.3 For a third-party sale, the Seller is the seller and the merchant of record for that sale, and the contract of sale is between the Buyer and the Seller. The Company is not the seller of a third-party Product, is not a party to the contract of sale for that Product, and does not take title to a third-party Product. The Seller's obligations to the Buyer for a third-party sale are governed by the Selling Terms of Service and by the policies this document incorporates.

5.4 Where the Company collects payment for a third-party sale, the Company collects as the Seller's agent for collection only, in accordance with the Payment Terms. Collection by the Company does not make the Company the seller of the Product.

5.5 The Buyer-protection, return, and refund rights that apply to a third-party sale are stated in the Returns and Refunds Policy. A Buyer's rights under that policy are not reduced by the allocation of the contract of sale in clause 5.3.

Article 6: Acceptable Use

6.1 The User shall use the Platform only for lawful purposes and in accordance with this document and the Acceptable Use Policy, which states the conduct prohibited on the Platform, including fraud, counterfeiting, infringement of intellectual property rights, harassment, interference with the Platform's security, unauthorized collection of data from the Platform, and conduct that endangers a person or an animal.

6.2 The Acceptable Use Policy is incorporated into this document by reference. A violation of that policy is a violation of this document.

Article 7: User Content and License

7.1 The User retains ownership of the User Content the User submits. The User is responsible for the User Content the User submits and represents that the User holds the rights necessary to submit it and that it does not infringe the rights of any person or violate any law.

7.2 By submitting User Content, the User grants the Company a worldwide, non-exclusive, royalty-free license to use, reproduce, display, distribute, and make technical copies and adaptations of the User Content in connection with operating and improving the Platform, as further stated in the User Content and Reviews Policy. That policy governs reviews, questions, answers, and photographs in detail, including the limits on the license and the User's right to request removal of the User's own content.

7.3 The Company may remove User Content that violates this document, another Company policy, or applicable law, in accordance with Article 15.

Article 8: Intellectual Property of the Company

8.1 The Platform, the Site, and their contents, software, designs, text, graphics, and marks are the property of the Company or its licensors and are protected by copyright, trademark, and other laws. Except as this document expressly permits, the User acquires no right, title, or interest in the Platform or its contents by using it.

8.2 The User shall not copy, reproduce, scrape, or extract Platform content or data except as the Platform's ordinary functions permit or as the Company permits in writing. The Intellectual Property Policy states the parties' intellectual property rights and duties in full. Copyright claims are governed by the DMCA and Copyright Policy, and trademark and brand matters by the Trademark and Brand Protection Policy.

Article 9: Orders, Payment, Shipping, and Returns

9.1 The formation and acceptance of an Order, including when an offer is made and when a contract is formed, is governed by the Order Formation and Acceptance Policy.

9.2 Payment, including the payment methods accepted, authorization, and the collection of payment for third-party sales, is governed by the Payment Terms. Taxes on an Order are governed by the Marketplace Facilitator Tax Policy.

9.3 Shipping and delivery are governed by the Shipping and Delivery Policy. Returns and refunds are governed by the Returns and Refunds Policy.

9.4 Prices, availability, and the treatment of pricing errors are governed by the Pricing, Availability and Errors Policy. Product information in listings is governed by the Product Information Disclaimer.

Article 10: Services Offered Through the Platform

10.1 Grooming, veterinary, pharmacy, and other Services offered through the Platform are governed by the terms for those Services in addition to this document. A Seller or provider of Services is responsible for the Services that provider performs.

10.2 Veterinary and pharmacy Services are subject to the law of the state in which the patient is located, including licensure and the veterinarian-client-patient relationship. No provision of this document authorizes the practice of veterinary medicine or pharmacy that applicable law forbids, and no provision promises a clinical outcome.

10.3 Telemedicine consultations booked through the Platform are governed by the Telemedicine Terms of Service, which is a separate instrument and applies in addition to this document. The automated tele-triage service is a different service, governed by the Tele-Triage Terms; tele-triage is not a telemedicine consultation and does not establish a veterinarian-client-patient relationship.

Article 11: Fees

11.1 A Buyer pays the price of the Products and Services in the Order, the shipping charges, and the taxes stated in the Order summary at checkout. No other charge is payable by a Buyer for the purchase itself, and the Company shall not impose a charge on a Buyer that the Order summary does not state.

11.2 Fees payable by Sellers and by participants in Company programs are stated in the fee schedule or program terms that govern that participation, and not in this document.

Article 12: Disclaimers

12.1 Except as a specific policy or the law expressly provides otherwise, the Platform and the Services are provided as available, and the Company disclaims warranties of merchantability, fitness for a particular purpose, and non-infringement to the fullest extent permitted by law.

12.2 The Company does not warrant the accuracy of Product information supplied by a Seller or a supplier. The allocation of responsibility for listing accuracy, and the Buyer's remedies where a Product is not as described, are stated in the Product Information Disclaimer and the Returns and Refunds Policy. Manufacturer and Product warranties, where they exist, are governed by the Warranty Policy.

12.3 No disclaimer in this document limits a right that applicable law does not permit to be limited.

Article 13: Liability

13.1 Exclusion of certain damages. To the fullest extent permitted by law, neither party is liable to the other for indirect, incidental, special, punitive, or consequential damages, or for lost profits, lost revenue, or loss of goodwill, arising out of or relating to this document, even if the party has been advised of the possibility of those damages.

13.2 Cap. To the fullest extent permitted by law, the Company's total liability arising out of or relating to this document shall not exceed the greater of (a) the amounts the Buyer paid for the Order giving rise to the claim, or (b) one hundred dollars ($100).

13.3 Carve-outs. This article does not limit (a) a party's indemnification obligations under this document; (b) liability for fraud or willful misconduct; (c) amounts a party owes for Orders, fees, chargebacks, or refunds under this document; or (d) liability that cannot be limited under applicable law.

13.4 Essential purpose. The parties agree that this article allocates risk between them, that it is an essential part of the basis of their bargain, and that it applies even if a limited remedy fails of its essential purpose.

Article 14: Indemnification

14.1 Duty. The User shall indemnify, defend, and hold harmless the Company and its members, managers, employees, and agents from and against every claim, demand, action, loss, liability, judgment, settlement, cost, and expense (including reasonable attorneys' fees) arising out of or relating to: (a) the User's breach of this document; (b) the User's User Content; (c) the User's misuse of the Platform; and (d) the User's violation of any law or of the rights of any person.

14.2 Procedure. The Company shall give prompt written notice of a claim under this article. The User shall control the defense with counsel reasonably acceptable to the Company. The Company may participate in the defense at its own expense. The User shall not settle a claim in a manner that imposes any obligation or restriction on the Company, or that does not release the Company fully, without the Company's prior written consent.

14.3 Survival. This article survives the termination of this document.

Article 15: Enforcement and Appeals

15.1 Investigation. The Company may investigate any suspected violation of this document. The User shall cooperate with an investigation and shall produce the records this document requires the User to keep.

15.2 Notice. If the Company determines that the User has violated this document, the Company shall give written notice stating the provision violated and the facts relied on, except where notice would compromise an investigation of fraud, a safety risk, or a legal obligation.

15.3 Opportunity to cure. Where a violation is capable of cure, the User has ten (10) business days from notice to cure it and to confirm the cure in writing. No cure period applies to fraud, counterfeiting, a risk to the safety of a person or an animal, unlawful conduct, or a violation that by its nature cannot be cured.

15.4 Measures. If a violation is established and is not cured within the period allowed, the Company may, proportionate to the violation: (a) issue a written warning; (b) remove or suppress a listing or content; (c) cancel an Order or a booking; (d) suspend the Account or a program participation, in whole or in part; (e) terminate this document and the Account; and (f) exercise any other right or remedy available under this document or at law.

15.5 Appeal. The User may appeal a measure under this article by written notice to legal@aapawz.com within thirty (30) days of the measure, stating the grounds and attaching the records relied on. The appeal is decided by a person who did not make the original decision. The Company's decision on appeal is final. A measure remains in effect during an appeal unless the Company directs otherwise in writing.

15.6 No waiver by delay. The Company's delay in acting on a violation is not a waiver of the violation or of any later violation of the same kind.

Article 16: Term and Termination

16.1 Term. This document takes effect when the User first accesses or uses the Platform and continues until terminated under this article.

16.2 Termination by the Company. The Company may terminate this document and the Account on thirty (30) days' written notice for any reason, and immediately on written notice if the User materially breaches this document, engages in fraud, or becomes ineligible to participate.

16.3 Termination by the User. The User may terminate this document on thirty (30) days' written notice to support@aapawz.com, or by closing the Account, provided the User has no Order, booking, or investigation outstanding.

16.4 Effect of termination. On termination: (a) the rights granted under this document end; (b) obligations that arose before termination: including payment, refund, chargeback, record-keeping, and indemnification obligations: survive until satisfied; and (c) the Company shall pay amounts owed, less amounts the Company may set off under this document, within thirty (30) days, except amounts held in connection with an open investigation or dispute.

16.5 Survival. The Definitions, Liability, Indemnification, Enforcement and Appeals (for measures taken before termination), Dispute Resolution, and General Provisions articles survive termination.

Article 17: Dispute Resolution

17.1 Any dispute arising out of or relating to this document, or to the relationship it governs, is governed by the Dispute Resolution Policy, which is incorporated into this document by reference.

Article 18: General Provisions

18.1 Amendments. The Company may amend this document by posting the amended document in the Document Center and giving notice to the User at the email address in the Account. An amendment that materially increases the User's fees or obligations takes effect thirty (30) days after notice; other amendments take effect on posting. Continued use of the Platform after the effective date of an amendment is acceptance of it. If the User does not accept an amendment, the User's remedy is to terminate under Article 16 before the amendment takes effect.

18.2 Notices. Legal notices under this document shall be sent to legal@aapawz.com. Operational notices and all other communications shall be sent to support@aapawz.com. A notice to the Company is effective when the Company acknowledges receipt or, for email, one business day after sending, whichever is earlier. Notices to the User are effective when sent to the email address in the Account or posted to the Account's notice facility in the portal, whichever occurs first. The User shall keep the email address in the Account current. DMCA notices are given as provided in the DMCA and Copyright Policy, to the designated agent at legal@aapawz.com.

18.3 Governing law. This document is governed by the laws of the State of Tennessee, without regard to its conflict-of-laws rules. Subject to the Dispute Resolution Policy, any proceeding arising out of this document shall be brought in the state or federal courts located in Shelby County, Tennessee, and the parties consent to personal jurisdiction there.

18.4 Severability. If any provision of this document is held unenforceable, the provision shall be enforced to the fullest extent permitted, and the remaining provisions continue in full effect.

18.5 Entire agreement. This document, together with the documents it incorporates by reference, is the entire agreement between the Company and the User for the subject it governs and supersedes every prior or contemporaneous statement, communication, or agreement on that subject, whether written or oral.

18.6 Assignment. The User shall not assign this document or any right or obligation under it without the Company's prior written consent, and an assignment without consent is void. The Company may assign this document to an affiliate or in connection with a sale of all or part of its business, on notice to the User.

18.7 Waiver. A waiver of any provision of this document is effective only in writing and only for the instance stated. No waiver is a waiver of any other provision or instance.

18.8 Interpretation. Headings are for convenience only. "Including" means "including without limitation." This document shall not be construed against a party on the ground that the party prepared it. The English-language text controls over any translation.
