Gift Card Terms

Effective Date: October 15, 2026 Version: 1.0 Applies to: All purchasers, recipients, and holders of gift cards issued by the Company, and all holders of Store Credit on the Platform.

Article 1: Introduction and Scope

1.1 This document governs gift cards issued by the Company and Store Credit held on an Account: purchase and issuance, redemption, expiration and fees, refunds, loss and fraud, and unclaimed property. This document is the program instrument for gift cards and Store Credit.

1.2 Use of a gift card or Store Credit as payment for an Order is also governed by the Payment Terms, which govern tender and refund routing, and by the Returns and Refunds Policy, which governs the return that gives rise to a refund.

1.3 If a provision of this document conflicts with the Terms of Use, this document controls for the subject it governs. If a provision of this document conflicts with the terms of another program in which the holder participates, the program terms control for that program. Policies and help pages explain this document; they do not amend it, and in any conflict this document prevails.

Article 2: Definitions

2.1 Account: the account a person or business establishes with the Company to use the Platform.

2.2 Buyer: a person who purchases Products or Services through the Platform.

2.3 Company: All About Pawz, LLC, a Tennessee limited liability company.

2.4 Gift Card: a stored-value instrument issued by the Company, denominated in United States dollars and identified by a card number, redeemable on the Site for eligible Products and Services.

2.5 Holder: a person who holds a Gift Card or Store Credit, whether as purchaser, recipient, or redeemer.

2.6 Order: a Buyer's purchase of Products or Services through the Platform, accepted in accordance with the Order Formation and Acceptance Policy.

2.7 Platform: the websites, applications, and services the Company operates under the name All About Pawz, including aapawz.com.

2.8 Products: goods offered for sale through the Platform.

2.9 Services: services offered through the Platform, including grooming, veterinary, pharmacy, and fulfillment services, as applicable.

2.10 Site: aapawz.com and its subdomains.

2.11 Store Credit: stored value held on a Buyer's Account, arising from a refund issued as credit or from another issuance the Company states, redeemable by the Account holder on the Site.

Article 3: Nature of Gift Cards and Store Credit

3.1 A Gift Card is a promise by the Company, recorded against the card number, that the stated value shall be honoured at checkout for eligible Products and Services on the Site. A Gift Card is not a bank account, not a credit card, not a debit account, and not legal tender.

3.2 Store Credit has the same stored-value character as a Gift Card, except that Store Credit is tied to an Account rather than to a card number and is redeemable only by that Account holder. Store Credit ordinarily arises where a refund is issued as credit; a Gift Card is purchased or given.

3.3 Gift Cards and Store Credit are issued by the Company and are redeemable only on the Site, and at a physical point of sale only where that point of sale validates the card number or the Account credit at the time of sale.

3.4 The balance recorded by the Company for a Gift Card or for Store Credit is the balance available for redemption.

Article 4: Purchase and Issuance

4.1 Gift Cards are sold in the denominations offered at the time of purchase. The purchaser selects the amount, pays by an accepted Payment Method, and receives the card number and redemption instructions. Delivery is electronic unless a physical card product is offered for that purchase.

4.2 A Gift Card shall not be purchased with another Gift Card or with Store Credit.

4.3 Bulk and corporate purchases are available through the Company's business purchase process. A bulk purchaser receives the card numbers in bulk; activation and value are identical to retail Gift Cards.

4.4 The Company shall keep a record for each Gift Card and each Store Credit balance stating the amount issued, the amounts applied and refunded, and the current balance.

Article 5: Redemption

5.1 A Holder redeems a Gift Card by entering or presenting the card number at checkout. The available balance shall be displayed before the Gift Card is applied.

5.2 A Gift Card applies to the Order total, including tax and shipping. Partial redemption is permitted: the amount applied reduces the Order total, and the remaining value stays on the Gift Card. A Gift Card is not deleted at a zero balance; the card record is retained, which permits refund routing under Article 7.

5.3 Split tender is permitted in accordance with the Payment Terms. Gift Cards and Store Credit are applied before card charges. A Gift Card does not make change: value not applied remains on the Gift Card and is not paid in cash, except as Article 7 and applicable law provide.

5.4 Store Credit is redeemed only by the Account holder to whom the credit belongs. The Company may require identity confirmation for a redemption where the amount or the circumstances give rise to a reasonable security concern.

5.5 Gift Cards and Store Credit shall not be sold, assigned, or exchanged for cash by a Holder, except where applicable law requires cash redemption under Article 7.

Article 6: Expiration and Fees

6.1 A Gift Card does not expire earlier than applicable law permits. Where applicable law permits no expiration, the Gift Card balance does not expire. No dormancy fee, service fee, or other fee shall reduce a Gift Card balance, except where applicable law affirmatively permits the fee and the fee was disclosed at issuance.

6.2 Store Credit does not expire unless the terms of the specific issuance state an expiry at the time the credit is issued. An expiry not disclosed at issuance is not effective.

Article 7: Cash Redemption, Refunds, and the Tender Order

7.1 No cash redemption of a Gift Card or Store Credit is available except where applicable law requires cash redemption of a remaining balance. Where such a law applies, the Company shall redeem the balance in cash as that law requires, on request to support@aapawz.com with the card number or Account identification.

7.2 An Order paid in whole or in part with a Gift Card is refunded to the Gift Card first, restoring the card balance, in accordance with the Payment Terms and the Returns and Refunds Policy. An amount paid by another tender beyond the Gift Card's contribution is refunded to that tender in proportion to its contribution.

7.3 A refund of Store Credit returns to the Store Credit balance on the Account.

7.4 A refund is never issued as cash where the original tender was a Gift Card, except where clause 7.1 and applicable law require cash redemption.

Article 8: Loss, Theft, and Fraud

8.1 A Holder shall safeguard a Gift Card number as cash: the value is held against the number, and a person in possession of the number may redeem the value.

8.2 A lost or stolen Gift Card is replaced only on proof of purchase, including an Order confirmation or receipt, and only the remaining balance is reissued on a new number. Without proof of purchase, no reissue is available.

8.3 A Gift Card obtained by fraud: including purchase with a stolen payment instrument, procurement through deception of the issuance process, or exploitation of a system defect: is void. An Order placed with a fraudulent Gift Card shall be cancelled, shipment shall be intercepted where possible, and the conduct is governed by the Fraud and Abuse Policy.

8.4 A Holder who observes an unexpected change in a Gift Card balance shall report the change promptly to support@aapawz.com with the card number and proof of purchase. The Company shall investigate against the card's transaction history, which records every application and refund.

Article 9: Unclaimed Property

9.1 An unused Gift Card balance is subject to the unclaimed property laws of the applicable state. Where a state's law requires remittance of abandoned stored value after the dormancy period that law prescribes, the Company shall remit the value to that state as required. Value remitted under this Article goes to the state, not to the Company's revenue, and the Holder's claim, if any, is then against the state as that state's law provides.

9.2 The Company shall keep records of remittances under this Article sufficient to identify the card, the amount, and the state to which the amount was remitted.

Article 10: Program Amendment and Termination

10.1 The Company may amend the gift card program prospectively in accordance with Article 15. No amendment shall reduce a balance already issued, impose a fee not disclosed at issuance, or shorten an expiry period for a Gift Card already issued, except where applicable law requires the change.

10.2 If the Company terminates the gift card program, Gift Cards already issued remain redeemable in accordance with Article 6, and clause 7.1 continues to apply. Termination of the program ends new issuance only, unless the termination notice states a redemption end date permitted by applicable law and gives Holders notice of that date in accordance with Article 15.

Article 11: Liability

11.1 Exclusion of certain damages. To the fullest extent permitted by law, neither party is liable to the other for indirect, incidental, special, punitive, or consequential damages, or for lost profits, lost revenue, or loss of goodwill, arising out of or relating to this document, even if the party has been advised of the possibility of those damages.

11.2 Cap. To the fullest extent permitted by law, the Company's total liability arising out of or relating to this document shall not exceed the greater of (a) the amounts the Holder paid for the Order or Gift Card giving rise to the claim, or (b) one hundred dollars ($100).

11.3 Carve-outs. This Article does not limit (a) a party's indemnification obligations under this document; (b) liability for fraud or willful misconduct; (c) amounts owed for Orders, refunds, or Gift Card balances under this document; or (d) liability that cannot be limited under applicable law.

11.4 Essential purpose. The parties agree that this Article allocates risk between them, that it is an essential part of the basis of their bargain, and that it applies even if a limited remedy fails of its essential purpose.

Article 12: Indemnification

12.1 Duty. The Holder shall indemnify, defend, and hold harmless the Company and its members, managers, employees, and agents from and against every claim, demand, action, loss, liability, judgment, settlement, cost, and expense (including reasonable attorneys' fees) arising out of or relating to: (a) the Holder's breach of this document; (b) the Holder's fraudulent procurement or use of a Gift Card; (c) the Holder's violation of any law or of the rights of any person; and (d) taxes for which the Holder is responsible under this document.

12.2 Procedure. The Company shall give prompt written notice of a claim under this Article. The Holder shall control the defense with counsel reasonably acceptable to the Company. The Company may participate in the defense at its own expense. The Holder shall not settle a claim in a manner that imposes any obligation or restriction on the Company, or that does not release the Company fully, without the Company's prior written consent.

12.3 Survival. This Article survives the termination of this document.

Article 13: Enforcement and Appeals

13.1 Investigation. The Company may investigate any suspected violation of this document. The Holder shall cooperate with an investigation and shall produce the records this document requires the Holder to keep.

13.2 Notice. If the Company determines that the Holder has violated this document, the Company shall give written notice stating the provision violated and the facts relied on, except where notice would compromise an investigation of fraud, a safety risk, or a legal obligation.

13.3 Opportunity to cure. Where a violation is capable of cure, the Holder has ten (10) business days from notice to cure it and to confirm the cure in writing. No cure period applies to fraud, counterfeiting, a risk to the safety of a person or an animal, unlawful conduct, or a violation that by its nature cannot be cured.

13.4 Measures. If a violation is established and is not cured within the period allowed, the Company may, proportionate to the violation: (a) issue a written warning; (b) void a Gift Card obtained by fraud; (c) cancel an Order; (d) suspend the Account, in whole or in part; (e) terminate this document and the Account; and (f) exercise any other right or remedy available under this document or at law.

13.5 Appeal. The Holder may appeal a measure under this Article by written notice to legal@aapawz.com within thirty (30) days of the measure, stating the grounds and attaching the records relied on. The appeal is decided by a person who did not make the original decision. The Company's decision on appeal is final. A measure remains in effect during an appeal unless the Company directs otherwise in writing.

13.6 No waiver by delay. The Company's delay in acting on a violation is not a waiver of the violation or of any later violation of the same kind.

Article 14: Term and Termination

14.1 Term. This document takes effect when a Gift Card is purchased or Store Credit is issued, and continues until terminated under this Article.

14.2 Termination by the Company. The Company may terminate this document and the Account on thirty (30) days' written notice for any reason, and immediately on written notice if the Holder materially breaches this document, engages in fraud, or becomes ineligible to participate.

14.3 Termination by the Holder. The Holder may terminate this document on thirty (30) days' written notice to support@aapawz.com, provided the Holder has no Order or investigation outstanding. Termination by the Holder does not extinguish a Gift Card balance, which remains governed by Articles 6, 7, and 9.

14.4 Effect of termination. On termination: (a) the rights granted under this document end, except as clause 14.3 provides for balances; (b) obligations that arose before termination: including refund, record-keeping, and indemnification obligations: survive until satisfied; and (c) the Company shall disburse amounts owed, less amounts the Company may set off under this document, within thirty (30) days, except amounts held in connection with an open investigation or dispute.

14.5 Survival. The Definitions, Liability, Indemnification, Enforcement and Appeals (for measures taken before termination), Dispute Resolution, and General Provisions Articles survive termination.

Article 15: Dispute Resolution

15.1 Any dispute arising out of or relating to this document, or to the relationship it governs, is governed by the Dispute Resolution Policy, which is incorporated into this document by reference.

Article 16: General Provisions

16.1 Amendments. The Company may amend this document by posting the amended document in the Document Center and giving notice to Holders at the email address in the Account. An amendment that materially increases a Holder's obligations takes effect thirty (30) days after notice; other amendments take effect on posting. Continued use of the Platform after the effective date of an amendment is acceptance of it, subject to clause 10.1. If a Holder does not accept an amendment, the Holder's remedy is to terminate under Article 14 before the amendment takes effect.

16.2 Notices. (a) Legal notices under this document shall be sent to legal@aapawz.com. Operational notices and all other communications shall be sent to support@aapawz.com. A notice to the Company is effective when the Company acknowledges receipt or, for email, one business day after sending, whichever is earlier. (b) Notices to a Holder are effective when sent to the email address in the Account or posted to the Account's notice facility in the portal, whichever occurs first. Each Holder shall keep the email address in the Account current. (c) DMCA notices are given as provided in the DMCA and Copyright Policy, to the designated agent at legal@aapawz.com.

16.3 Governing law. This document is governed by the laws of the State of Tennessee, without regard to its conflict-of-laws rules. Subject to the Dispute Resolution Policy, any proceeding arising out of this document shall be brought in the state or federal courts located in Shelby County, Tennessee, and the parties consent to personal jurisdiction there.

16.4 Severability. If any provision of this document is held unenforceable, the provision shall be enforced to the fullest extent permitted, and the remaining provisions continue in full effect.

16.5 Entire agreement. This document, together with the documents it incorporates by reference, is the entire agreement between the Company and the Holder for the subject it governs and supersedes every prior or contemporaneous statement, communication, or agreement on that subject, whether written or oral.

16.6 Assignment. A Holder shall not assign this document or any right or obligation under it without the Company's prior written consent, and an assignment without consent is void. The Company may assign this document to an affiliate or in connection with a sale of all or part of its business, on notice to the Holder.

16.7 Waiver. A waiver of any provision of this document is effective only in writing and only for the instance stated. No waiver is a waiver of any other provision or instance.

16.8 Interpretation. Headings are for convenience only. "Including" means "including without limitation." This document shall not be construed against a party as its drafter. The English-language text controls over any translation.
