Effective Date: October 15, 2026 Version: 1.0 Applies to: All Buyers who place Orders through the Platform, and all Sellers who fulfil Orders placed through the Platform.
Article 1: Introduction and Scope
1.1 This document governs when an Order is formed, when an Order is accepted, with whom the contract of sale is made, when an Order may be declined or cancelled, and what acceptance triggers. It binds every Buyer who submits an Order through the Platform and every Seller who offers Products through the Platform.
1.2 The Payment Terms govern payment for an Order, the Shipping and Delivery Policy governs delivery of an accepted Order, and the Returns and Refunds Policy governs returns after delivery.
1.3 If a provision of this document conflicts with the Terms of Use, this document controls for the subject it governs. If a provision of this document conflicts with the terms of a program in which the Buyer or the Seller participates, the program terms control for that program. Policies and help pages explain this document; they do not amend it, and in any conflict this document prevails.
Article 2: Definitions
2.1 Account: the account a person or business establishes with the Company to use the Platform.
2.2 Buyer: a person who purchases Products or Services through the Platform.
2.3 Company: All About Pawz, LLC, a Tennessee limited liability company.
2.4 First-Party Sale: a sale of Products identified on the Platform as "Sold by Pawz Shop," in which the Company is the seller.
2.5 Order: a Buyer's purchase of Products or Services through the Platform, accepted in accordance with this document.
2.6 Platform: the websites, applications, and services the Company operates under the name All About Pawz, including aapawz.com.
2.7 Products: goods offered for sale through the Platform.
2.8 Seller: a person or business the Company has accepted to offer Products or Services through the Platform.
2.9 Services: services offered through the Platform, including grooming, veterinary, pharmacy, and fulfillment services, as applicable.
2.10 Site: aapawz.com and its subdomains.
2.11 Third-Party Sale: a sale of Products identified on the Platform as "Sold by {Seller name}," in which the Seller is the seller.
Article 3: Offer, Acceptance, and the Contract of Sale
3.1 Invitation, not offer. A product page, a price display, and an availability display on the Platform are an invitation to make an offer. No display on the Platform is an offer to sell capable of acceptance by a Buyer.
3.2 The Buyer's offer. A Buyer makes an offer to purchase by completing checkout for the Products and quantities stated in the checkout summary, at the prices and on the terms stated in that summary.
3.3 Acceptance by shipment. For Products that ship, an Order is accepted when the Products are handed to the carrier and the carrier records the first scan of the shipment. Until that event, no contract of sale has formed for the shipped Products.
3.4 Acceptance by confirmation. For Services, subscriptions, digital goods, and any Order that does not ship, an Order is accepted when the Company or, for a Third-Party Sale, the Seller issues a confirmation notice stating that the Order is accepted.
3.5 Order confirmation is a receipt, not acceptance. The confirmation sent promptly after checkout acknowledges receipt of the Buyer's offer. That confirmation does not accept the offer, does not form a contract of sale, and does not end the Buyer's cancellation right under Article 5.
3.6 Party to the contract of sale. (a) In a First-Party Sale, the contract of sale is between the Buyer and the Company. (b) In a Third-Party Sale, the contract of sale is between the Buyer and the Seller identified as "Sold by {Seller name}" on the product page and on the Order confirmation. The Company is not a party to the contract of sale in a Third-Party Sale; the Company's obligations in a Third-Party Sale are the obligations stated in this document, the Payment Terms, and the Buyer Protection Program.
3.7 Order record. The Company shall keep a record of each offer, acceptance, decline, and cancellation, item by item, and shall make that record available to the Buyer and to the Seller for the portion of the Order that concerns that Seller.
Article 4: Decline of an Order Before Acceptance
4.1 The Company may decline an Order, in whole or in part, at any time before acceptance, and a Seller may decline the portion of an Order for that Seller's Products within the acknowledgment period stated in Article 7, for any of the following reasons (a) the Product is no longer available on the terms ordered;
(b) the price or another material term was stated in error, as governed by the Pricing, Availability and Errors Policy;
(c) the payment, the Account, or the Order pattern gives rise to a reasonable suspicion of fraud;
(d) the Product may not lawfully be supplied to the delivery address, including a prescription product without a valid prescription, a product restricted in the destination state, or a live animal barred by the rules of the destination jurisdiction, as governed by the Prohibited and Restricted Products Policy, the Live Animal Policy, and the Prescription Products Policy; or
(e) the payment method is declined or cannot be verified.
4.2 Effect of a decline. A declined Order, or a declined portion of an Order, forms no contract of sale. The Company shall release any authorization hold on the declined amount and shall refund in full any amount captured for the declined amount, in accordance with the Payment Terms.
4.3 Notice of decline. The Company shall notify the Buyer of a decline by email, item by item, stating the reason in plain language, except where stating the reason would compromise a fraud investigation, in which case the notice shall state that the Order could not be verified.
4.4 No adverse record. A decline under this Article shall not count against the Buyer's Account, loyalty standing, or subscription status, and shall not be recorded as a cancellation by the Buyer.
Article 5: Cancellation by the Buyer Before Acceptance
5.1 A Buyer may cancel an unshipped Order, in whole or in part, through the Account at any time before acceptance, without stating a reason, for a full refund of every amount charged for the cancelled portion.
5.2 The cancellation control shall remain available in the Account until the shipment event described in clause 3.3 occurs.
5.3 On shipment, the right to cancel under this Article ends for the shipped portion, and the Returns and Refunds Policy governs that portion from delivery.
5.4 The first Order under a subscription is cancellable under this Article. Renewal Orders under a subscription are governed by the Reship Subscription Terms.
Article 6: Multi-Seller and Split Orders
6.1 A single checkout may contain Products from the Company and from one or more Sellers. That checkout is one offer, but acceptance is determined separately for each seller's portion.
6.2 Each Seller accepts or declines that Seller's portion independently. A decline of one portion does not void, delay, or alter any other portion.
6.3 A Buyer shall be charged only for accepted portions. The amount for a declined portion shall be refunded or shall not be captured, and the Company shall notify the Buyer item by item of the portions accepted and the portions declined.
6.4 Payment for each portion is collected and refundable as provided in the Payment Terms, and each portion is returnable independently under the Returns and Refunds Policy.
Article 7: Seller Duties on Receipt and Acceptance of an Order
7.1 A Seller shall acknowledge a standard Order within twenty-four (24) hours of receipt, and within twelve (12) hours during the peak season periods the Company publishes in advance.
7.2 A Seller shall ship an accepted Order within the handling time stated on the product page, as governed by the Shipping and Delivery Policy.
7.3 A Seller that cannot fulfil an accepted Order shall notify the Company and the Buyer immediately through the Platform. Silent non-shipment is a breach of this document.
7.4 A Seller shall not cancel an Order, or decline an Order outside clause 4.1, in order to avoid a performance measure, to obtain a higher price, or to sell the same Product outside the Platform to the same Buyer.
7.5 The Seller's acknowledgment, shipment, cancellation, and decline rates are measured under the seller performance standards stated in the Selling Terms of Service, and a failure under this Article may be enforced under Article 10.
Article 8: Consequences of Acceptance
8.1 On acceptance: (a) payment is captured, and not merely authorized, in accordance with the Payment Terms; (b) the fulfilment and handling-time obligations for the Order become binding on the seller of that portion; and (c) the Buyer's right to cancel without reason under Article 5 ends for the accepted portion.
8.2 The shipment notice shall state the carrier, the tracking number, and the expected delivery window. A tracking number that never records a carrier scan is not a shipment, and acceptance does not occur by the issue of a label alone.
8.3 Errors in price, description, or availability discovered before acceptance are governed by the Pricing, Availability and Errors Policy. Errors discovered after acceptance do not entitle the Company or a Seller to cancel an accepted Order except as that policy expressly permits.
Article 9: Liability
9.1 Exclusion of certain damages. To the fullest extent permitted by law, neither party is liable to the other for indirect, incidental, special, punitive, or consequential damages, or for lost profits, lost revenue, or loss of goodwill, arising out of or relating to this document, even if the party has been advised of the possibility of those damages.
9.2 Cap. To the fullest extent permitted by law, the Company's total liability arising out of or relating to this document shall not exceed the greater of (a) the amounts the Buyer paid for the Order giving rise to the claim, or (b) one hundred dollars ($100).
9.3 Carve-outs. This Article does not limit (a) a party's indemnification obligations under this document; (b) liability for fraud or willful misconduct; (c) amounts owed for Orders, fees, chargebacks, or refunds under this document; or (d) liability that cannot be limited under applicable law.
9.4 Essential purpose. The parties agree that this Article allocates risk between them, that it is an essential part of the basis of their bargain, and that it applies even if a limited remedy fails of its essential purpose.
Article 10: Indemnification
10.1 Duty. The Buyer shall indemnify, defend, and hold harmless the Company and its members, managers, employees, and agents from and against every claim, demand, action, loss, liability, judgment, settlement, cost, and expense (including reasonable attorneys' fees) arising out of or relating to: (a) the Buyer's breach of this document; (b) the Buyer's User Content, where User Content means content the Buyer submits to the Platform, including reviews, photographs, and messages; (c) the Buyer's violation of any law or of the rights of any person; and (d) taxes for which the Buyer is responsible under this document.
10.2 Procedure. The Company shall give prompt written notice of a claim under this Article. The Buyer shall control the defense with counsel reasonably acceptable to the Company. The Company may participate in the defense at its own expense. The Buyer shall not settle a claim in a manner that imposes any obligation or restriction on the Company, or that does not release the Company fully, without the Company's prior written consent.
10.3 Survival. This Article survives the termination of this document.
Article 11: Enforcement and Appeals
11.1 Investigation. The Company may investigate any suspected violation of this document. The Buyer and the Seller shall cooperate with an investigation and shall produce the records this document requires that party to keep.
11.2 Notice. If the Company determines that a party has violated this document, the Company shall give written notice stating the provision violated and the facts relied on, except where notice would compromise an investigation of fraud, a safety risk, or a legal obligation.
11.3 Opportunity to cure. Where a violation is capable of cure, the party has ten (10) business days from notice to cure it and to confirm the cure in writing. No cure period applies to fraud, counterfeiting, a risk to the safety of a person or an animal, unlawful conduct, or a violation that by its nature cannot be cured.
11.4 Measures. If a violation is established and is not cured within the period allowed, the Company may, proportionate to the violation: (a) issue a written warning; (b) remove or suppress a listing or content; (c) cancel an Order or a booking; (d) suspend the Account, in whole or in part; (e) terminate this document and the Account; and (f) exercise any other right or remedy available under this document or at law.
11.5 Appeal. A party may appeal a measure under this Article by written notice to legal@aapawz.com within thirty (30) days of the measure, stating the grounds and attaching the records relied on. The appeal is decided by a person who did not make the original decision. The Company's decision on appeal is final. A measure remains in effect during an appeal unless the Company directs otherwise in writing.
11.6 No waiver by delay. The Company's delay in acting on a violation is not a waiver of the violation or of any later violation of the same kind.
Article 12: Term and Termination
12.1 Term. This document takes effect when the Buyer places an Order or the Seller is accepted to offer Products through the Platform, and continues until terminated under this Article.
12.2 Termination by the Company. The Company may terminate this document and the Account on thirty (30) days' written notice for any reason, and immediately on written notice if a party materially breaches this document, engages in fraud, or becomes ineligible to participate.
12.3 Termination by the Buyer or the Seller. A party may terminate this document on thirty (30) days' written notice to support@aapawz.com, provided the party has no Order, booking, or investigation outstanding.
12.4 Effect of termination. On termination: (a) the rights granted under this document end; (b) obligations that arose before termination: including payment, refund, chargeback, record-keeping, and indemnification obligations: survive until satisfied; and (c) the Company shall disburse amounts owed, less amounts the Company may set off under this document, within thirty (30) days, except amounts held in connection with an open investigation or dispute.
12.5 Survival. The Definitions, Liability, Indemnification, Enforcement and Appeals (for measures taken before termination), Dispute Resolution, and General Provisions Articles survive termination.
Article 13: Dispute Resolution
13.1 Any dispute arising out of or relating to this document, or to the relationship it governs, is governed by the Dispute Resolution Policy, which is incorporated into this document by reference.
Article 14: General Provisions
14.1 Amendments. The Company may amend this document by posting the amended document in the Document Center and giving notice to the Buyer and the Seller at the email address in the Account. An amendment that materially increases a party's fees or obligations takes effect thirty (30) days after notice; other amendments take effect on posting. Continued use of the Platform after the effective date of an amendment is acceptance of it. If a party does not accept an amendment, that party's remedy is to terminate under Article 12 before the amendment takes effect.
14.2 Notices. (a) Legal notices under this document shall be sent to legal@aapawz.com. Operational notices and all other communications shall be sent to support@aapawz.com. A notice to the Company is effective when the Company acknowledges receipt or, for email, one business day after sending, whichever is earlier. (b) Notices to a party are effective when sent to the email address in the Account or posted to the Account's notice facility in the portal, whichever occurs first. Each party shall keep the email address in the Account current. (c) DMCA notices are given as provided in the DMCA and Copyright Policy, to the designated agent at legal@aapawz.com.
14.3 Governing law. This document is governed by the laws of the State of Tennessee, without regard to its conflict-of-laws rules. Subject to the Dispute Resolution Policy, any proceeding arising out of this document shall be brought in the state or federal courts located in Shelby County, Tennessee, and the parties consent to personal jurisdiction there.
14.4 Severability. If any provision of this document is held unenforceable, the provision shall be enforced to the fullest extent permitted, and the remaining provisions continue in full effect.
14.5 Entire agreement. This document, together with the documents it incorporates by reference, is the entire agreement between the Company and the Buyer, and between the Company and the Seller, for the subject it governs and supersedes every prior or contemporaneous statement, communication, or agreement on that subject, whether written or oral.
14.6 Assignment. A Buyer or a Seller shall not assign this document or any right or obligation under it without the Company's prior written consent, and an assignment without consent is void. The Company may assign this document to an affiliate or in connection with a sale of all or part of its business, on notice to the affected party.
14.7 Waiver. A waiver of any provision of this document is effective only in writing and only for the instance stated. No waiver is a waiver of any other provision or instance.
14.8 Interpretation. Headings are for convenience only. "Including" means "including without limitation." This document shall not be construed against a party as its drafter. The English-language text controls over any translation.
