Effective Date: October 15, 2026 Version: 1.0 Applies to: All Buyers who pay for Orders through the Platform, and all Sellers on whose behalf the Company collects payment.
Article 1: Introduction and Scope
1.1 This document governs how payment is authorized, collected, and refunded for Orders placed through the Platform, the limited agency under which the Company collects payment on behalf of a Seller, failed payments, and the treatment of gift cards, store credit, and split tenders.
1.2 When an Order is formed and accepted is governed by the Order Formation and Acceptance Policy. Taxes on an Order are governed by the Marketplace Facilitator Tax Policy. Chargebacks are governed in full by the Chargeback Policy.
1.3 If a provision of this document conflicts with the Terms of Use, this document controls for the subject it governs. If a provision of this document conflicts with the terms of a program in which the Buyer or the Seller participates, the program terms control for that program. Policies and help pages explain this document; they do not amend it, and in any conflict this document prevails.
Article 2: Definitions
2.1 Account: the account a person or business establishes with the Company to use the Platform.
2.2 Buyer: a person who purchases Products or Services through the Platform.
2.3 Company: All About Pawz, LLC, a Tennessee limited liability company.
2.4 Order: a Buyer's purchase of Products or Services through the Platform, accepted in accordance with the Order Formation and Acceptance Policy.
2.5 Payment Method: a payment instrument the Company accepts at checkout for an Order, as presented at checkout.
2.6 Platform: the websites, applications, and services the Company operates under the name All About Pawz, including aapawz.com.
2.7 Products: goods offered for sale through the Platform.
2.8 Seller: a person or business the Company has accepted to offer Products or Services through the Platform.
2.9 Services: services offered through the Platform, including grooming, veterinary, pharmacy, and fulfillment services, as applicable.
2.10 Store Credit: stored value held on a Buyer's Account and issued or redeemed in accordance with the Gift Card Terms.
Article 3: Who Is Paid; the Seller of Record
3.1 In a sale identified on the Platform as "Sold by Pawz Shop," the Company is the seller, and payment is made to the Company as principal.
3.2 In a sale identified on the Platform as "Sold by {Seller name}," the Seller identified on the Order confirmation and receipt is the seller of record and the party to the contract of sale. The Company is not the seller of record in that sale.
3.3 The Buyer's receipt and card statement shall identify the Company as the merchant or payment recipient for the transaction, including in a sale in which a Seller is the seller of record. That identification reflects the collection arrangement in Article 4 and does not make the Company the seller of record.
Article 4: Limited Collection Agency
4.1 Appointment. For each sale by a Seller through the Platform, the Company acts as the Seller's limited agent for the sole purpose of collecting payment from the Buyer. The appointment is made in the Selling Terms of Service, which every Seller accepts as a condition of selling.
4.2 Limited scope. The agency in clause 4.1 is limited to collection of payment. The Company is not the Seller's agent for any other purpose, and the Company has no authority to bind the Seller, to make representations about the Seller's Products, or to assume the Seller's obligations, except as a document of the Company expressly states.
4.3 Payment to the Company discharges the Buyer. A Buyer's payment to the Company for a Seller's sale fully satisfies and extinguishes the Buyer's payment obligation to the Seller for that sale, as a matter of contract. A Seller shall not demand payment from a Buyer for an amount the Buyer has paid to the Company for that sale.
4.4 One payee and one receipt. A Buyer pays one payee: the Company: and receives one receipt for the Order, regardless of the number of Sellers whose Products the Order contains.
4.5 Disbursement to the Seller. The Company shall disburse the amount collected for a Seller's sale to that Seller, less the fees stated in the Seller Fee Schedule and less any amount the Company may set off under Article 9, in accordance with the disbursement timing stated in the Selling Terms of Service.
4.6 Reversal and recovery. Where a refund is made, a chargeback is decided against a Seller, or a Buyer Protection Program claim is paid for a Seller's sale, the Company may reverse the corresponding disbursement to the Seller or recover the amount from future disbursements to the Seller. A Buyer's refund does not depend on the Seller's cooperation in that recovery.
Article 5: Payment Processing
5.1 Payment for Orders is processed through the payment processing services incorporated by the Stripe Services Terms. Funds for a Seller's sale are routed to the Seller through those services; the Company's own bank account does not hold the Seller's share of a third-party transaction in the ordinary course of processing.
5.2 Refunds are made through the same payment rails that captured the payment, to the original Payment Method, in accordance with Article 10.
5.3 The Company shall keep a payment record for each Order stating the amount authorized, the amount captured, the amount disbursed, and the amount refunded, and shall make that record available to the Buyer and to the Seller concerned.
Article 6: Payment Methods and Authorization
6.1 The Payment Methods accepted for an Order are those presented at checkout for that Order. Accepted methods include major credit and debit cards, and gift cards, Store Credit, and promotional balances where the checkout offers them. The Company may add or remove a Payment Method; the checkout display for an Order controls for that Order.
6.2 By submitting a Payment Method at checkout, the Buyer authorizes the Company to charge that Payment Method for the full Order total stated in the checkout summary: Products, shipping, and tax, less discounts and less any gift card or Store Credit applied. For a subscription, the Buyer authorizes recurring charges as governed by the Reship Subscription Terms.
6.3 Authorization is not capture. A temporary authorization hold may appear when an Order is placed. The charge is captured on acceptance of the Order in accordance with the Order Formation and Acceptance Policy. If an Order is declined or cancelled before acceptance, the Company shall release the authorization hold; the time for the hold to clear from the Buyer's account is set by the Buyer's issuing bank.
6.4 The Company may verify payment information, decline a transaction for suspected fraud, and require additional verification before fulfilment. A declined payment does not form an Order and creates no adverse record on the Buyer's Account for that reason alone.
Article 7: Currency, Totals, and Taxes
7.1 All transactions under this document are in United States dollars.
7.2 The Order total at checkout is the final amount for the Order: Products, plus shipping, plus tax, less discounts, less gift cards and Store Credit applied. If the amount charged differs from the accepted checkout summary, the Company shall refund the difference automatically and shall record the incident.
7.3 Sales tax on an Order is collected and remitted as provided in the Marketplace Facilitator Tax Policy. The Buyer shall not pay sales tax to a Seller separately for a sale made through the Platform.
Article 8: Failed Payments
8.1 A payment declined at checkout forms no Order. The Buyer may retry with another Payment Method.
8.2 A failed renewal payment under a subscription is governed by the retry and notice rules in the Reship Subscription Terms.
8.3 If a payment fails after part of an Order has shipped, the Buyer shall be charged only for the portion that shipped. The unshipped remainder is cancelled and shall not be treated as a backorder unless the Buyer agrees in writing.
Article 9: Chargebacks and Duplicate Claims
9.1 A chargeback is a dispute a Buyer files with the issuer of the Buyer's Payment Method. A chargeback is separate from, and is not a substitute for, the Platform's return and dispute processes. The full procedure is stated in the Chargeback Policy.
9.2 Filing a chargeback while a return or a dispute on the same Order is still pending creates a duplicate claim. The Company may defend the chargeback with the Order record, and the pending return or dispute may be closed as superseded by the chargeback. A Buyer is entitled to one remedy path for an Order, not two running in parallel for the same amount.
9.3 The cost of a chargeback decided against a Seller: the disputed amount and any processor fee the Company bears: is borne by that Seller and may be recovered under clause 4.6. The cost of a chargeback on a sale by the Company is borne by the Company.
9.4 Filing chargebacks for Orders the Buyer received and kept, or other chargeback abuse, is a violation of the Fraud and Abuse Policy and may be enforced under Article 12.
Article 10: Gift Cards, Store Credit, Split Tenders, and Refund Routing
10.1 Gift card and Store Credit balances are applied at checkout before card charges, in accordance with the Gift Card Terms. A gift card does not make change: an amount applied from a gift card reduces the Order total, and any unused value remains on the gift card.
10.2 Split payment is supported: a gift card plus a card, Store Credit plus a card, and similar combinations. Each tender is recorded separately against the same Order.
10.3 A refund returns to each original tender in proportion to that tender's contribution to the Order: the gift card portion returns to the gift card, the Store Credit portion returns to Store Credit, and the card portion returns to the card.
10.4 Promotional discounts are governed by the Promotional Offers Terms and loyalty points by the Loyalty Program Terms. Neither instrument is a Payment Method except as its own terms state.
Article 11: Liability
11.1 Exclusion of certain damages. To the fullest extent permitted by law, neither party is liable to the other for indirect, incidental, special, punitive, or consequential damages, or for lost profits, lost revenue, or loss of goodwill, arising out of or relating to this document, even if the party has been advised of the possibility of those damages.
11.2 Cap. To the fullest extent permitted by law, the Company's total liability arising out of or relating to this document shall not exceed the greater of (a) the amounts the Buyer paid for the Order giving rise to the claim, or (b) one hundred dollars ($100).
11.3 Carve-outs. This Article does not limit (a) a party's indemnification obligations under this document; (b) liability for fraud or willful misconduct; (c) amounts owed for Orders, fees, chargebacks, or refunds under this document; or (d) liability that cannot be limited under applicable law.
11.4 Essential purpose. The parties agree that this Article allocates risk between them, that it is an essential part of the basis of their bargain, and that it applies even if a limited remedy fails of its essential purpose.
Article 12: Indemnification
12.1 Duty. The Buyer shall indemnify, defend, and hold harmless the Company and its members, managers, employees, and agents from and against every claim, demand, action, loss, liability, judgment, settlement, cost, and expense (including reasonable attorneys' fees) arising out of or relating to: (a) the Buyer's breach of this document; (b) the Buyer's misuse of a Payment Method or use of a Payment Method the Buyer is not authorized to use; (c) the Buyer's violation of any law or of the rights of any person; and (d) taxes for which the Buyer is responsible under this document.
12.2 Procedure. The Company shall give prompt written notice of a claim under this Article. The Buyer shall control the defense with counsel reasonably acceptable to the Company. The Company may participate in the defense at its own expense. The Buyer shall not settle a claim in a manner that imposes any obligation or restriction on the Company, or that does not release the Company fully, without the Company's prior written consent.
12.3 Survival. This Article survives the termination of this document.
Article 13: Enforcement and Appeals
13.1 Investigation. The Company may investigate any suspected violation of this document. The Buyer and the Seller shall cooperate with an investigation and shall produce the records this document requires that party to keep.
13.2 Notice. If the Company determines that a party has violated this document, the Company shall give written notice stating the provision violated and the facts relied on, except where notice would compromise an investigation of fraud, a safety risk, or a legal obligation.
13.3 Opportunity to cure. Where a violation is capable of cure, the party has ten (10) business days from notice to cure it and to confirm the cure in writing. No cure period applies to fraud, counterfeiting, a risk to the safety of a person or an animal, unlawful conduct, or a violation that by its nature cannot be cured.
13.4 Measures. If a violation is established and is not cured within the period allowed, the Company may, proportionate to the violation: (a) issue a written warning; (b) remove or suppress a listing or content; (c) cancel an Order or a booking; (d) suspend the Account, in whole or in part; (e) terminate this document and the Account; and (f) exercise any other right or remedy available under this document or at law.
13.5 Seller disbursement hold. The Company may hold disbursements to the Seller while an investigation under this Article is pending, and shall release amounts not required to satisfy the Seller's obligations when the investigation closes.
13.6 Appeal. A party may appeal a measure under this Article by written notice to legal@aapawz.com within thirty (30) days of the measure, stating the grounds and attaching the records relied on. The appeal is decided by a person who did not make the original decision. The Company's decision on appeal is final. A measure remains in effect during an appeal unless the Company directs otherwise in writing.
13.7 No waiver by delay. The Company's delay in acting on a violation is not a waiver of the violation or of any later violation of the same kind.
Article 14: Term and Termination
14.1 Term. This document takes effect when the Buyer places an Order or the Seller is accepted to offer Products through the Platform, and continues until terminated under this Article.
14.2 Termination by the Company. The Company may terminate this document and the Account on thirty (30) days' written notice for any reason, and immediately on written notice if a party materially breaches this document, engages in fraud, or becomes ineligible to participate.
14.3 Termination by the Buyer or the Seller. A party may terminate this document on thirty (30) days' written notice to support@aapawz.com, provided the party has no Order, booking, or investigation outstanding.
14.4 Effect of termination. On termination: (a) the rights granted under this document end; (b) obligations that arose before termination: including payment, refund, chargeback, record-keeping, and indemnification obligations: survive until satisfied; and (c) the Company shall disburse amounts owed, less amounts the Company may set off under this document, within thirty (30) days, except amounts held in connection with an open investigation or dispute.
14.5 Survival. The Definitions, Liability, Indemnification, Enforcement and Appeals (for measures taken before termination), Dispute Resolution, and General Provisions Articles survive termination.
Article 15: Dispute Resolution
15.1 Any dispute arising out of or relating to this document, or to the relationship it governs, is governed by the Dispute Resolution Policy, which is incorporated into this document by reference.
Article 16: General Provisions
16.1 Amendments. The Company may amend this document by posting the amended document in the Document Center and giving notice to the Buyer and the Seller at the email address in the Account. An amendment that materially increases a party's fees or obligations takes effect thirty (30) days after notice; other amendments take effect on posting. Continued use of the Platform after the effective date of an amendment is acceptance of it. If a party does not accept an amendment, that party's remedy is to terminate under Article 14 before the amendment takes effect.
16.2 Notices. (a) Legal notices under this document shall be sent to legal@aapawz.com. Operational notices and all other communications shall be sent to support@aapawz.com. A notice to the Company is effective when the Company acknowledges receipt or, for email, one business day after sending, whichever is earlier. (b) Notices to a party are effective when sent to the email address in the Account or posted to the Account's notice facility in the portal, whichever occurs first. Each party shall keep the email address in the Account current. (c) DMCA notices are given as provided in the DMCA and Copyright Policy, to the designated agent at legal@aapawz.com.
16.3 Governing law. This document is governed by the laws of the State of Tennessee, without regard to its conflict-of-laws rules. Subject to the Dispute Resolution Policy, any proceeding arising out of this document shall be brought in the state or federal courts located in Shelby County, Tennessee, and the parties consent to personal jurisdiction there.
16.4 Severability. If any provision of this document is held unenforceable, the provision shall be enforced to the fullest extent permitted, and the remaining provisions continue in full effect.
16.5 Entire agreement. This document, together with the documents it incorporates by reference, is the entire agreement between the Company and the Buyer, and between the Company and the Seller, for the subject it governs and supersedes every prior or contemporaneous statement, communication, or agreement on that subject, whether written or oral.
16.6 Assignment. A Buyer or a Seller shall not assign this document or any right or obligation under it without the Company's prior written consent, and an assignment without consent is void. The Company may assign this document to an affiliate or in connection with a sale of all or part of its business, on notice to the affected party.
16.7 Waiver. A waiver of any provision of this document is effective only in writing and only for the instance stated. No waiver is a waiver of any other provision or instance.
16.8 Interpretation. Headings are for convenience only. "Including" means "including without limitation." This document shall not be construed against a party as its drafter. The English-language text controls over any translation.
