Effective Date: October 15, 2026 Version: 1.0 Applies to: All Sellers who offer products or services through the Platform.
Article 1: Introduction and Scope
1.1 This document states how the Company enforces the Selling Terms of Service and the seller policies against a Seller: investigation, notice, opportunity to cure, measures proportionate to the violation, disbursement holds, repeat violations, and appeal. This document does not set the substantive standards that a Seller shall meet; those standards are stated in the document that governs each subject.
1.2 This document does not govern the handling of a dispute between a Buyer and a Seller, which is governed by the Dispute Standards, and does not govern appeal procedure in full, which is governed by the Appeals Policy. On a conflict between this document and a more specific enforcement document for a subject, the more specific document controls for that subject. On a conflict concerning appeal procedure, the Appeals Policy controls the procedure and this document controls the measure appealed.
1.3 If a provision of this document conflicts with the Terms of Use, this document controls for the subject it governs. If a provision of this document conflicts with the terms of a program in which the Seller participates, the program terms control for that program. Policies and help pages explain this document; they do not amend it, and in any conflict this document prevails.
Article 2: Definitions
2.1 The definitions in the Terms of Use and the Selling Terms of Service are incorporated into this document. The following additional definitions apply (a) Finding: a determination that the Seller, a listing, a transaction, or a disbursement does not comply with an identified policy or service requirement. A Finding states the provision violated, the evidence, the subject affected, the severity, and the decision-maker.
(b) Measure: an action the Company takes in response to a Finding, stated in Article 4.
(c) Notice: the written communication of a Finding and a Measure to the Seller under Article 6.
(d) Remediation: the corrective action the Seller shall complete within a stated period to cure a violation, including a remediation plan where Article 7 requires one.
(e) Repeat Violation: a Finding of the same type within the repeat period stated in Article 8.
Article 3: Findings and Severity
3.1 A Finding is recorded against the Account with the type of violation, the severity, the status, a description, the policy concerned, and, where applicable, the listing, the Order, and the evidence. Finding types include onboarding and verification, listing accuracy, prohibited claims, restricted or prohibited products, intellectual property, counterfeit goods, order handling, tracking, packaging, dangerous goods, communication, performance, return handling, refund handling, fees, tax, dispute non-compliance, insurance, data protection, and fraud or zero-tolerance conduct.
3.2 Severity is assessed as information only, warning, violation, severe violation, or conduct that warrants immediate serious action. Severity is assigned on the nature of the violation, the impact on Buyers or the marketplace, history, intent, self-reporting, and cooperation. The same act may receive a different severity for a different Seller where those factors differ.
3.3 A person with a financial interest in, a personal relationship concerning, or prior participation in a matter at an earlier stage shall not decide that matter. A conflicted decision-maker shall be recused and the matter reassigned, and the recusal shall be recorded.
3.4 An automated system may record a Finding and apply a Measure within the lower range of Article 4. A Measure in the upper range requires human review before the Measure takes effect. The Seller may request human review of an automated Finding through an appeal under the Appeals Policy.
Article 4: Measures Available
4.1 The Company may, proportionate to the violation: (a) give notice only, with no restriction; (b) issue a written warning with a remediation period; (c) suppress a listing; (d) pause new listings; (e) remove a listing; (f) block a category for the Seller; (g) block transactions with a specific Buyer where protection of that Buyer requires it; (h) hold an Order; (i) hold a disbursement; (j) impose a disbursement reserve; (k) reverse a fee; (l) require a remediation plan; (m) require training; (n) require an audit; (o) suspend the Account; (p) terminate the Account; and (q) bar the Seller from a new Account where termination was for fraud, counterfeiting, or other conduct stated in the Notice as barring return.
4.2 A Measure may apply to a listing, a category, a Buyer, an Order or a set of Orders, a disbursement or a set of disbursements, or the entire Account. The Notice shall state the scope. Measures may be combined and recorded as a single enforcement event.
4.3 Duration of a Measure is immediate, time-limited, conditional on a stated condition being met, or indefinite until lifted by the decision-maker. The Notice shall state the duration.
4.4 Selection of a Measure considers Finding severity, history, impact, cooperation, self-reporting, and prior remediation. A decision-maker may select a more serious Measure for a Repeat Violation, intentional conduct, or Buyer harm, and a less serious Measure for self-reporting, full cooperation, or minimal negligent impact. A departure of more than one step in seriousness from the Measure ordinarily proportionate to the Finding requires approval by an independent reviewer.
4.5 Counterfeit goods do not receive a warning as the sole Measure, because the harm is the sale itself. Intellectual property, dangerous goods, and restricted product violations ordinarily begin with listing-level measures for a first violation and with account or financial measures for a severe or repeated violation. Operational violations: order handling, tracking, performance, returns, and refunds: ordinarily begin with a warning, proceed to account-level restriction, and then to a financial measure. Financial violations: fees, tax, and dispute non-compliance: ordinarily begin with a financial measure.
Article 5: Immediate Action for Serious Conduct
5.1 Fraud, counterfeit goods, interference with a safety investigation, and other conduct governed by the applicable zero-tolerance policy may proceed directly to suspension, termination, or a bar on a new Account. The decision requires concurrence of the legal function.
5.2 Notice and appeal rights under this document and the Appeals Policy apply to action under this Article. An appeal of action under this Article is decided by an independent reviewer with participation of the legal function.
Article 6: Notice
6.1 The Seller shall be notified of a warning or a more serious Measure through Seller Center, and by email for a financial, suspension, termination, or bar Measure. The Notice shall state: the type and severity of the Finding; the policy or service requirement violated; the evidence; the Measure and its scope; the duration; the remediation required and the period for remediation; the appeal path and deadline under the Appeals Policy; the consequences of non-compliance; and contact information in accordance with Article 16.
6.2 An emergency Measure for fraud, Buyer harm, security, or legal exposure may take effect before Notice. Notice shall follow within 24 hours and shall state the reason for the timing. An emergency Measure carries the same appeal rights as any other Measure.
6.3 Delivery of Notice to Seller Center, and by email where Clause 6.1 requires email, is notice whether or not the Seller opens the Notice. Failure to acknowledge a Notice does not prevent a Measure from taking effect.
Article 7: Remediation and Reinstatement
7.1 Remediation is required for a warning and for each more serious Measure. Default remediation periods are: 14 calendar days for a warning; 7 calendar days for a listing-level or account-level restriction; 14 calendar days for a financial restriction; and 30 calendar days for a Measure requiring a remediation plan. No remediation period applies before suspension or termination takes effect; reinstatement is governed by Clause 7.4.
7.2 A remediation plan shall state root cause, corrective steps, timeline, the measures the Seller shall monitor, and the Seller's commitment. Completion of remediation is verified by the decision-maker and recorded. Failure to complete remediation within the period is itself a violation and may result in a more serious Measure.
7.3 A Seller that completes remediation after a financial restriction or a more serious Measure is subject to 90 days of post-remediation monitoring. A new Finding of the same type during monitoring is a Repeat Violation.
7.4 A suspended Seller may request reinstatement. Reinstatement is decided by an independent reviewer as granted, granted on conditions with monitoring, or denied. Reinstatement does not automatically lift a financial restriction; a disbursement hold or Reserve is released only when the condition for release is satisfied.
Article 8: Repeat Violations
8.1 A Finding of the same type within the repeat period is a Repeat Violation and ordinarily results in a Measure one step more serious than the Measure for a first violation. The repeat period is 180 days for listing, claims, restricted product, order handling, tracking, packaging, communication, performance, return, refund, dispute, and fulfillment program violations, and 365 days for intellectual property, counterfeit, dangerous goods, fee, tax, insurance, data protection, and serious-conduct violations.
8.2 Concurrent Findings of the same type may be aggregated and may result in a more serious Measure. A pattern across different types may be treated as a Repeat Violation where the pattern is documented in the Finding.
8.3 A Measure may be reduced by an independent reviewer where the Seller completed remediation with sustained compliance, where the facts are corrected, or where a policy change makes the Finding obsolete.
Article 9: Records and Transparency
9.1 Every Finding, Measure, Notice, remediation step, and appeal shall be recorded in the Seller's violation history and in the Company's audit record. The audit record shall not be altered after entry. Records relating to termination, fraud, or legal matters shall be retained for the maximum period required by law.
9.2 The Seller may view the Seller's own enforcement records, remediation status, appeal status, and performance history, and shall not access another Seller's records.
Article 10: Liability
10.1 Exclusion of certain damages. To the fullest extent permitted by law, neither party is liable to the other for indirect, incidental, special, punitive, or consequential damages, or for lost profits, lost revenue, or loss of goodwill, arising out of or relating to this document, even if the party has been advised of the possibility of those damages.
10.2 Cap. To the fullest extent permitted by law, the Company's total liability arising out of or relating to this document shall not exceed the greater of (a) the amounts the Seller paid to the Company under this document in the twelve months before the event giving rise to the claim, or (b) one hundred dollars ($100).
10.3 Carve-outs. This Article does not limit (a) a party's indemnification obligations under this document; (b) liability for fraud or willful misconduct; (c) amounts the Seller owes for Orders, fees, chargebacks, or refunds under this document; or (d) liability that cannot be limited under applicable law.
10.4 Essential purpose. The parties agree that this Article allocates risk between them, that it is an essential part of the basis of their bargain, and that it applies even if a limited remedy fails of its essential purpose.
Article 11: Indemnification
11.1 Duty. The Seller shall indemnify, defend, and hold harmless the Company and its members, managers, employees, and agents from and against every claim, demand, action, loss, liability, judgment, settlement, cost, and expense (including reasonable attorneys' fees) arising out of or relating to: (a) the Seller's breach of this document; (b) the Seller's Products, Services, listings, or User Content, including product liability claims; (c) infringement or alleged infringement of intellectual property or other rights by the Seller's Products, listings, or User Content; (d) a product recall of the Seller's Products, including recall costs; (e) the Seller's violation of any law or of the rights of any person; and (f) taxes for which the Seller is responsible under this document.
11.2 Procedure. The Company shall give prompt written notice of a claim under this Article. The Seller shall control the defense with counsel reasonably acceptable to the Company. The Company may participate in the defense at its own expense. The Seller shall not settle a claim in a manner that imposes any obligation or restriction on the Company, or that does not release the Company fully, without the Company's prior written consent.
11.3 Survival. This Article survives the termination of this document.
Article 12: Enforcement and Appeals
12.1 Investigation. The Company may investigate any suspected violation of this document. The Seller shall cooperate with an investigation and shall produce the records this document requires the Seller to keep.
12.2 Notice. If the Company determines that the Seller has violated this document, the Company shall give written notice stating the provision violated and the facts relied on, except where notice would compromise an investigation of fraud, a safety risk, or a legal obligation.
12.3 Opportunity to cure. Where a violation is capable of cure, the Seller has ten (10) business days from notice to cure it and to confirm the cure in writing. No cure period applies to fraud, counterfeiting, a risk to the safety of a person or an animal, unlawful conduct, or a violation that by its nature cannot be cured.
12.4 Measures. If a violation is established and is not cured within the period allowed, the Company may, proportionate to the violation: (a) issue a written warning; (b) remove or suppress a listing or content; (c) cancel an Order or a booking; (d) suspend the Account or a program participation, in whole or in part; (e) terminate the Selling Terms of Service and the Account; and (f) exercise any other right or remedy available under this document or at law. The Company may hold disbursements to the Seller while an investigation under this Article is pending, and shall release amounts not required to satisfy the Seller's obligations when the investigation closes.
12.5 Appeal. The Seller may appeal a measure under this Article by written notice to legal@aapawz.com within thirty (30) days of the measure, stating the grounds and attaching the records relied on. The appeal is decided by a person who did not make the original decision. The Company's decision on appeal is final. A measure remains in effect during an appeal unless the Company directs otherwise in writing.
12.6 No waiver by delay. The Company's delay in acting on a violation is not a waiver of the violation or of any later violation of the same kind.
Article 13: Term and Termination
13.1 Term. This document takes effect when the Seller is accepted to sell through the Platform and continues until terminated under this Article.
13.2 Termination by the Company. The Company may terminate this document and the Account on thirty (30) days' written notice for any reason, and immediately on written notice if the Seller materially breaches this document, engages in fraud, or becomes ineligible to participate.
13.3 Termination by the Seller. The Seller may terminate this document on thirty (30) days' written notice to support@aapawz.com, provided the Seller has no Order, booking, or investigation outstanding.
13.4 Effect of termination. On termination: (a) the rights granted under this document end; (b) obligations that arose before termination: including payment, refund, chargeback, record-keeping, and indemnification obligations: survive until satisfied; and (c) the Company shall disburse amounts owed, less amounts the Company may set off under the Selling Terms of Service, within thirty (30) days, except amounts held in connection with an open investigation or dispute.
13.5 Survival. The Definitions, Liability, Indemnification, Enforcement and Appeals (for measures taken before termination), Dispute Resolution, and General Provisions Articles survive termination.
Article 14: Dispute Resolution
14.1 Any dispute arising out of or relating to this document, or to the relationship it governs, is governed by the Dispute Resolution Policy, which is incorporated into this document by reference.
Article 15: General Provisions
15.1 Amendments. The Company may amend this document by posting the amended document in the Document Center and giving notice to the Seller at the email address in the Account. An amendment that materially increases the Seller's fees or obligations takes effect thirty (30) days after notice; other amendments take effect on posting. Continued use of the Platform after the effective date of an amendment is acceptance of it. If the Seller does not accept an amendment, the Seller's remedy is to terminate under Article 13 before the amendment takes effect.
15.2 Notices. Legal notices under this document shall be sent to legal@aapawz.com. Operational notices and all other communications shall be sent to support@aapawz.com. A notice to the Company is effective when the Company acknowledges receipt or, for email, one business day after sending, whichever is earlier. Notices to the Seller are effective when sent to the email address in the Account or posted to the Account's notice facility in the portal, whichever occurs first. The Seller shall keep the email address in the Account current. DMCA notices are given as provided in the DMCA and Copyright Policy, to the designated agent at legal@aapawz.com.
15.3 Governing law. This document is governed by the laws of the State of Tennessee, without regard to its conflict-of-laws rules. Subject to the Dispute Resolution Policy, any proceeding arising out of this document shall be brought in the state or federal courts located in Shelby County, Tennessee, and the parties consent to personal jurisdiction there.
15.4 Severability. If any provision of this document is held unenforceable, the provision shall be enforced to the fullest extent permitted, and the remaining provisions continue in full effect.
15.5 Entire agreement. This document, together with the documents it incorporates by reference, is the entire agreement between the Company and the Seller for the subject it governs and supersedes every prior or contemporaneous statement, communication, or agreement on that subject, whether written or oral.
15.6 Assignment. The Seller shall not assign this document or any right or obligation under it without the Company's prior written consent, and an assignment without consent is void. The Company may assign this document to an affiliate or in connection with a sale of all or part of its business, on notice to the Seller.
15.7 Waiver. A waiver of any provision of this document is effective only in writing and only for the instance stated. No waiver is a waiver of any other provision or instance.
15.8 Interpretation. Headings are for convenience only. "Including" means "including without limitation." This document shall not be construed against a party as its drafter. The English-language text controls over any translation.
