Subscription and Autoship Policy for Sellers

Effective Date: October 15, 2026 Version: 1.0 Applies to: All Sellers who offer subscription-eligible Products through the Platform.

Article 1: Introduction and Scope

1.1 This document states the duties of a Seller that offers a subscription or autoship Product: the inventory commitment the Seller makes to active subscriptions, the funding of the program discount by the Seller through the list price, and the duty to honor a Buyer's pause, skip, and cancellation. The Buyer's subscription rights are stated in the Reship Subscription Terms, which is the Buyer instrument for the subscription program; this document states the Seller's obligations under the same program and incorporates the Reship Subscription Terms by reference. These terms are program terms under the Seller Program Terms.

1.2 Applicable automatic renewal law controls over this document where such law conflicts with this document. If a provision of this document conflicts with the Terms of Use, this document controls for the subject it governs. If a provision of this document conflicts with the Selling Terms of Service, the Selling Terms of Service controls, except that for a subscription matter the Reship Subscription Terms and this document control over a general Seller policy. Policies and help pages explain this document; they do not amend it, and in any conflict this document prevails.

Article 2: Definitions

2.1 The definitions in the Selling Terms of Service are incorporated into this document by reference and apply to this document. This article defines only the additional terms used in this document, in alphabetical order.

2.2 Autoship: a recurring Order generated by the subscription program on the cadence the Buyer selected, fulfilled by the Seller in the same manner as any other Order.

2.3 Consumable: a Product that normal use destroys or depletes so that the Buyer requires more of the Product, including food, treats, supplements, litter, grooming consumables, and a topical product used on a monthly cycle.

2.4 Durable: a Product that is not a Consumable, including a bed, a crate, a toy, a leash, a bowl, equipment, and apparel. A Durable is a one-time purchase.

2.5 Dunning: the program process for a failed subscription payment, consisting of a payment retry, notice to the Buyer, and, after the configured attempts, suspension of the subscription without shipment of unpaid Product.

2.6 Subscription Price: the price charged when an Autoship Order is processed, stated as the current list price at processing time less the program subscription discount in Article 5.

Article 3: Eligibility: Consumables Only

3.1 Only a Consumable is eligible for a subscription offer. A Durable shall never be offered on subscription.

3.2 The boundary rules are as follows: (a) a bundle is eligible only if every item in the bundle is a Consumable; a bundle containing one Durable is a one-time purchase; (b) a refill item and a device are assessed separately: a filter cartridge is a Consumable and may be eligible, and the device that uses the cartridge is a Durable and is not eligible, and the two shall be listed separately and not as one subscription listing; and (c) a supplement and a medicated Consumable may be eligible as a Product, subject to Article 8 for a prescription Product and to the duties of the category of the Product regardless of subscription status.

3.3 Marking a Durable as subscription-eligible is a violation of the Listing Accuracy Policy.

3.4 Eligibility is determined per stock-keeping unit and not per Product family. Eligibility of one unit does not establish eligibility of another unit of a different size or supply period.

3.5 The Seller shall mark eligibility only through the facility the Company provides for that purpose and as the Company confirms for the catalog. The Seller shall not state a subscription offer in listing text, in an image, or in a badge of the Seller's own creation as a substitute for the program facility, and the Platform offers a subscription option only for a unit marked eligible through that facility.

Article 4: Fulfillment and Inventory Commitment

4.1 Each Autoship Order is an Order. Handling time, tracking, carrier handoff, and delivery duties for an Autoship Order are the same as for a one-time Order, as governed by the Fulfillment Policy, the Shipping Policy, and the Tracking Policy. A subscription does not relax any such duty.

4.2 Autoship volume is forecastable from the active subscription base and the cadences selected by Buyers, which the Seller can review for the Seller's Products. A stockout on a Product with active subscriptions is a failure under the Inventory Accuracy Policy. By offering a Product on subscription, the Seller commits to maintain inventory sufficient for the active subscriptions for that Product or to act under clause 4.4 before a stockout affects a generated Order.

4.3 Substitution without the Buyer's consent is prohibited. Where the subscribed unit is unavailable, the Seller shall use the program substitution and cancellation facility; the Buyer selects a substitute or a pause. Shipment of a different Product that the Buyer did not select is a fulfillment violation, and a return of such a Product is at the Seller's expense.

4.4 The Seller shall maintain availability for active subscriptions or shall use the program substitution and cancellation facility. Silent failure of a subscription, including a stockout with no substitute offered and discontinuation of a unit with no migration path for subscribers, is a fulfillment violation.

4.5 Discontinuation of a subscribed unit requires: (a) notice through the program facility before the last shippable cycle; (b) an offer of migration to a replacement unit or a clean cancellation, at the Buyer's choice; and (c) fulfillment of every Autoship Order already generated. The Seller shall not cease shipment during an active subscription because the margin on the Product has changed.

4.6 The subscription record states the history of a subscription, including a status change, the party that made the change, and the date of the change. That record is evidence in an appeal concerning the subscription.

Article 5: Pricing and Discount Funding

5.1 The Subscription Price is computed at processing time as the current list price less the program subscription discount. The program discount is thirty-five percent (35%) for the first Autoship Order and five percent (5%) for a recurring Autoship Order, as configured in the program settings. The Seller does not set the Subscription Price directly; the Seller sets the list price, and the program applies the discount. The discount is funded through the Subscription Price in that manner.

5.2 The Seller shall not inflate the base list price to offset the program discount. An increase in the list price timed to an Autoship processing cycle so that the discount restores the former price is a violation of the Seller Pricing Policy.

5.3 A change to the list price applies to a future Autoship Order under the rule in clause 5.1, whether the change raises or lowers the price. The Buyer subscribes to the Product and not to a frozen price. The Seller shall not impose a subscriber-only surcharge, an autoship handling fee, or a list price that differs by purchase type.

5.4 A change to the program discount applies to an Autoship Order processed after the change and does not apply retroactively to an Order already processed.

5.5 Where a general sale lowers the list price for a period, an Autoship Order processed in that period is computed from the sale list price less the program discount. The Seller shall not exclude subscribers from a general sale price.

5.6 Free shipping is a benefit of the subscription program only, as stated in the Reship Subscription Terms. The Seller shall not promise free shipping to a Buyer who is not a subscriber, and shall not state free shipping as a marketing claim in a list price. The program determines the shipping amount at checkout; the Seller neither grants nor withholds the benefit. An Autoship Order for an active subscription carries the benefit for each recurring shipment while the subscription is active, and a later one-time Order after cancellation does not carry the benefit.

Article 6: Buyer Pause, Skip, and Cancellation

6.1 The Buyer may pause, skip, or cancel a subscription at any time through the subscription management facility stated in the Reship Subscription Terms. The Seller shall not obstruct, delay, or condition a cancellation, including by requiring a telephone call, by imposing a retention offer that blocks cancellation, or by requiring a reason.

6.2 Cancellation is effective for future cycles. An Autoship Order already generated and charged is shipped; cancellation stops the next cycle. The Seller shall not recover the program discount on a shipped Order because the Buyer cancelled after that Order.

6.3 The Seller shall not contact a cancelled subscriber to solicit a return to the subscription through Buyer Personal Information. Such contact is solicitation outside the Platform and a misuse of data under the Storefront and Identity Display Policy and the Data Protection Policy for Sellers.

6.4 Where a Buyer selects a cadence that produces accumulation of a Product, the Seller's duty is to fulfill the cadence the Buyer selected. The Seller shall present the pause and skip facility to the Buyer as the remedy and shall not cancel the subscription unilaterally on that ground.

Article 7: Failed Payments

7.1 A failed Autoship payment is handled through Dunning: a retry, notice to the Buyer, and suspension of the subscription after the configured attempts. The Seller shall not ship Product against a failed payment and shall not pursue the Buyer outside the Platform for a failed Autoship charge, including by an email demanding payment, a telephone call, or a threat of collection action.

7.2 A subscription suspended for nonpayment that the Buyer later cures resumes on the program terms. The Seller shall not impose a reinstatement fee and shall not change the cadence as a condition of resumption.

7.3 The subscription payment and invoice records are the records of the amount charged and of a failed charge for a subscription.

Article 8: Prescription Autoship

8.1 Only a verified licensed pharmacy Seller may list or dispense a prescription Product, as governed by the Prescription Products Policy (Sellers) (Prescription Products Policy (Sellers)). A Seller that is not such a pharmacy Seller has no prescription Autoship to offer.

8.2 For a pharmacy Seller, each Autoship refill is a new dispensing event. The pharmacy Seller shall re-verify for each refill that the prescription is current and not expired, that the veterinarian-client-patient relationship required for the prescription is valid, and that the prescriber is legitimate, as governed by the Prescription Products Policy (Sellers) (Prescription Products Policy (Sellers)). Doubt concerning verification is resolved against dispensing, including against shipment of a refill on schedule.

8.3 Where verification fails at a refill point, the subscription pauses for that Product and the Buyer is informed of the reason in plain terms. The pharmacy Seller shall not substitute a non-prescription alternative without the Buyer's informed choice.

Article 9: Fees

9.1 A fee is payable under this document only if the fee is stated in the Seller Fee Schedule. No other charge of any kind is payable, and the Company shall not impose a fee that the schedule does not state.

Article 10: Liability

10.1 To the fullest extent permitted by law, neither party is liable to the other for indirect, incidental, special, punitive, or consequential damages, or for lost profits, lost revenue, or loss of goodwill, arising out of or relating to this document, even if the party has been advised of the possibility of those damages.

10.2 To the fullest extent permitted by law, the Company's total liability arising out of or relating to this document shall not exceed the greater of (a) the amounts the Seller paid to the Company under this document in the twelve months before the event giving rise to the claim, or (b) one hundred dollars ($100).

10.3 This article does not limit (a) a party's indemnification obligations under this document; (b) liability for fraud or willful misconduct; (c) amounts the Seller owes for Orders, fees, chargebacks, or refunds under this document; or (d) liability that cannot be limited under applicable law.

10.4 The parties agree that this article allocates risk between them, that it is an essential part of the basis of their bargain, and that it applies even if a limited remedy fails of its essential purpose.

Article 11: Indemnification

11.1 The Seller shall indemnify, defend, and hold harmless the Company and its members, managers, employees, and agents from and against every claim, demand, action, loss, liability, judgment, settlement, cost, and expense (including reasonable attorneys' fees) arising out of or relating to: (a) the Seller's breach of this document; (b) the Seller's Products, Services, listings, or User Content; (c) the Seller's violation of any law or of the rights of any person; and (d) taxes for which the Seller is responsible under this document.

11.2 The Company shall give prompt written notice of a claim under this article. The Seller shall control the defense with counsel reasonably acceptable to the Company. The Company may participate in the defense at its own expense. The Seller shall not settle a claim in a manner that imposes any obligation or restriction on the Company, or that does not release the Company fully, without the Company's prior written consent.

11.3 This article survives the termination of this document.

Article 12: Enforcement and Appeals

12.1 The Company may investigate any suspected violation of this document. The Seller shall cooperate with an investigation and shall produce the records this document requires the Seller to keep.

12.2 If the Company determines that the Seller has violated this document, the Company shall give written notice stating the provision violated and the facts relied on, except where notice would compromise an investigation of fraud, a safety risk, or a legal obligation.

12.3 Where a violation is capable of cure, the Seller has ten (10) business days from notice to cure it and to confirm the cure in writing. No cure period applies to fraud, counterfeiting, a risk to the safety of a person or an animal, unlawful conduct, or a violation that by its nature cannot be cured.

12.4 If a violation is established and is not cured within the period allowed, the Company may, proportionate to the violation: (a) issue a written warning; (b) remove or suppress a listing or content, including removal of an eligibility marking for a Durable and cancellation, with notice to the Buyer, of a subscription created on such a marking; (c) cancel an Order or a booking; (d) suspend the Account or a program participation, in whole or in part; (e) terminate this document and the Account; and (f) exercise any other right or remedy available under this document or at law.

12.5 The Company may hold disbursements to the Seller while an investigation under this article is pending, and shall release amounts not required to satisfy the Seller's obligations when the investigation closes.

12.6 The Seller may appeal a measure under this article by written notice to legal@aapawz.com within thirty (30) days of the measure, stating the grounds and attaching the records relied on. The appeal is decided by a person who did not make the original decision. The Company's decision on appeal is final. A measure remains in effect during an appeal unless the Company directs otherwise in writing.

12.7 The Company's delay in acting on a violation is not a waiver of the violation or of any later violation of the same kind.

Article 13: Term and Termination

13.1 This document takes effect when the Seller accepts it or first offers a subscription-eligible Product, whichever occurs first, and continues until terminated under this article.

13.2 The Company may terminate this document and the Account on thirty (30) days' written notice for any reason, and immediately on written notice if the Seller materially breaches this document, engages in fraud, or becomes ineligible to participate.

13.3 The Seller may terminate this document on thirty (30) days' written notice to support@aapawz.com, provided the Seller has no Order, booking, or investigation outstanding. Termination by the Seller does not cancel a Buyer's active subscription except through the program facility and with the migration and fulfillment duties in Article 4 satisfied.

13.4 On termination: (a) the rights granted under this document end; (b) obligations that arose before termination: including payment, refund, chargeback, record-keeping, and indemnification obligations: survive until satisfied; and (c) the Company shall disburse amounts owed, less amounts the Company may set off under this document, within thirty (30) days, except amounts held in connection with an open investigation or dispute.

13.5 The Definitions, Fees (for accrued amounts), Liability, Indemnification, Enforcement and Appeals (for measures taken before termination), Dispute Resolution, and General Provisions articles survive termination.

Article 14: Dispute Resolution

14.1 Any dispute arising out of or relating to this document, or to the relationship it governs, is governed by the Dispute Resolution Policy, which is incorporated into this document by reference.

Article 15: General Provisions

15.1 The Company may amend this document by posting the amended document in the Document Center and giving notice to the Seller at the email address in the Account. An amendment that materially increases the Seller's fees or obligations takes effect thirty (30) days after notice; other amendments take effect on posting. Continued use of the Platform after the effective date of an amendment is acceptance of it. If the Seller does not accept an amendment, the Seller's remedy is to terminate under the Term and Termination article before the amendment takes effect. A Seller shall not issue a separate renewal notice to a Buyer; renewal notices for a subscription are given through the program, and applicable automatic renewal law is satisfied through the program notices as stated in Article 1.

15.2 Legal notices under this document shall be sent to legal@aapawz.com. Operational notices and all other communications shall be sent to support@aapawz.com. A notice to the Company is effective when the Company acknowledges receipt or, for email, one business day after sending, whichever is earlier. Notices to the Seller are effective when sent to the email address in the Account or posted to the Account's notice facility in the portal, whichever occurs first. The Seller shall keep the email address in the Account current. Notices under the DMCA and Copyright Policy are given as provided in that policy, to the designated agent at legal@aapawz.com.

15.3 This document is governed by the laws of the State of Tennessee, without regard to its conflict-of-laws rules. Subject to the Dispute Resolution Policy, any proceeding arising out of this document shall be brought in the state or federal courts located in Shelby County, Tennessee, and the parties consent to personal jurisdiction there.

15.4 If any provision of this document is held unenforceable, the provision shall be enforced to the fullest extent permitted, and the remaining provisions continue in full effect.

15.5 This document, together with the documents it incorporates by reference, is the entire agreement between the Company and the Seller for the subject it governs and supersedes every prior or contemporaneous statement, communication, or agreement on that subject, whether written or oral.

15.6 The Seller shall not assign this document or any right or obligation under it without the Company's prior written consent, and an assignment without consent is void. The Company may assign this document to an affiliate or in connection with a sale of all or part of its business, on notice to the Seller.

15.7 A waiver of any provision of this document is effective only in writing and only for the instance stated. No waiver is a waiver of any other provision or instance.

15.8 Headings are for convenience only. "Including" means "including without limitation." This document shall not be construed against a party on the ground that the party prepared this document. The English-language text controls over any translation.
