Effective Date: October 15, 2026 Version: 1.0 Applies to: All Sellers who offer, sell, or dispense prescription Products through the Platform.
Article 1: Introduction and Scope
1.1 This Policy states the Seller's duties for prescription animal drugs. A prescription Product moves through the Platform through one channel only: a licensed pharmacy, dispensing against a valid prescription issued by a licensed veterinarian within a valid veterinarian-client-patient relationship (VCPR) under the law of the state in which the patient is located. The platform rule for prescription Products is stated in the Prescription Products Policy, which is incorporated into this Policy by reference; this Policy states the Seller's obligations under that rule and does not restate it. Prescription authority is further governed by the Prescription Authority and VCPR Requirement, and dispensing through the pharmacy channel is further governed by the Pharmacy Partner Standards and the Prescription Transmission and Fulfillment.
1.2 Federal and state pharmacy law, the animal-drug controls of the U.S. Food and Drug Administration, and state VCPR requirements control over this Policy where the law is more restrictive. No provision of this Policy authorizes a practice that state law forbids, and no provision of this Policy is a promise of a clinical outcome.
1.3 If a provision of this Policy conflicts with the Terms of Use, this Policy controls for the subject it governs. If a provision of this Policy conflicts with the terms of a program in which the Seller participates, the program terms control for that program.
Article 2: Definitions
2.1 Account: the account a person or business establishes with the Company to use the Platform.
2.2 Buyer: a person who purchases Products or Services through the Platform.
2.3 Company: All About Pawz, LLC, a Tennessee limited liability company.
2.4 Licensed Pharmacy Seller: a Seller whose pharmacy credentials are verified and current in the Company's pharmacy credential record: license number, license state, license expiry, and, where applicable, a registration number and expiry with the U.S. Drug Enforcement Administration and accreditation as a verified internet pharmacy practice site. A pharmacy whose license has lapsed is not a Licensed Pharmacy Seller until the license is renewed and re-verified.
2.5 Order: a Buyer's purchase of Products or Services through the Platform, accepted in accordance with the Order Formation and Acceptance Policy.
2.6 Pharmacy of Record: the Licensed Pharmacy Seller that dispenses a prescription Product for an Order and whose identity appears in the dispensing record for that Order.
2.7 Platform: the websites, applications, and services the Company operates under the name All About Pawz, including aapawz.com.
2.8 Prescription Product: an animal drug that the U.S. Food and Drug Administration requires to be dispensed on the lawful order of a licensed veterinarian, identified by the prescription legend on the label: "Caution: Federal law restricts this drug to use by or on the order of a licensed veterinarian."
2.9 Products: goods offered for sale through the Platform.
2.10 Seller: a person or business the Company has accepted to offer Products or Services through the Platform.
2.11 Valid Prescription: a lawful order from a licensed veterinarian that identifies the patient, specifies the drug and the directions, identifies a prescriber licensed in the jurisdiction the law requires, is issued within a valid VCPR, is current, and is not fraudulent on its face. A refill authorization is a new validity determination, not a carryover of the original determination.
2.12 VCPR: a veterinarian-client-patient relationship: the veterinarian has assumed responsibility for medical judgments about the patient, the client has agreed to follow the veterinarian's instructions, and the veterinarian has sufficient knowledge of the patient through recent examination or timely visits, as the law of the state in which the patient is located defines the relationship. The state requirements are stated in the VCPR Requirements.
Article 3: Who May Sell and Dispense
3.1 Only a verified Licensed Pharmacy Seller shall list or dispense a Prescription Product. A marketplace Seller that is not the Pharmacy of Record for an Order shall not dispense a Prescription Product for that Order under any condition. A Prescription Product in a general Seller's catalog is a prohibited listing on appearance, governed by the Prohibited Products Policy, not a delayed approval. No arrangement under which a general Seller lists a Prescription Product and a pharmacy fulfills the Order cures the prohibition: the listing Seller and the Pharmacy of Record are the same party, or the listing does not exist.
3.2 The Licensed Pharmacy Seller shall maintain every license the law requires: a state board of pharmacy license in each dispensing state, a registration with the U.S. Drug Enforcement Administration where the Products dispensed require it, and each state permit for nonresident dispensing into a Buyer's state. The Seller shall produce each credential on application, on renewal, and on the Company's demand. A credential that has expired in the Company's credential record is expired for listing and dispensing purposes.
3.3 A prescription is dispensed only where the prescriber is a licensed veterinarian whose license standing is verifiable: state, number, standing, expiry, and verification date. A prescription from a veterinarian whose license is expired, suspended, or unverifiable is not a Valid Prescription.
3.4 Prescription Products are a restricted category under the Restricted Products Policy. The Category Approval for prescription Products is the Licensed Pharmacy Seller verification under this Article, and no other approval substitutes for it.
Article 4: Dispensing Duties
4.1 The Pharmacy of Record shall verify, before dispensing, that a Valid Prescription and a valid VCPR support the Order. Verification proceeds by direct confirmation with the prescribing veterinarian, or by a verified prescription on file with the VCPR facts documented. In either case the verification occurs before the drug ships.
4.2 In Tennessee, a VCPR cannot be established by electronic means alone (Tenn. Code Ann. §63-12-103). A Tennessee patient whose animal has not been examined in person by the prescriber shall not receive a Prescription Product on a relationship established only by electronic means. For patients in other states, the Pharmacy of Record shall apply the most restrictive applicable rule for the patient's state, as stated in the VCPR Requirements. A prescriber's assurance does not override the state rule.
4.3 A prescription issued without a valid VCPR is not a Valid Prescription. The Pharmacy of Record that identifies a VCPR defect shall refuse the Order and shall document the refusal. Refusing an unsupported Order is performance of this Policy, not a service failure.
4.4 The Pharmacy of Record shall not dispense on: (a) an expired prescription; (b) a prescription from a veterinarian without a valid VCPR; (c) a prescription the pharmacy has reason to believe is fraudulent, forged, or altered; or (d) a prescription for a patient the pharmacy has reason to believe does not exist. Doubt resolves against dispensing.
4.5 Dispensing shall comply with the dispensing state's pharmacy law, including labeling that states the patient, the drug, the directions, the pharmacy's identity, and a beyond-use date where applicable, and the availability of counseling. Where the Buyer has moved states, the Pharmacy of Record shall re-verify the prescription against the Buyer's current state before dispensing into that state. Where state law permits an emergency supply without a new prescription, the pharmacy shall satisfy the statute's conditions exactly, including quantity limits, prescriber contact attempts, and documentation.
4.6 A suspected fraudulent prescription shall be preserved and reported to the prescriber, to the Company through legal@aapawz.com, and to the authorities the dispensing state's law names.
Article 5: Listing Duties
5.1 A Prescription Product listing shall identify the Product as prescription-only, shall state the prescription requirement in plain language before purchase, and shall carry no efficacy or safety claim beyond the approved labeling. A listing is an offer conditioned on verification, not an unconditional offer of sale.
5.2 A Prescription Product shall not be purchasable through standard checkout. Each Order routes through the prescription process: the prescription is captured or confirmed, the VCPR is checked, and the Licensed Pharmacy Seller dispenses. A Seller that identifies a listing path that completes a prescription purchase without the verification steps shall report the path to the Company through support@aapawz.com and shall not use the path.
5.3 Autoship and subscription supply of a Prescription Product, as governed by the Subscription and Autoship Policy for Sellers, requires a prescription-verification step at each refill authorization. An expired prescription, a changed patient condition, and a lapsed VCPR are each re-checked on the refill schedule.
5.4 A compounded Product shall be prepared only as the applicable federal and state compounding requirements permit. Extra-label use is a veterinarian's decision under the Animal Medicinal Drug Use Clarification Act, never a Seller's marketing basis, and a listing shall not suggest an extra-label use. A product line with both over-the-counter and prescription formulations shall keep the listings separate: the prescription formulation shall not appear on the over-the-counter listing, and reviews shall not be presented across the two listings.
Article 6: Records
6.1 The Pharmacy of Record shall keep, for each dispensing: the prescription, the VCPR verification, the dispensing log, and prescriber communications. Records are retained for the longest period the applicable law requires, and are produced on the Company's request, including in an investigation or an appeal under Article 9.
Article 7: Liability
7.1 Prescription risk. The prescriber bears responsibility for the prescribing decision. The Pharmacy of Record bears responsibility for dispensing in accordance with the verified prescription and applicable dispensing law. The Company is not the prescriber and is not the Pharmacy of Record for a Seller's dispensing, except where the Company itself is the licensed dispenser of record for the transaction. Nothing in this Article limits liability for personal injury or injury to an animal caused by negligence, where applicable law does not permit the limitation.
7.2 Exclusion of certain damages. To the fullest extent permitted by law, neither party is liable to the other for indirect, incidental, special, punitive, or consequential damages, or for lost profits, lost revenue, or loss of goodwill, arising out of or relating to this Policy, even if the party has been advised of the possibility of those damages.
7.3 Cap. To the fullest extent permitted by law, the Company's total liability arising out of or relating to this Policy shall not exceed the greater of (a) the amounts the Seller paid to the Company under this Policy in the twelve months before the event giving rise to the claim, or (b) one hundred dollars ($100).
7.4 Carve-outs. This Article does not limit (a) a party's indemnification obligations under this Policy; (b) liability for fraud or willful misconduct; (c) amounts the Seller owes for Orders, fees, chargebacks, or refunds under this Policy; or (d) liability that cannot be limited under applicable law.
7.5 Essential purpose. The parties agree that this Article allocates risk between them, that it is an essential part of the basis of their bargain, and that it applies even if a limited remedy fails of its essential purpose.
Article 8: Indemnification
8.1 Duty. The Seller shall indemnify, defend, and hold harmless the Company and its members, managers, employees, and agents from and against every claim, demand, action, loss, liability, judgment, settlement, cost, and expense (including reasonable attorneys' fees) arising out of or relating to: (a) the Seller's breach of this Policy; (b) the Seller's Products, dispensing, listings, or content, including product liability claims, intellectual property infringement claims, and product recall costs; (c) the Seller's violation of any law or of the rights of any person; and (d) taxes for which the Seller is responsible under the Company's documents.
8.2 Procedure. The Company shall give prompt written notice of a claim under this Article. The Seller shall control the defense with counsel reasonably acceptable to the Company. The Company may participate in the defense at its own expense. The Seller shall not settle a claim in a manner that imposes any obligation or restriction on the Company, or that does not release the Company fully, without the Company's prior written consent.
8.3 Survival. This Article survives the termination of this Policy.
Article 9: Enforcement and Appeals
9.1 Investigation. The Company may investigate any suspected violation of this Policy. The Seller shall cooperate with an investigation and shall produce the records this Policy requires the Seller to keep.
9.2 Notice. If the Company determines that the Seller has violated this Policy, the Company shall give written notice stating the provision violated and the facts relied on, except where notice would compromise an investigation of fraud, a safety risk, or a legal obligation. The Company may suspend dispensing and the prescription category immediately where a pharmacy license has lapsed or a safety risk arises.
9.3 Opportunity to cure. Where a violation is capable of cure, the Seller has ten (10) business days from notice to cure it and to confirm the cure in writing. No cure period applies to fraud, counterfeiting, a risk to the safety of a person or an animal, unlawful conduct, or a violation that by its nature cannot be cured. No cure period applies to dispensing without a Valid Prescription or a valid VCPR, or to dispensing by a Seller that is not a Licensed Pharmacy Seller.
9.4 Measures. If a violation is established and is not cured within the period allowed, the Company may, proportionate to the violation: (a) issue a written warning; (b) remove or suppress a listing or content; (c) cancel an Order; (d) suspend the Account or the prescription category, in whole or in part, until a lapsed credential is renewed and re-verified; (e) terminate this Policy and the Account; and (f) exercise any other right or remedy available under this Policy or at law. Dispensing during a credential lapse is treated as unlicensed dispensing. Dispensing outside the prescription process is governed by the Fraud and Abuse: Zero Tolerance (Fraud and Abuse — Zero Tolerance), under which no warning precedes an account-level measure.
9.5 Appeal. The Seller may appeal a measure under this Article by written notice to legal@aapawz.com within thirty (30) days of the measure, stating the grounds and attaching the records relied on. The appeal is decided by a person who did not make the original decision. The Company's decision on appeal is final. A measure remains in effect during an appeal unless the Company directs otherwise in writing.
9.6 Disbursement holds. The Company may hold disbursements to the Seller while an investigation under this Article is pending, and shall release amounts not required to satisfy the Seller's obligations when the investigation closes.
9.7 No waiver by delay. The Company's delay in acting on a violation is not a waiver of the violation or of any later violation of the same kind.
Article 10: Term and Termination
10.1 Term. This Policy takes effect when the Seller is accepted to offer Products through the Platform and continues until terminated under this Article.
10.2 Termination by the Company. The Company may terminate this Policy and the Account on thirty (30) days' written notice for any reason, and immediately on written notice if the Seller materially breaches this Policy, engages in fraud, or becomes ineligible to participate.
10.3 Termination by the Seller. The Seller may terminate this Policy on thirty (30) days' written notice to support@aapawz.com, provided the Seller has no Order or investigation outstanding.
10.4 Effect of termination. On termination: (a) the rights granted under this Policy end; (b) obligations that arose before termination: including payment, refund, chargeback, record-keeping, and indemnification obligations: survive until satisfied; and (c) the Company shall disburse amounts owed, less amounts the Company may set off under this Policy, within thirty (30) days, except amounts held in connection with an open investigation or dispute.
10.5 Survival. The Definitions, Liability, Indemnification, Enforcement and Appeals (for measures taken before termination), Dispute Resolution, and General Provisions Articles survive termination.
Article 11: Dispute Resolution
11.1 Any dispute arising out of or relating to this Policy, or to the relationship it governs, is governed by the Dispute Resolution Policy, which is incorporated into this Policy by reference.
Article 12: General Provisions
12.1 Amendments. The Company may amend this Policy by posting the amended Policy in the Document Center and giving notice to the Seller at the email address in the Account. An amendment that materially increases the Seller's fees or obligations takes effect thirty (30) days after notice; other amendments take effect on posting. Continued use of the Platform after the effective date of an amendment is acceptance of it. If the Seller does not accept an amendment, the Seller's remedy is to terminate under Article 10 before the amendment takes effect.
12.2 Notices. Legal notices under this Policy shall be sent to legal@aapawz.com. Operational notices and all other communications shall be sent to support@aapawz.com. A notice to the Company is effective when the Company acknowledges receipt or, for email, one business day after sending, whichever is earlier. Notices to the Seller are effective when sent to the email address in the Account or posted to the Account's notice facility in the portal, whichever occurs first. The Seller shall keep the email address in the Account current.
12.3 Governing law. This Policy is governed by the laws of the State of Tennessee, without regard to its conflict-of-laws rules. Subject to the Dispute Resolution Policy, any proceeding arising out of this Policy shall be brought in the state or federal courts located in Shelby County, Tennessee, and the parties consent to personal jurisdiction there. The dispensing of prescription Products under this Policy is governed by the law of the state in which the patient is located and the law of the state in which the Pharmacy of Record is licensed.
12.4 Severability. If any provision of this Policy is held unenforceable, the provision shall be enforced to the fullest extent permitted, and the remaining provisions continue in full effect.
12.5 Entire agreement. This Policy, together with the documents it incorporates by reference, is the entire agreement between the Company and the Seller for the subject it governs and supersedes every prior or contemporaneous statement, communication, or agreement on that subject, whether written or oral.
12.6 Assignment. The Seller shall not assign this Policy or any right or obligation under it without the Company's prior written consent, and an assignment without consent is void. The Company may assign this Policy to an affiliate or in connection with a sale of all or part of its business, on notice to the Seller.
12.7 Waiver. A waiver of any provision of this Policy is effective only in writing and only for the instance stated. No waiver is a waiver of any other provision or instance.
12.8 Interpretation. Headings are for convenience only. "Including" means "including without limitation." This Policy shall not be construed against a party as its drafter. The English-language text controls over any translation.
