Effective Date: October 15, 2026 Version: 1.0 Applies to: All Sellers who offer Products or Services through the Platform.
Article 1: Introduction and Scope
1.1 This document is the schedule of fees charged to a Seller. It states each fee, the event that triggers it, its amount or the formula by which it is calculated, and when it is collected. The terms that govern fees: when a fee is earned, how a fee may be changed, and how a fee dispute is decided: are stated in the Fee Terms.
1.2 A fee is payable only if the fee is stated in this schedule. No other charge of any kind is payable, and the Company shall not impose a fee that this schedule does not state. Where this schedule names a fee but states no amount or rate for it, the amount of that fee is zero and the fee is not chargeable until an amount or rate is stated in this schedule in accordance with the Fee Terms.
1.3 If a provision of this document conflicts with the Terms of Use, this document controls for the subject it governs. If a provision of this document conflicts with the terms of a program in which the Seller participates, the program terms control for that program. Policies and help pages explain this document; they do not amend it, and in any conflict this document prevails.
Article 2: Definitions
2.1 The definitions in the Selling Terms of Service apply to this document. In addition, in this document 2.2 Application Fee: the total of the fees charged on an Order under this schedule, deducted from the amount collected for that Order before the balance is disbursed to the Seller.
2.3 Closing Fee: the fixed per-item fee stated in Article 6.
2.4 Fee Base: the amount to which a percentage fee is applied, determined in accordance with Article 7.
2.5 Plan: the Individual plan or the Professional plan, as stated in Article 4, under which the Seller sells through the Platform.
Article 3: How the Fee on an Order Is Collected
3.1 For each Order, the Company collects the full Order amount from the Buyer as the Seller's limited agent for the collection of payment under the Selling Terms of Service, deducts the Application Fee, and disburses the balance to the Seller. The Application Fee on an Order is the sum of the fees this schedule authorizes for that Order: the referral fee, any applicable Closing Fee, and any applicable program fee share. No component of that sum may be a fee without an entry in this schedule.
3.2 The Seller shall be given the fee breakdown for each Order: referral fee, Closing Fee, program fee share, and total: in the Seller's account record and on the statement issued under the Statement and Reconciliation Policy.
3.3 Where the Company refunds a Buyer in full for an Order, the Company may reverse the Application Fee for that Order so that the refund is complete, and the Seller's share is recovered in accordance with the Selling Terms of Service. On a partial refund, the Application Fee is reversed in proportion to the amount refunded, except where the Referral Fee Schedule states otherwise for the category.
Article 4: Plan Fees
| Plan | Monthly fee | Per-item Closing Fee |
|---|---|---|
| Individual | $0 | The amount stated in Article 6 |
| Professional | The amount stated in the Schedule Entry for the Professional plan; until an amount is stated, no monthly fee is chargeable | $0: no Closing Fee |
4.1 Under the Individual plan, the Seller pays no monthly fee and pays the Closing Fee on each item sold. Under the Professional plan, the Seller pays the monthly fee stated in the table and pays no Closing Fee.
4.2 The monthly Professional plan fee is a program fee. It is charged as its own recorded line and is not included in the Application Fee on any Order.
4.3 A plan change takes effect on the next billing cycle. A downgrade does not refund the current cycle. An upgrade applies the new plan's fee treatment to Orders placed after the change takes effect; an Order placed before the change retains the fee treatment of the plan in force at Order Placement.
4.4 A Seller that joins the Professional plan during a billing cycle is charged pro rata from the date of joining. A Seller that cancels the Professional plan during a billing cycle owes the fee for the full cycle in which cancellation occurs.
Article 5: Referral Fees
5.1 The referral fee is the Platform's primary fee. Referral fee rates are set per category in the Referral Fee Schedule, which is part of this schedule and shall be read with it.
5.2 The referral fee is charged at Order Placement and is included in the Application Fee. It is calculated on the Fee Base determined under Article 7 at the rate for the Product's category in force at Order Placement.
Article 6: Closing Fees
| Category | Per-item Closing Fee |
|---|---|
| All categories (Individual plan) | The amount stated in the Schedule Entry for the Closing Fee; until an amount is stated, no Closing Fee is chargeable |
| All categories (Professional plan) | $0: no Closing Fee |
6.1 The Closing Fee applies per item sold, and only under the Individual plan. "Per item" means per unit: three units of the same Product incur three Closing Fees.
6.2 The Closing Fee is charged at Order Placement, together with the referral fee.
6.3 The Closing Fee is not refundable. Where an Order is refunded, the referral fee is credited back on the refunded amount in accordance with the Fee Reversals and Adjustments Policy; the Closing Fee is not credited back.
Article 7: Fee Bases
7.1 Product price: the per-unit price the Buyer paid, after discounts funded by the Seller and before tax.
7.2 Shipping: the amount the Buyer paid for delivery, including any handling amount charged to the Buyer.
7.3 Gift wrap: the amount the Buyer paid for gift wrap, where gift wrap is offered.
7.4 The referral fee base is the product price plus shipping charged to the Buyer plus gift wrap. Tax is excluded from every fee base where the Company is the marketplace facilitator collector of the tax. Tax is included in a fee base only where the Seller is the collector of record for the tax and the Schedule Entry for the fee states that tax is included.
7.5 A discount funded by the Seller reduces the fee base. A discount funded by the Company does not reduce the fee base.
7.6 All amounts under this schedule are in United States dollars. The fee base for an Order is the amount in United States dollars that the Buyer paid for that Order.
Article 8: Other Fees
8.1 Fulfillment and storage fees. Fees for fulfillment and storage under the Fulfillment by Pawz Shop program are stated in that program's terms. Fulfillment fees are charged at shipment and storage fees monthly in arrears; neither is part of the Application Fee on an Order.
8.2 Advertising fees. Fees for advertising are stated in the advertising program terms and are charged when the Seller purchases placement under those terms. Advertising fees are never inferred from listing activity.
8.3 Other program and service fees. A fee for data access, API use, premium support, or any other service is chargeable only if this schedule states the fee, its amount or rate, its trigger, and its effective date. Until this schedule states such a fee, use of that service carries no fee.
Article 9: Where Fees Appear; Orders With No Applicable Entry
9.1 Each fee charged shall appear: (a) against the Order, as the fee breakdown under clause 3.2; (b) as its own line in the Seller's account record, stating the fee, the Order it relates to, and the balance after the charge; and (c) on the statement, aggregated per cycle with the rate and the base shown for each line, in accordance with the Statement and Reconciliation Policy. A fee that is reflected in a disbursement but does not appear in the Seller's account record is an error, not a charge.
9.2 Where an Order's category has no referral fee entry, the referral component of the Application Fee for that Order is zero. Where the Seller is on the Professional plan, the Closing Fee component is zero. The Company shall not substitute a default amount for a missing entry.
9.3 A missing entry applies prospectively only. Where the Company creates an entry after Orders have been placed, those Orders are charged under the entries in force at their Order Placement, and the new entry applies to Orders placed on or after its effective date.
Article 10: Worked Examples
10.1 Single item, Individual plan. A Buyer pays $84.00 for one item, with no shipping charged and no gift wrap. The referral fee is $84.00 multiplied by the category rate stated in the Referral Fee Schedule. The Closing Fee is the per-item amount stated in Article 6. The Application Fee is the sum of the two, and the Seller's share is $84.00 less the Application Fee.
10.2 Multiple units, Individual plan. A Buyer pays $25.00 for each of three units, a total of $75.00. The referral fee is $75.00 multiplied by the applicable category rate. The Closing Fee is the per-item amount multiplied by three units. The Closing Fee scales with units; the referral fee scales with the amount paid.
10.3 Mixed categories, Professional plan. An Order contains a $40.00 item in one category and a $60.00 item in another. Each item is charged at the rate for its own category under the Referral Fee Schedule; where an item falls in more than one category, the highest applicable rate applies to that item. No Closing Fee is charged. The Application Fee is the sum of the two referral fees.
10.4 Shipping in the base. A Buyer pays $50.00 for a Product and $8.00 for shipping, a total of $58.00. The referral fee is calculated on $58.00, because shipping charged to the Buyer is part of the fee base under clause 7.4.
10.5 Minimum and maximum referral fees. Where the Referral Fee Schedule states a minimum or a maximum referral fee per item for a category, the percentage fee is calculated first; if the result is below the stated minimum, the minimum applies, and if the result is above the stated maximum, the maximum applies.
Article 11: Liability
11.1 Exclusion of certain damages. To the fullest extent permitted by law, neither party is liable to the other for indirect, incidental, special, punitive, or consequential damages, or for lost profits, lost revenue, or loss of goodwill, arising out of or relating to this document, even if the party has been advised of the possibility of those damages.
11.2 Cap. To the fullest extent permitted by law, the Company's total liability arising out of or relating to this document shall not exceed the greater of (a) the amounts the Seller paid to the Company under this document in the twelve months before the event giving rise to the claim, or (b) one hundred dollars ($100).
11.3 Carve-outs. This Article does not limit (a) a party's indemnification obligations under this document; (b) liability for fraud or willful misconduct; (c) amounts the Seller owes for Orders, fees, chargebacks, or refunds under this document; or (d) liability that cannot be limited under applicable law.
11.4 Essential purpose. The parties agree that this Article allocates risk between them, that it is an essential part of the basis of their bargain, and that it applies even if a limited remedy fails of its essential purpose.
Article 12: Indemnification
12.1 Duty. The Seller shall indemnify, defend, and hold harmless the Company and its members, managers, employees, and agents from and against every claim, demand, action, loss, liability, judgment, settlement, cost, and expense (including reasonable attorneys' fees) arising out of or relating to: (a) the Seller's breach of this document; (b) the Seller's Products, Services, listings, or User Content; (c) the Seller's violation of any law or of the rights of any person; and (d) taxes for which the Seller is responsible under this document.
12.2 Procedure. The Company shall give prompt written notice of a claim under this Article. The Seller shall control the defense with counsel reasonably acceptable to the Company. The Company may participate in the defense at its own expense. The Seller shall not settle a claim in a manner that imposes any obligation or restriction on the Company, or that does not release the Company fully, without the Company's prior written consent.
12.3 Survival. This Article survives the termination of this document.
Article 13: Enforcement and Appeals
13.1 Investigation. The Company may investigate any suspected violation of this document. The Seller shall cooperate with an investigation and shall produce the records this document requires the Seller to keep.
13.2 Notice. If the Company determines that the Seller has violated this document, the Company shall give written notice stating the provision violated and the facts relied on, except where notice would compromise an investigation of fraud, a safety risk, or a legal obligation.
13.3 Opportunity to cure. Where a violation is capable of cure, the Seller has ten (10) business days from notice to cure it and to confirm the cure in writing. No cure period applies to fraud, counterfeiting, a risk to the safety of a person or an animal, unlawful conduct, or a violation that by its nature cannot be cured.
13.4 Measures. If a violation is established and is not cured within the period allowed, the Company may, proportionate to the violation: (a) issue a written warning; (b) remove or suppress a listing or content; (c) cancel an Order or a booking; (d) suspend the Account or a program participation, in whole or in part; (e) terminate this document and the Account; and (f) exercise any other right or remedy available under this document or at law.
13.5 Disbursement hold. The Company may hold disbursements to the Seller while an investigation under this Article is pending, and shall release amounts not required to satisfy the Seller's obligations when the investigation closes.
13.6 Appeal. The Seller may appeal a measure under this Article by written notice to legal@aapawz.com within thirty (30) days of the measure, stating the grounds and attaching the records relied on. The appeal is decided by a person who did not make the original decision. The Company's decision on appeal is final. A measure remains in effect during an appeal unless the Company directs otherwise in writing.
13.7 No waiver by delay. The Company's delay in acting on a violation is not a waiver of the violation or of any later violation of the same kind.
Article 14: Term and Termination
14.1 Term. This document takes effect when the Seller accepts it and continues until terminated under this Article.
14.2 Termination by the Company. The Company may terminate this document and the Account on thirty (30) days' written notice for any reason, and immediately on written notice if the Seller materially breaches this document, engages in fraud, or becomes ineligible to participate.
14.3 Termination by the Seller. The Seller may terminate this document on thirty (30) days' written notice to support@aapawz.com, provided the Seller has no Order, booking, or investigation outstanding.
14.4 Effect of termination. On termination: (a) the rights granted under this document end; (b) obligations that arose before termination: including payment, refund, chargeback, record-keeping, and indemnification obligations: survive until satisfied; and (c) the Company shall disburse amounts owed, less amounts the Company may set off under this document, within thirty (30) days, except amounts held in connection with an open investigation or dispute.
14.5 Survival. The Definitions, Fees (for accrued amounts), Liability, Indemnification, Enforcement and Appeals (for measures taken before termination), Dispute Resolution, and General Provisions Articles survive termination.
Article 15: Dispute Resolution
15.1 Any dispute arising out of or relating to this document, or to the relationship it governs, is governed by the Dispute Resolution Policy, which is incorporated into this document by reference.
Article 16: General Provisions
16.1 Amendments. The Company may amend this document by posting the amended document in the Document Center and giving notice to the Seller at the email address in the Account. An amendment that materially increases the Seller's fees or obligations takes effect thirty (30) days after notice; other amendments take effect on posting. Continued use of the Platform after the effective date of an amendment is acceptance of it. If the Seller does not accept an amendment, the Seller's remedy is to terminate under Article 14 before the amendment takes effect.
16.2 Notices. (a) Legal notices under this document shall be sent to legal@aapawz.com. Operational notices and all other communications shall be sent to support@aapawz.com. A notice to the Company is effective when the Company acknowledges receipt or, for email, one business day after sending, whichever is earlier. (b) Notices to the Seller are effective when sent to the email address in the Account or posted to the Account's notice facility in the portal, whichever occurs first. The Seller shall keep the email address in the Account current. (c) DMCA notices are given as provided in the DMCA and Copyright Policy, to the designated agent at legal@aapawz.com.
16.3 Governing law. This document is governed by the laws of the State of Tennessee, without regard to its conflict-of-laws rules. Subject to the Dispute Resolution Policy, any proceeding arising out of this document shall be brought in the state or federal courts located in Shelby County, Tennessee, and the parties consent to personal jurisdiction there.
16.4 Severability. If any provision of this document is held unenforceable, the provision shall be enforced to the fullest extent permitted, and the remaining provisions continue in full effect.
16.5 Entire agreement. This document, together with the documents it incorporates by reference, is the entire agreement between the Company and the Seller for the subject it governs and supersedes every prior or contemporaneous statement, communication, or agreement on that subject, whether written or oral.
16.6 Assignment. The Seller shall not assign this document or any right or obligation under it without the Company's prior written consent, and an assignment without consent is void. The Company may assign this document to an affiliate or in connection with a sale of all or part of its business, on notice to the Seller.
16.7 Waiver. A waiver of any provision of this document is effective only in writing and only for the instance stated. No waiver is a waiver of any other provision or instance.
16.8 Interpretation. Headings are for convenience only. "Including" means "including without limitation." This document shall not be construed against a party as its drafter. The English-language text controls over any translation.
