Buyer Terms of Use

Effective Date: October 15, 2026 Version: 1.0 Applies to: All Buyers who purchase Products or Services through the Platform.

Article 1: Introduction and Scope

1.1 This document states the terms that bind a Buyer in every purchase through the Platform: the party with whom the Buyer contracts, the duties the Buyer bears, and the documents that govern each part of a transaction. This document is the master document for the Buyer relationship.

1.2 The Terms of Use state the platform rule for every User of the Platform; this document states the Buyer's rights and obligations under the same rules and incorporates the Terms of Use by reference.

1.3 The Buyer accepts this document by registering an Account, by placing an Order, or by using a Buyer feature of the Platform. No separate signature is required.

1.4 If a provision of this document conflicts with the Terms of Use, this document controls for the subject it governs. If a provision of this document conflicts with the terms of a program in which the Buyer participates, the program terms control for that program. Policies and help pages explain this document; they do not amend it, and in any conflict this document prevails.

Article 2: Definitions

2.1 The definitions in the Terms of Use are incorporated into this document by reference and apply to this document. This article defines only the additional terms used in this document, in alphabetical order.

2.2 Delivery Promise: the delivery date or range stated at checkout for an Order.

2.3 First-Party Sale: a sale of Products identified on the listing and the Order confirmation as "Sold by Pawz Shop," in which the Company is the seller.

2.4 Third-Party Sale: a sale of Products identified on the listing and the Order confirmation as "Sold by" followed by the name of a Seller, in which that Seller is the seller.

Article 3: Eligibility

3.1 The Buyer shall be at least eighteen (18) years of age and legally capable of entering a binding contract. An Order placed by a person who does not meet this requirement is voidable, and the Company may cancel the Order and refund amounts paid for it.

3.2 The Buyer shall provide complete and accurate registration information and shall keep that information current, as required by the Buyer Accounts document. The Buyer bears the consequences of an undeliverable delivery address or an unreachable email address stated in the Account.

3.3 The Buyer shall comply with applicable law in connection with each purchase, including the law of the jurisdiction in which a Product is received and possessed. Prescription Products, pesticide Products, and live animals are subject to purchase and possession rules that vary by jurisdiction; the purchase of a restricted Product for possession in a jurisdiction that prohibits that possession is a violation by the Buyer.

Article 4: The Buyer Relationship

4.1 The Platform is a marketplace. Products are sold by the Company in a First-Party Sale and by independent Sellers in a Third-Party Sale. The listing and the Order confirmation state which sale applies, and the Buyer shall determine the seller from that statement before completing checkout.

4.2 In a First-Party Sale, the contract of sale is between the Buyer and the Company. The Company bears the seller's duties for the Products, including conformity of the Products to the listing, fulfillment, and the return and refund duties stated in the Returns and Refunds Policy.

4.3 In a Third-Party Sale, the contract of sale is between the Buyer and the Seller named on the listing. The Seller bears the seller's duties for the Products, including conformity of the Products to the listing and fulfillment. The Company provides the Platform, collects payment as provided in clause 4.4, and enforces the policies of the Platform; the Company is not the seller of the Seller's Products and does not assume the Seller's duties except as stated in the Buyer Protection Program.

4.4 In a Third-Party Sale, the Buyer shall pay the purchase price to the Company, which collects the payment as the Seller's limited payment collection agent under the Selling Terms of Service. The Buyer's obligation to pay the Seller the purchase price is fully satisfied and extinguished when the Company receives the Buyer's funds. From that receipt, the Buyer owes the Seller no further amount for that Order, and the Buyer shall seek any refund of collected funds from the Company under the Returns and Refunds Policy and the Buyer Returns and Refunds Policy.

4.5 The appointment of the Company as limited payment collection agent, including the disbursement, hold, reserve, and recovery rights that secure a refund owed to the Buyer, is stated in the Selling Terms of Service. The Buyer is a beneficiary of those rights to the extent they secure a refund owed to the Buyer.

4.6 Title to Products and risk of loss pass as stated in the Order Formation and Acceptance Policy and the Shipping and Delivery Policy. Loss or damage in transit before delivery is not borne by the Buyer.

Article 5: Orders, Payment, Delivery, and Returns

5.1 Order formation and acceptance are governed by the Order Formation and Acceptance Policy, which the Buyer incorporates by reference; the Buyer Order and Payment Terms state how the Buyer places, pays for, cancels, and receives an Order under that policy.

5.2 Payment is governed by the Payment Terms, which the Buyer incorporates by reference. The total stated at checkout, itemized as product subtotal, shipping, and sales tax before authorization, is the maximum amount the Company may charge for the Order without the Buyer's further consent. Sales tax on a purchase through the Platform is collected and remitted as stated in the Marketplace Facilitator Tax Policy; the Buyer shall not compute or remit sales tax on a Platform purchase separately.

5.3 Returns and refunds are governed by the Returns and Refunds Policy, which the Buyer incorporates by reference; the Buyer Returns and Refunds Policy states how the Buyer initiates a return, the condition and packaging duties the Buyer bears, and the timing of a refund to the original payment method.

5.4 The Buyer shall retain the Order confirmation for each Order. The confirmation and the listing as it appeared at the time of the Order are the record of the price, the Products, the seller, and the Delivery Promise agreed for that Order.

Article 6: Buyer Duties and Prohibited Conduct

6.1 The Buyer shall not engage in any of the following conduct (a) payment fraud, including use of a payment instrument without authorization, and chargeback abuse as defined in clause 6.3;

(b) return or refund fraud, including use of a Product with the intention of returning it, return of a Product other than the Product purchased, a claim that a delivered parcel was empty, and a pattern of refund claims made in bad faith;

(c) review manipulation or extortion prohibited by the Buyer Reviews Policy;

(d) creation or use of more than one Account to evade a measure under this document, to obtain a promotion more than once, to manipulate a review, or to circumvent a purchase limit;

(e) use of a bot, a scraper, or an automated purchasing tool against the Platform, except through an interface the Company expressly offers for that use;

(f) interference with another Buyer's or a Seller's use of the Platform, including harassment or a threat in a communication with a Seller;

(g) purchase of Products for resale in violation of applicable law or of a restriction stated on the listing; and

(h) a false statement to the Company in registration, in a return, in an escalation or dispute, or in an appeal.

6.2 The Buyer shall pay for every purchase through the checkout provided on the Platform. A payment made outside that checkout, including a payment by wire transfer, gift card, or cash application at the request of a person claiming to be a Seller, is not a payment under this document, is not collected by the Company as agent, and is not covered by the Returns and Refunds Policy or the Buyer Protection Program. The Buyer shall report a solicitation of an off-Platform payment to support@aapawz.com.

6.3 The Buyer shall pursue a disagreement over an Order through the Buyer Dispute and Escalation Policy before filing a chargeback with the payment issuer. A chargeback is governed by the Chargeback Policy. Filing a chargeback suspends the escalation for that Order while the card network process is pending. Filing a chargeback after receiving a refund for the same Order, filing a chargeback to avoid an adverse determination, or a pattern of chargebacks inconsistent with genuine disputes is chargeback abuse. If a chargeback and a refund both result in payment to the Buyer for the same amount, the Buyer shall repay the duplicate amount to the Company on demand.

6.4 The Buyer shall not comply with a communication that impersonates the Company or a Seller. The Company does not request a Buyer's password, full payment card number, or payment to a personal account by message. The Buyer shall report a suspected impersonation, with the message preserved, to support@aapawz.com.

6.5 A substitution of Products requires the Buyer's affirmative agreement before shipment. A Product delivered in place of the Product described in the listing without that agreement is not as described, and the Buyer may return it under the Buyer Returns and Refunds Policy with return shipping borne by the seller.

Article 7: Privacy and Communications

7.1 Personal information of the Buyer is collected, used, and retained as stated in the Privacy Policy, which governs the Buyer's information.

7.2 Transactional communications, including an Order confirmation, a shipping notification, and a return or dispute update, are necessary to the operation of the Account and are sent without a separate consent. Marketing email and marketing text messages each require the Buyer's express consent, recorded in the Account and managed as stated in the Buyer Accounts document, the Electronic Communications Consent, and the Text Message Program Terms. The Buyer may withdraw marketing consent at any time; withdrawal takes effect within ten (10) business days and does not affect transactional communications.

Article 8: Liability

8.1 To the fullest extent permitted by law, neither party is liable to the other for indirect, incidental, special, punitive, or consequential damages, or for lost profits, lost revenue, or loss of goodwill, arising out of or relating to this document, even if the party has been advised of the possibility of those damages.

8.2 To the fullest extent permitted by law, the Company's total liability arising out of or relating to this document shall not exceed the greater of (a) the amounts the Buyer paid for the Order giving rise to the claim, or (b) one hundred dollars ($100).

8.3 This article does not limit (a) a party's indemnification obligations under this document; (b) liability for fraud or willful misconduct; (c) amounts the Buyer owes for Orders, fees, chargebacks, or refunds under this document; or (d) liability that cannot be limited under applicable law.

8.4 The parties agree that this article allocates risk between them, that it is an essential part of the basis of their bargain, and that it applies even if a limited remedy fails of its essential purpose.

Article 9: Indemnification

9.1 The Buyer shall indemnify, defend, and hold harmless the Company and its members, managers, employees, and agents from and against every claim, demand, action, loss, liability, judgment, settlement, cost, and expense (including reasonable attorneys' fees) arising out of or relating to: (a) the Buyer's breach of this document; (b) the Buyer's User Content; (c) the Buyer's misuse of the Platform; and (d) the Buyer's violation of any law or of the rights of any person.

9.2 The Company shall give prompt written notice of a claim under this article. The Buyer shall control the defense with counsel reasonably acceptable to the Company. The Company may participate in the defense at its own expense. The Buyer shall not settle a claim in a manner that imposes any obligation or restriction on the Company, or that does not release the Company fully, without the Company's prior written consent.

9.3 This article survives the termination of this document.

Article 10: Enforcement and Appeals

10.1 The Company may investigate any suspected violation of this document. The Buyer shall cooperate with an investigation and shall produce the records this document requires the Buyer to keep.

10.2 If the Company determines that the Buyer has violated this document, the Company shall give written notice stating the provision violated and the facts relied on, except where notice would compromise an investigation of fraud, a safety risk, or a legal obligation.

10.3 Where a violation is capable of cure, the Buyer has ten (10) business days from notice to cure it and to confirm the cure in writing. No cure period applies to fraud, counterfeiting, a risk to the safety of a person or an animal, unlawful conduct, or a violation that by its nature cannot be cured.

10.4 If a violation is established and is not cured within the period allowed, the Company may, proportionate to the violation: (a) issue a written warning; (b) remove or suppress the Buyer's User Content; (c) cancel an Order or a booking; (d) suspend the Account or a program participation, in whole or in part; (e) terminate this document and the Account; and (f) exercise any other right or remedy available under this document or at law. Suspension, termination, and closure of a Buyer Account are governed by the Buyer Account Policy.

10.5 The Buyer may appeal a measure under this article by written notice to legal@aapawz.com within thirty (30) days of the measure, stating the grounds and attaching the records relied on. The appeal is decided by a person who did not make the original decision. The Company's decision on appeal is final. A measure remains in effect during an appeal unless the Company directs otherwise in writing.

10.6 The Company's delay in acting on a violation is not a waiver of the violation or of any later violation of the same kind.

Article 11: Term and Termination

11.1 This document takes effect when the Buyer registers an Account or first places an Order, whichever occurs first, and continues until terminated under this article.

11.2 The Company may terminate this document and the Account on thirty (30) days' written notice for any reason, and immediately on written notice if the Buyer materially breaches this document, engages in fraud, or becomes ineligible to participate.

11.3 The Buyer may terminate this document on thirty (30) days' written notice to support@aapawz.com, provided the Buyer has no Order, booking, or investigation outstanding.

11.4 On termination: (a) the rights granted under this document end; (b) obligations that arose before termination: including payment, refund, chargeback, record-keeping, and indemnification obligations: survive until satisfied; and (c) the Company shall disburse amounts owed, less amounts the Company may set off under this document, within thirty (30) days, except amounts held in connection with an open investigation or dispute.

11.5 The Definitions, Liability, Indemnification, Enforcement and Appeals (for measures taken before termination), Dispute Resolution, and General Provisions articles survive termination.

Article 12: Dispute Resolution

12.1 Any dispute arising out of or relating to this document, or to the relationship it governs, is governed by the Dispute Resolution Policy, which is incorporated into this document by reference. The service escalation stated in the Buyer Dispute and Escalation Policy is not a legal proceeding and does not replace this article.

Article 13: General Provisions

13.1 The Company may amend this document by posting the amended document in the Document Center and giving notice to the Buyer at the email address in the Account. An amendment that materially increases the Buyer's fees or obligations takes effect thirty (30) days after notice; other amendments take effect on posting. Continued use of the Platform after the effective date of an amendment is acceptance of it. If the Buyer does not accept an amendment, the Buyer's remedy is to terminate under the Term and Termination article before the amendment takes effect.

13.2 Legal notices under this document shall be sent to legal@aapawz.com. Operational notices and all other communications shall be sent to support@aapawz.com. A notice to the Company is effective when the Company acknowledges receipt or, for email, one business day after sending, whichever is earlier. Notices to the Buyer are effective when sent to the email address in the Account or posted to the Account's notice facility in the portal, whichever occurs first. The Buyer shall keep the email address in the Account current. Notices under the DMCA and Copyright Policy are given as provided in that policy, to the designated agent at legal@aapawz.com.

13.3 This document is governed by the laws of the State of Tennessee, without regard to its conflict-of-laws rules. Subject to the Dispute Resolution Policy, any proceeding arising out of this document shall be brought in the state or federal courts located in Shelby County, Tennessee, and the parties consent to personal jurisdiction there.

13.4 If any provision of this document is held unenforceable, the provision shall be enforced to the fullest extent permitted, and the remaining provisions continue in full effect.

13.5 This document, together with the documents it incorporates by reference, is the entire agreement between the Company and the Buyer for the subject it governs and supersedes every prior or contemporaneous statement, communication, or agreement on that subject, whether written or oral.

13.6 The Buyer shall not assign this document or any right or obligation under it without the Company's prior written consent, and an assignment without consent is void. The Company may assign this document to an affiliate or in connection with a sale of all or part of its business, on notice to the Buyer.

13.7 A waiver of any provision of this document is effective only in writing and only for the instance stated. No waiver is a waiver of any other provision or instance.

13.8 Headings are for convenience only. "Including" means "including without limitation." This document shall not be construed against a party on the ground that the party prepared this document. The English-language text controls over any translation.
