Conditions of Use

Effective Date: October 15, 2026 Version: 1.0 Applies to: All Users of the Site and the Platform.

Article 1: Introduction and Scope

1.1 This document states the conditions that apply to use of the Site and the Platform as a place of commerce: use of the Site, the licences the Company grants and receives, electronic communications, product descriptions, listings and businesses of third parties, and disclaimers concerning the Site.

1.2 This document does not restate the Terms of Use. The Terms of Use is the master agreement for use of the Platform and governs formation of the parties' agreement, Account obligations in full, and every subject that document states. This document addresses the subjects in its scope clause only; where a subject is governed by both documents, the cross-reference in this document identifies the governing text, and the text of the governing document shall be applied, not a summary of that text.

1.3 If a provision of this document conflicts with the Terms of Use, the Terms of Use controls, except that for a subject this document governs in full: Site licences in Article 4 and product descriptions in Article 6: this document controls for that subject. If a provision of this document conflicts with the terms of a program in which the User participates, the program terms control for that program. Policies and help pages explain this document; they do not amend it, and in any conflict this document prevails over such an explanation.

Article 2: Definitions

2.1 Account: the account a person or business establishes with the Company to use the Platform.

2.2 Buyer: a person who purchases Products or Services through the Platform.

2.3 Company: All About Pawz, LLC, a Tennessee limited liability company.

2.4 Order: a Buyer's purchase of Products or Services through the Platform, accepted in accordance with the Order Formation and Acceptance Policy.

2.5 Platform: the websites, applications, and services the Company operates under the name All About Pawz, including aapawz.com.

2.6 Products: goods offered for sale through the Platform.

2.7 Seller: a person or business the Company has accepted to offer Products or Services through the Platform.

2.8 Services: services offered through the Platform, including grooming, veterinary, pharmacy, and fulfillment services, as applicable.

2.9 Site: aapawz.com and its subdomains.

2.10 User: any person who accesses or uses the Platform, whether or not the person holds an Account.

2.11 User Content: content a User submits to the Platform, including listings, reviews, photographs, and messages.

Article 3: Use of the Site

3.1 A User shall use the Site lawfully and for the purposes the Site provides: the marketplace for buying and selling pet Products and Services, each portal for the participants that portal names, and each integration for the purpose that integration authorizes. Use of any part of the Platform for another purpose: including unsolicited bulk communications, collection of data about other Users, competitive data harvesting, and harassment: violates this document and the Acceptable Use Policy.

3.2 A User shall keep Account information accurate and current, as governed in full by the Account Registration and Security Policy. Inaccurate information that causes a failed delivery, a misdirected payment, or a failed verification is the responsibility of the User who supplied that information.

3.3 A User shall not manipulate the transaction process. Prohibited conduct includes manipulation of checkout, reviews, rankings, or search results; interference with another User's transaction; submission of a review that is not about the Product reviewed or that is retaliatory rather than evaluative, as governed by the User Content and Reviews Policy; purchase of a competitor's inventory to cause a stock shortage; and submission of misleading answers in a product question facility.

3.4 Buyer–Seller messaging through the Platform is provided to complete a transaction: to confirm the correct Product, quantity, and delivery address. Messaging shall not be used as a marketing channel, to solicit payment outside the Platform, or for abuse of another User. Solicitation of off-Platform payment in Platform messaging is circumvention of the Platform's payment terms and is a violation of this document.

3.5 A User who enrols in a program: including a subscription under the Reship Subscription Terms, the loyalty program under the Loyalty Program Terms, a Promotion under the Promotional Offers Terms, and gift cards under the Gift Card Terms: agrees to that program's terms by enrolment. The program terms are stated where enrolment occurs. Ambiguity in a program's terms is resolved as that program's document provides.

3.6 Remedies and benefits provided by the Platform: returns, disputes, appeals, reviews, and promotions: shall be used for the purposes for which each is provided. Use of a remedy as leverage for an unrelated demand, including a threat to submit a negative review unless a refund outside the Returns and Refunds Policy is given, is a violation of this document by either party to the transaction.

3.7 A User shall protect Account credentials and shall report suspected compromise promptly, as governed by the Account Registration and Security Policy. Activity under an Account before a compromise is reported is the Account holder's activity for enforcement purposes, subject to the investigation provisions of Article 9.

Article 4: Licences

4.1 Licence to use the Site. Subject to this document and the Terms of Use, the Company grants the User a limited, non-exclusive, non-transferable, revocable licence to access and use the Site and the Platform for personal use, or for the internal business use of the business that holds the Account, in each case for the purposes stated in Article 3.

4.2 Except as clause 4.1 permits, a User shall not: copy, reproduce, or distribute Site content; modify or create works derived from the Site or its content; use automated means to access the Site except as the Platform expressly permits for an authorized integration; frame or mirror any part of the Site; or remove a copyright, trademark, or other proprietary notice. Rights in the Site and in Company content are governed in full by the Intellectual Property Policy and the Trademark and Brand Protection Policy.

4.3 Licence in User Content. By submitting User Content, the User grants the Company the licence stated in the User Content and Reviews Policy and in the Intellectual Property Policy for that content. This document does not enlarge or reduce that licence.

4.4 A licence granted under this Article ends on termination of the Account or of this document, except for content the Company is entitled to retain under the governing content document.

Article 5: Electronic Communications

5.1 Electronic communications between the Company and a User, consent to electronic delivery, and the records to which that consent applies are governed by the Electronic Communications Consent, which is incorporated into this document by reference for that subject. Transactional communications concerning an Order are also governed by the Marketing Communications Policy and the Text Message Program Terms where those documents apply to the channel used.

5.2 A User who communicates with the Company electronically agrees to receive communications electronically as Electronic Communications Consent provides. No provision of this Article creates a separate consent or a separate withdrawal right beyond those stated in Electronic Communications Consent.

Article 6: Product Descriptions and Pricing

6.1 Product descriptions, the accuracy duties that attach to a listing, and the limits on reliance on a description are governed by the Product Information Disclaimer, which states who is responsible for a listing's content for first-party and third-party listings respectively.

6.2 The Company and each Seller aim to state product information accurately. Where a description is inaccurate in a material respect, the Product is not as described for the purposes of the Returns and Refunds Policy, and the remedy stated there applies. No provision of this document makes an inaccurate description accurate, or removes a return right that Returns and Refunds Policy grants.

6.3 Pricing, availability, and errors are governed by the Pricing, Availability and Errors Policy. That policy states when an Order affected by an error may be declined or cancelled and the refund that follows.

Article 7: Other Businesses and Third-Party Sellers

7.1 Products on the Platform are sold either by the Company, identified as "Sold by Pawz Shop," or by a Seller, identified as "Sold by {Seller name}." The identity of the seller for a Product is stated on the product page and on the Order confirmation, as governed by the Order Formation and Acceptance Policy.

7.2 The Company is not the seller of a Seller's Products, is not a party to the contract of sale for such Products, and does not assume the Seller's obligations for such Products, except for the obligations the Company expressly assumes in the Payment Terms as collection agent, in the Returns and Refunds Policy, and in the Buyer Protection Program.

7.3 A Seller is responsible for that Seller's listings, Products, fulfilment, and legal compliance, as governed by the Selling Terms of Service. A link from the Site to a third party's site or service is provided for convenience; the Company does not endorse the third party and is not responsible for that party's content, products, or practices, except where a service is incorporated into the Platform under the Stripe Services Terms or the Shippo Terms, in which case those documents state the relationship.

7.4 A dispute between a Buyer and a Seller concerning a Product is resolved as the Dispute Resolution Policy and, where applicable, the Buyer Protection Program provide. Article 9 governs action the Company takes on a User's own violation of this document; Article 9 is not the procedure for a Buyer–Seller transaction dispute.

Article 8: Disclaimers Concerning the Site

8.1 Except as a document of the Company expressly states for a specific Product, Service, or program, the Site and the Platform are provided as available. The Company does not warrant uninterrupted or error-free operation of the Site, and a period of unavailability does not extend a deadline that another governing document fixes by calendar date, except where that document expressly so provides.

8.2 A disclaimer in this Article does not disclaim: (a) a warranty the Warranty Policy states; (b) a return right the Returns and Refunds Policy states; (c) liability that cannot be disclaimed under applicable law; or (d) a representation the Company makes in writing for a specific transaction.

8.3 Information on the Site concerning pet care, nutrition, and product use is general information. Such information is not veterinary advice, and reliance on such information does not create a veterinarian-client-patient relationship, as further stated in the Tele-Triage Terms.

Article 9: Liability

9.1 Exclusion of certain damages. To the fullest extent permitted by law, neither party is liable to the other for indirect, incidental, special, punitive, or consequential damages, or for lost profits, lost revenue, or loss of goodwill, arising out of or relating to this document, even if the party has been advised of the possibility of those damages.

9.2 Cap. To the fullest extent permitted by law, the Company's total liability arising out of or relating to this document shall not exceed the greater of (a) the amounts the User paid to the Company under this document in the twelve months before the event giving rise to the claim, or, where the claim arises from an Order, the amounts the Buyer paid for that Order, or (b) one hundred dollars ($100).

9.3 Carve-outs. This Article does not limit (a) a party's indemnification obligations under this document; (b) liability for fraud or willful misconduct; (c) amounts owed for Orders, fees, chargebacks, or refunds under this document or another governing document; or (d) liability that cannot be limited under applicable law.

9.4 Essential purpose. The parties agree that this Article allocates risk between them, that it is an essential part of the basis of their bargain, and that it applies even if a limited remedy fails of its essential purpose.

Article 10: Indemnification

10.1 Duty. The User shall indemnify, defend, and hold harmless the Company and its members, managers, employees, and agents from and against every claim, demand, action, loss, liability, judgment, settlement, cost, and expense (including reasonable attorneys' fees) arising out of or relating to: (a) the User's breach of this document; (b) the User's User Content; (c) the User's violation of any law or of the rights of any person; and (d) taxes for which the User is responsible under a governing document.

10.2 Procedure. The Company shall give prompt written notice of a claim under this Article. The User shall control the defense with counsel reasonably acceptable to the Company. The Company may participate in the defense at its own expense. The User shall not settle a claim in a manner that imposes any obligation or restriction on the Company, or that does not release the Company fully, without the Company's prior written consent.

10.3 Survival. This Article survives the termination of this document.

Article 11: Enforcement and Appeals

11.1 Investigation. The Company may investigate any suspected violation of this document. The User shall cooperate with an investigation and shall produce the records this document requires the User to keep.

11.2 Notice. If the Company determines that the User has violated this document, the Company shall give written notice stating the provision violated and the facts relied on, except where notice would compromise an investigation of fraud, a safety risk, or a legal obligation. A minor, first-time failure that is promptly corrected on notice: including outdated Account information corrected at checkout and a duplicate Account closed on notice: is handled by notice and correction and is not recorded as a violation, unless the failure is repeated after notice or was not made in good faith.

11.3 Opportunity to cure. Where a violation is capable of cure, the User has ten (10) business days from notice to cure it and to confirm the cure in writing. No cure period applies to fraud, counterfeiting, a risk to the safety of a person or an animal, unlawful conduct, or a violation that by its nature cannot be cured.

11.4 Measures. If a violation is established and is not cured within the period allowed, the Company may, proportionate to the violation: (a) issue a written warning; (b) remove or suppress a listing or content; (c) cancel an Order or a booking; (d) suspend the Account, in whole or in part; (e) terminate this document and the Account; and (f) exercise any other right or remedy available under this document or at law.

11.5 Appeal. The User may appeal a measure under this Article by written notice to legal@aapawz.com within thirty (30) days of the measure, stating the grounds and attaching the records relied on. The appeal is decided by a person who did not make the original decision. The Company's decision on appeal is final. A measure remains in effect during an appeal unless the Company directs otherwise in writing.

11.6 No waiver by delay. The Company's delay in acting on a violation is not a waiver of the violation or of any later violation of the same kind.

11.7 Summaries at the point of action. Operative rules may be summarized where a User acts: listing rules in the listing process, review rules in the review process, messaging rules in the messaging facility, and promotion rules at a promotion. Such a summary does not amend this document or the document summarized; in any conflict, the governing document controls, and a discrepancy between a summary and the governing document may be reported to support@aapawz.com so the summary can be corrected.

Article 12: Term and Termination

12.1 Term. This document takes effect when the User first accesses the Site and continues until terminated under this Article.

12.2 Termination by the Company. The Company may terminate this document and the Account on thirty (30) days' written notice for any reason, and immediately on written notice if the User materially breaches this document, engages in fraud, or becomes ineligible to participate.

12.3 Termination by the User. The User may terminate this document on thirty (30) days' written notice to support@aapawz.com, provided the User has no Order, booking, or investigation outstanding. A User may cease using the Site at any time without notice.

12.4 Effect of termination. On termination: (a) the rights and licences granted under this document end; (b) obligations that arose before termination: including payment, refund, record-keeping, and indemnification obligations: survive until satisfied; and (c) the Company shall disburse amounts owed, less amounts the Company may set off under this document or another governing document, within thirty (30) days, except amounts held in connection with an open investigation or dispute.

12.5 Survival. The Definitions, Liability, Indemnification, Enforcement and Appeals (for measures taken before termination), Dispute Resolution, and General Provisions Articles survive termination.

Article 13: Dispute Resolution

13.1 Any dispute arising out of or relating to this document, or to the relationship it governs, is governed by the Dispute Resolution Policy, which is incorporated into this document by reference.

Article 14: General Provisions

14.1 Amendments. The Company may amend this document by posting the amended document in the Document Center and giving notice to Users at the email address in the Account. An amendment that materially increases a User's obligations takes effect thirty (30) days after notice; other amendments take effect on posting. Changes required by law or by a safety risk may take effect on posting, with notice given as soon as practicable after the change. Continued use of the Site after the effective date of an amendment is acceptance of it. If a User does not accept an amendment, the User's remedy is to terminate under Article 12 before the amendment takes effect.

14.2 Notices. (a) Legal notices under this document shall be sent to legal@aapawz.com. Operational notices and all other communications shall be sent to support@aapawz.com. A notice to the Company is effective when the Company acknowledges receipt or, for email, one business day after sending, whichever is earlier. (b) Notices to a User are effective when sent to the email address in the Account or posted to the Account's notice facility in the portal, whichever occurs first. Each User shall keep the email address in the Account current. (c) DMCA notices are given as provided in the DMCA and Copyright Policy, to the designated agent at legal@aapawz.com.

14.3 Governing law. This document is governed by the laws of the State of Tennessee, without regard to its conflict-of-laws rules. Subject to the Dispute Resolution Policy, any proceeding arising out of this document shall be brought in the state or federal courts located in Shelby County, Tennessee, and the parties consent to personal jurisdiction there.

14.4 Severability. If any provision of this document is held unenforceable, the provision shall be enforced to the fullest extent permitted, and the remaining provisions continue in full effect.

14.5 Entire agreement. This document, together with the Terms of Use and the documents each incorporates by reference, is the entire agreement between the Company and the User for the subject it governs and supersedes every prior or contemporaneous statement, communication, or agreement on that subject, whether written or oral.

14.6 Assignment. A User shall not assign this document or any right or obligation under it without the Company's prior written consent, and an assignment without consent is void. The Company may assign this document to an affiliate or in connection with a sale of all or part of its business, on notice to Users.

14.7 Waiver. A waiver of any provision of this document is effective only in writing and only for the instance stated. No waiver is a waiver of any other provision or instance.

14.8 Interpretation. Headings are for convenience only. "Including" means "including without limitation." This document shall not be construed against a party as its drafter. The English-language text controls over any translation.
