Manufacturer Regulatory Compliance Policy

Effective Date: October 15, 2026 Version: 1.0 Applies to: All Manufacturers that supply Products for offer through the Platform, whether the Manufacturer sells directly or supplies Sellers.

Article 1: Introduction and Scope

1.1 This Policy states the regulatory compliance duties of a Manufacturer for every Product the Manufacturer supplies for offer through the Platform. The Manufacturer bears the duty to ensure that each Product is lawful to sell before the Product reaches a listing. A listing check by the Company verifies compliance; the check does not create compliance and does not transfer the duty to the Company.

1.2 Applicable law controls over this Policy in every case. This Policy states the duties the law imposes as obligations of the Manufacturer under the Company's program. This Policy does not interpret the law for the Manufacturer and does not substitute for the Manufacturer's own regulatory counsel.

1.3 Products supplied by a Manufacturer and sold by the Company are "Sold by Pawz Shop." Products sold by a Seller are "Sold by {Seller name}." In each case the Manufacturer bears the duties in this Policy for the Products the Manufacturer manufactures, regardless of the identity of the seller of record. If a provision of this Policy conflicts with the Terms of Use, this Policy controls for the subject it governs. If a provision of this Policy conflicts with the terms of a program in which the Manufacturer participates, the program terms control for that program.

Article 2: Definitions

2.1 Account: the account a person or business establishes with the Company to use the Platform.

2.2 Buyer: a person who purchases Products or Services through the Platform.

2.3 Company: All About Pawz, LLC, a Tennessee limited liability company.

2.4 Manufacturer: a person or business that manufactures Products supplied for offer through the Platform, including a contract manufacturer identified under the Private Label & White Label Policy.

2.5 Order: a Buyer's purchase of Products or Services through the Platform, accepted in accordance with the Order Formation and Acceptance Policy.

2.6 Platform: the websites, applications, and services the Company operates under the name All About Pawz, including aapawz.com.

2.7 Products: goods offered for sale through the Platform.

2.8 Seller: a person or business the Company has accepted to offer Products or Services through the Platform.

2.9 Services: services offered through the Platform, including grooming, veterinary, pharmacy, and fulfillment services, as applicable.

2.10 User: any person who accesses or uses the Platform, whether or not the person holds an Account.

Article 3: General Duty of Lawful Manufacture

3.1 The Manufacturer shall manufacture, label, and supply each Product in compliance with every federal, state, and local law that applies to the Product, including product registration, labeling, safety data, and distribution requirements.

3.2 The Manufacturer shall maintain every registration, license, and authorization required for each Product in every jurisdiction where the Product is offered through the Platform, and shall keep each registration current for the entire period the Product is offered.

3.3 The Manufacturer shall provide accurate safety data for each Product, including ingredient statements, guaranteed analysis where required, directions for use, warnings, and safety data sheets where the law requires them. Safety data supplied to the Company shall match the Product as manufactured and as labeled.

3.4 The Manufacturer shall produce evidence of compliance on the Company's demand, including registration certificates, registration numbers, approved labels, and state registration records, within five (5) business days of the demand, and sooner where the Company states that a safety risk or a regulator's inquiry requires earlier production.

3.5 The Manufacturer shall keep complete regulatory records for each Product: registrations, labels as approved, correspondence with regulators, and the evidence supporting every labeling claim: for the period applicable law requires and in no event for less than three (3) years after the Product was last supplied, and shall produce the records under Article 3.4 and Article 9.

Article 4: Pesticide Products

4.1 A Product that makes a pesticidal claim, including a flea, tick, or other pest claim, shall carry a valid registration number issued by the U.S. Environmental Protection Agency under the Federal Insecticide, Fungicide, and Rodenticide Act. The Manufacturer shall supply the registration number and the registered label to the Company. The registration covers the Product as labeled; a claim that the registered label does not carry is an off-label claim and voids the coverage for that claim.

4.2 The Manufacturer shall maintain state pesticide registrations in every state where the Product is shipped through the Platform. Federal registration is the minimum requirement and does not satisfy a state registration requirement. The Manufacturer shall notify the Company of every state in which registration lapses, is denied, or is restricted, under Article 7.

4.3 A Product that makes a pesticidal claim without the registration required by Article 4.1 is prohibited from the Platform entirely. No listing for such a Product is permitted on a pending-registration basis, and no cure period applies to the prohibition.

4.4 A Product described as natural, or by a similar term, that claims to repel or kill pests makes a pesticidal claim for purposes of this Article. A Manufacturer that relies on the minimum-risk exemption under 40 CFR 152.25(f) shall document the basis for the exemption, including the eligibility of each active ingredient, the status of each inert ingredient, and the absence of false, misleading, or public-health claims, and shall produce the documentation under Article 3.4. A statement that a Product is natural is not documentation.

Article 5: Pet Food and Treats

5.1 Pet food and treat labeling shall carry all eight elements required under the model regulations of the Association of American Feed Control Officials: (a) product name; (b) net quantity statement; (c) guaranteed analysis; (d) ingredient statement; (e) nutritional adequacy statement; (f) feeding directions; (g) name and address of the manufacturer or distributor; and (h) calorie content where required. A label that omits any element is non-compliant, and the Company shall not list the Product until the label is corrected.

5.2 The Manufacturer shall maintain state feed registrations where required and shall supply registration evidence on the Company's demand under Article 3.4, identifying each state of registration by name. A general statement of registration in multiple states does not satisfy this Article; the Company requires the state-by-state record because each listing ships to identified states.

5.3 A nutritional adequacy claim, including "complete and balanced" or a claim that a Product is formulated to meet an established nutritional profile, shall be supported by documentation the Manufacturer holds and can produce: feeding trial results or formulation documentation. The claim on the label shall match the substantiation in the Manufacturer's records.

Article 6: Prescription and Controlled Products

6.1 A prescription Product shall be manufactured and labeled for dispensing only under a valid veterinarian-client-patient relationship and applicable pharmacy law, as governed by the Prescription Products Policy. The Manufacturer shall not distribute a prescription Product to a Seller the Manufacturer knows or has reason to know dispenses the Product without a valid prescription.

6.2 A Product containing a controlled substance shall comply with the requirements of the U.S. Drug Enforcement Administration through the entire distribution chain. On the Company's demand, the Manufacturer shall confirm the lawful distribution chain for the Product, identifying each person to whom the Manufacturer sold the Product and each subsequent holder down to the Sellers that offer the Product through the Platform. A controlled-substance Product without a documented chain shall not be listed.

6.3 Recall duties for Products under this Article are governed by the Manufacturer Recall Cooperation Policy and the Product Recall Policy, in addition to this Policy.

Article 7: Notice of Change in Regulatory Status

7.1 The Manufacturer shall notify the Company within ten (10) business days of any of the following: (a) cancellation or suspension of an Environmental Protection Agency registration; (b) an enforcement action by the U.S. Food and Drug Administration, including a warning letter, seizure, or injunction; (c) a state stop-sale or stop-distribution order; or (d) any other event that renders a Product unlawful to sell in any state the Platform serves.

7.2 On notice under Article 7.1, or on the Company's own determination that such an event has occurred, the Company shall suppress every affected listing immediately. Restoration of a listing requires the Manufacturer's evidence that lawful status is restored, including a reinstated registration, a lifted order, or a regulator's close-out communication.

7.3 Failure to give notice within the period stated in Article 7.1 is a separate violation of this Policy, independent of the underlying regulatory event. The notice duty applies even where the Manufacturer appeals or contests the underlying event.

Article 8: Liability

8.1 Exclusion of certain damages. To the fullest extent permitted by law, neither party is liable to the other for indirect, incidental, special, punitive, or consequential damages, or for lost profits, lost revenue, or loss of goodwill, arising out of or relating to this Policy, even if the party has been advised of the possibility of those damages.

8.2 Cap. To the fullest extent permitted by law, the Company's total liability arising out of or relating to this Policy shall not exceed the greater of (a) the amounts the Manufacturer paid to the Company under this Policy in the twelve months before the event giving rise to the claim, or (b) one hundred dollars ($100).

8.3 Carve-outs. This Article does not limit (a) a party's indemnification obligations under this Policy; (b) liability for fraud or willful misconduct; (c) amounts the Manufacturer owes for Orders, fees, chargebacks, or refunds under the Company's documents; or (d) liability that cannot be limited under applicable law.

8.4 Essential purpose. The parties agree that this Article allocates risk between them, that it is an essential part of the basis of their bargain, and that it applies even if a limited remedy fails of its essential purpose.

Article 9: Indemnification

9.1 Duty. The Manufacturer shall indemnify, defend, and hold harmless the Company and its members, managers, employees, and agents from and against every claim, demand, action, loss, liability, judgment, settlement, cost, and expense (including reasonable attorneys' fees) arising out of or relating to: (a) the Manufacturer's breach of this Policy; (b) the Manufacturer's Products, listings, or content, including product liability claims, intellectual property infringement claims, and product recall costs; (c) the Manufacturer's violation of any law or of the rights of any person; and (d) taxes for which the Manufacturer is responsible under the Company's documents.

9.2 Procedure. The Company shall give prompt written notice of a claim under this Article. The Manufacturer shall control the defense with counsel reasonably acceptable to the Company. The Company may participate in the defense at its own expense. The Manufacturer shall not settle a claim in a manner that imposes any obligation or restriction on the Company, or that does not release the Company fully, without the Company's prior written consent.

9.3 Survival. This Article survives the termination of this Policy.

Article 10: Enforcement and Appeals

10.1 Investigation. The Company may investigate any suspected violation of this Policy. The Manufacturer shall cooperate with an investigation and shall produce the records this Policy requires the Manufacturer to keep.

10.2 Notice. If the Company determines that the Manufacturer has violated this Policy, the Company shall give written notice stating the provision violated and the facts relied on, except where notice would compromise an investigation of fraud, a safety risk, or a legal obligation.

10.3 Opportunity to cure. Where a violation is capable of cure, the Manufacturer has ten (10) business days from notice to cure it and to confirm the cure in writing. No cure period applies to fraud, a risk to the safety of a person or an animal, unlawful conduct, the supply of a Product prohibited under Article 4.3, or a violation that by its nature cannot be cured.

10.4 Measures. If a violation is established and is not cured within the period allowed, the Company may, proportionate to the violation: (a) issue a written warning; (b) remove or suppress a listing or content; (c) cancel an Order; (d) suspend the Account or the Manufacturer's supply privileges, in whole or in part, including suspension of the privilege to supply Products for offer through the Platform; (e) terminate this Policy and the Account; and (f) exercise any other right or remedy available under the Company's documents or at law. Supplying a Product that is unlawful to sell is a severe violation and supports immediate suppression of every affected listing and suspension under clause (d).

10.5 Appeal. The Manufacturer may appeal a measure under this Article by written notice to legal@aapawz.com within thirty (30) days of the measure, stating the grounds and attaching the records relied on. The appeal is decided by a person who did not make the original decision. The Company's decision on appeal is final. A measure remains in effect during an appeal unless the Company directs otherwise in writing.

10.6 No waiver by delay. The Company's delay in acting on a violation is not a waiver of the violation or of any later violation of the same kind.

Article 11: Term and Termination

11.1 Term. This Policy takes effect when the Manufacturer is accepted into the manufacturer program and continues until terminated under this Article.

11.2 Termination by the Company. The Company may terminate this Policy and the Account on thirty (30) days' written notice for any reason, and immediately on written notice if the Manufacturer materially breaches this Policy, engages in fraud, or becomes ineligible to participate. Termination of program participation for cause, including sustained regulatory non-compliance, is also governed by the Manufacturer Program Termination Policy.

11.3 Termination by the Manufacturer. The Manufacturer may terminate this Policy on thirty (30) days' written notice to support@aapawz.com, provided the Manufacturer has no Order or investigation outstanding.

11.4 Effect of termination. On termination: (a) the rights granted under this Policy end; (b) obligations that arose before termination: including payment, refund, chargeback, record-keeping, regulatory notice, and indemnification obligations: survive until satisfied; and (c) the Company shall disburse amounts owed, less amounts the Company may set off under the Company's documents, within thirty (30) days, except amounts held in connection with an open investigation or dispute.

11.5 Survival. The Definitions, Liability, Indemnification, Enforcement and Appeals (for measures taken before termination), Dispute Resolution, and General Provisions Articles survive termination.

Article 12: Dispute Resolution

12.1 Any dispute arising out of or relating to this Policy, or to the relationship it governs, is governed by the Dispute Resolution Policy, which is incorporated into this Policy by reference.

Article 13: General Provisions

13.1 Amendments. The Company may amend this Policy by posting the amended Policy in the Document Center and giving notice to the Manufacturer at the email address in the Account. An amendment that materially increases the Manufacturer's fees or obligations takes effect thirty (30) days after notice; other amendments take effect on posting. Continued use of the Platform after the effective date of an amendment is acceptance of it. If the Manufacturer does not accept an amendment, the Manufacturer's remedy is to terminate under Article 11 before the amendment takes effect.

13.2 Notices. Legal notices under this Policy shall be sent to legal@aapawz.com. Operational notices and all other communications shall be sent to support@aapawz.com. A notice to the Company is effective when the Company acknowledges receipt or, for email, one business day after sending, whichever is earlier. Notices to the Manufacturer are effective when sent to the email address in the Account or posted to the Account's notice facility in the portal, whichever occurs first. The Manufacturer shall keep the email address in the Account current.

13.3 Governing law. This Policy is governed by the laws of the State of Tennessee, without regard to its conflict-of-laws rules. Subject to the Dispute Resolution Policy, any proceeding arising out of this Policy shall be brought in the state or federal courts located in Shelby County, Tennessee, and the parties consent to personal jurisdiction there.

13.4 Severability. If any provision of this Policy is held unenforceable, the provision shall be enforced to the fullest extent permitted, and the remaining provisions continue in full effect.

13.5 Entire agreement. This Policy, together with the documents it incorporates by reference, is the entire agreement between the Company and the Manufacturer for the subject it governs and supersedes every prior or contemporaneous statement, communication, or agreement on that subject, whether written or oral.

13.6 Assignment. The Manufacturer shall not assign this Policy or any right or obligation under it without the Company's prior written consent, and an assignment without consent is void. The Company may assign this Policy to an affiliate or in connection with a sale of all or part of its business, on notice to the Manufacturer.

13.7 Waiver. A waiver of any provision of this Policy is effective only in writing and only for the instance stated. No waiver is a waiver of any other provision or instance.

13.8 Interpretation. Headings are for convenience only. "Including" means "including without limitation." This Policy shall not be construed against a party as its drafter. The English-language text controls over any translation.
