Effective Date: October 15, 2026 Version: 1.0 Applies to: All Manufacturers that supply product data for Products offered through the Platform.
Article 1: Introduction and Scope
1.1 This document states the standards for product data a Manufacturer supplies to the Company: the required data elements, the additional elements for regulated categories, the structure of variants, the duty of continuing accuracy and timely notice of change, and the discipline of data delivery. Every listing on the Platform traces to manufacturer data: title, description, images, ingredients, warnings, identifiers: and an error in that data propagates to every Seller's listing for the Product, to a Buyer's decision, and to the Company's obligations. This document places the upstream duty where it belongs: on the Manufacturer, as the source of the data.
1.2 The listing accuracy duties of a Seller are governed by the Listing Accuracy Policy and the Selling Terms of Service. Those duties are the floor for a listing. This document states the standard for the data behind the listing, and does not restate a Seller's duties. A Seller that reproduces inaccurate manufacturer data accurately has complied with the Seller's duty; the inaccuracy is the Manufacturer's, and is dealt with under this document.
1.3 Data supplied under this document describes the Product. It does not state the terms of any Seller's offer, and it does not displace content a Brand has locked under the Brand Listing Control Policy or content a Buyer has supplied, as Article 5 provides.
1.4 If a provision of this document conflicts with the Terms of Use, this document controls for the subject it governs. If a provision of this document conflicts with the terms of a program in which the Manufacturer participates, the program terms control for that program. Policies and help pages explain this document; they do not amend it, and in any conflict this document prevails.
Article 2: Definitions
2.1 Account: the account a person or business establishes with the Company to use the Platform.
2.2 Buyer: a person who purchases Products or Services through the Platform.
2.3 Company: All About Pawz, LLC, a Tennessee limited liability company.
2.4 Data Feed: a delivery of product data by a Manufacturer to the Company, in the format and at the cadence the Company specifies or the parties agree, whether a full refresh of a catalog or a delivery of changed records only.
2.5 Manufacturer: a person or business that manufactures Products supplied for offer through the Platform.
2.6 Platform: the websites, applications, and services the Company operates under the name All About Pawz, including aapawz.com.
2.7 Product Data: the data a Manufacturer supplies for a Product under Article 3, including identifiers, titles, descriptions, imagery, category mapping, quantity, origin, and regulated attributes.
2.8 Product Record: the single record the Company maintains for a branded Product, to which Sellers' offers attach, as governed by the Brand Listing Control Policy.
2.9 Products: goods offered for sale through the Platform.
2.10 Seller: a person or business the Company has accepted to offer Products or Services through the Platform.
2.11 Services: services offered through the Platform, including grooming, veterinary, pharmacy, and fulfillment services, as applicable.
2.12 Variant: a variation of a Product: by size, flavor, count, or color: supplied as a structured variation under the Product's single Product Record rather than as a separate Product.
Article 3: Required Data Elements
3.1 Product Data for every Product shall include, at minimum: (a) the brand, matched to the brand's record in the Brand Registry rather than stated as free text, so that the data identifies the registry entry concerned; (b) a manufacturer product identifier: a GTIN, UPC, or EAN where one exists for the Product, and otherwise the manufacturer's own product code; (c) the full product title and a complete description, sufficient for a Buyer to understand the Product without reference to another source; (d) a category mapping, in which the Manufacturer maps its category for the Product to the Company's category structure rather than supplying an internal code unexplained; (e) imagery that meets the Brand Asset Standards; (f) the net quantity and its unit of measure; and (g) the country of origin.
3.2 The identifier in clause 3.1(b) is the means by which the same Product is recognized as the same Product across Sellers and across deliveries of data. The Manufacturer shall not assign one identifier to two different Products, and shall not change the identifier of a Product without notice under Article 4, because either act creates duplicate or divided records that the Company and Sellers must then reconcile.
3.3 For a regulated category, Product Data shall include in addition, as applicable to the category: (a) the pesticide registration number for a Product that makes a pesticidal claim, as the Manufacturer Regulatory Compliance Policy requires: a Product in that category without a registration number is not listed; (b) for pet food and treats, the complete labeling panel: product name, net quantity statement, guaranteed analysis, ingredient statement, nutritional adequacy statement, feeding directions, the name and address of the manufacturer or distributor, and calorie content where required; (c) the complete ingredient list, in descending order of predominance, as the Product's label states it; (d) the guaranteed analysis values; (e) feeding directions and every warning and caution the label carries; and (f) the expiry and lot conventions the Product carries, stated so that a lot or date code on a unit can be interpreted.
3.4 Variants are structured, not duplicated. The Manufacturer shall supply a Variant as a structured variation under the parent Product. A five-pound bag and a fifteen-pound bag of the same food are Variants of one Product, not two Products. Data that supplies Variants as separate Products creates duplicate records, and the Manufacturer that supplied the data bears the work and the cost of the consolidation the Company performs to correct it, as the governing agreement provides.
3.5 Product Data is incomplete where an element required by this Article is absent, and the Company may decline to list a Product, or may suppress a listing, until the data is complete. The Company shall identify the missing elements when it declines or suppresses under this clause.
Article 4: Accuracy and Notice of Change
4.1 Product Data shall state the Product as currently manufactured: the current formulation, the current packaging, the current included contents, and the current warnings. Data that was accurate for an earlier production run and is inaccurate for current production is inaccurate data for the purposes of this document.
4.2 The Manufacturer shall notify the Company of a change to a Product's formulation, packaging, or labeling within fifteen (15) days of the change, with the updated Product Data and updated imagery. The notice shall state: (a) what changed; (b) the Products and product codes affected; (c) the effective date, being the date the changed Product began to ship; and (d) the means of distinguishing the changed Product from the earlier Product, by lot or date-code range.
4.3 A listing that carries stale Product Data after the period in clause 4.2 has expired without notice is the Manufacturer's responsibility. The Company's duty is to apply the data it is given, when it is given; the Manufacturer shall not attribute to the Company, or to a Seller that reproduced the data, an inaccuracy that arises from the Manufacturer's failure to give notice under this Article.
4.4 Knowingly supplying false Product Data: including an ingredient statement the Manufacturer knows to be wrong, a fabricated certification, misleading imagery, or a claim that the Product does not support, such as a grain-free claim for a Product that contains grain: is a severe violation of this document. An inaccuracy that is inadvertent and is corrected promptly on notice is a data-quality failure, dealt with by correction; an inaccuracy that is knowing, or that is left uncorrected after notice, is dealt with as a misrepresentation, and where intent is established, as fraud under Article 7.
4.5 The Manufacturer shall keep each delivery of Product Data, each notice of change, and the production records that support the data, for three (3) years after the Product was last supplied, and shall produce them in an investigation under Article 7.
Article 5: Data Delivery Discipline
5.1 Product Data is delivered in the format and at the cadence the Company specifies or, where no specification has issued, as agreed with the Company's catalog operations. Each full refresh is versioned, with a delivery number or date that distinguishes it from the preceding refresh, so that a corrupt delivery can be identified and the preceding delivery restored. A delivery of changed records only is applied in a manner that does not duplicate a record when the same delivery is applied twice.
5.2 A Data Feed does not overwrite: (a) a Seller's offer fields: price, quantity available, handling time, and fulfillment details: because manufacturer data describes the Product and not the offer; (b) Buyer-generated content, including reviews and questions and answers, on which a feed has no vote; or (c) a field locked under the Brand Listing Control Policy where the lock was applied after the data was supplied. Where Product Data and a locked field differ, the Company shall notify the Manufacturer of the difference, and the correction channel in that document governs the resolution.
5.3 The Company shall report errors in a Data Feed to the Manufacturer with record-level detail: the records that failed, the fields concerned, and the reason for each failure. A general statement that a delivery contained errors does not satisfy this clause.
5.4 The Manufacturer shall correct and resubmit a delivery that failed validation within five (5) business days of the report under clause 5.3. A delivery that fails validation three (3) consecutive times raises a data-quality review: the Company and the Manufacturer shall address the cause, because three consecutive failures indicate a defect in the Manufacturer's data process rather than in a single record, and further resubmission windows do not cure a process defect.
5.5 During a data-quality review under clause 5.4, the Company may decline new listings for the Manufacturer's Products while continuing to apply corrections to existing listings, so that inaccurate data is not extended to new Products while the cause is addressed.
Article 6: Fees
6.1 A fee is payable under this document only if the fee is stated in the fee schedule or program agreement that governs the Manufacturer's participation. No other charge of any kind is payable, and the Company shall not impose a fee that the governing schedule or agreement does not state. No fee is charged for a Data Feed, a correction, or a notice of change except as that schedule or agreement states.
Article 7: Liability
7.1 Exclusion of certain damages. To the fullest extent permitted by law, neither party is liable to the other for indirect, incidental, special, punitive, or consequential damages, or for lost profits, lost revenue, or loss of goodwill, arising out of or relating to this document, even if the party has been advised of the possibility of those damages.
7.2 Cap. To the fullest extent permitted by law, the Company's total liability arising out of or relating to this document shall not exceed the greater of (a) the amounts the Manufacturer paid to the Company under this document in the twelve months before the event giving rise to the claim, or (b) one hundred dollars ($100).
7.3 Carve-outs. This Article does not limit (a) a party's indemnification obligations under this document; (b) liability for fraud or willful misconduct; (c) amounts the Manufacturer owes for Orders, fees, chargebacks, or refunds under this document; or (d) liability that cannot be limited under applicable law.
7.4 Essential purpose. The parties agree that this Article allocates risk between them, that it is an essential part of the basis of their bargain, and that it applies even if a limited remedy fails of its essential purpose.
Article 8: Indemnification
8.1 Duty. The Manufacturer shall indemnify, defend, and hold harmless the Company and its members, managers, employees, and agents from and against every claim, demand, action, loss, liability, judgment, settlement, cost, and expense (including reasonable attorneys' fees) arising out of or relating to: (a) the Manufacturer's breach of this document; (b) the Manufacturer's Products, listings, or Product Data, including a claim that arises because Product Data was inaccurate, incomplete, or stale, and including product liability claims and product recall costs for the Manufacturer's Products; (c) the Manufacturer's violation of any law or of the rights of any person; and (d) taxes for which the Manufacturer is responsible under this document.
8.2 Procedure. The Company shall give prompt written notice of a claim under this Article. The Manufacturer shall control the defense with counsel reasonably acceptable to the Company. The Company may participate in the defense at its own expense. The Manufacturer shall not settle a claim in a manner that imposes any obligation or restriction on the Company, or that does not release the Company fully, without the Company's prior written consent.
8.3 Survival. This Article survives the termination of this document.
Article 9: Enforcement and Appeals
9.1 Investigation. The Company may investigate any suspected violation of this document. The Manufacturer shall cooperate with an investigation and shall produce the records this document requires the Manufacturer to keep.
9.2 Notice. If the Company determines that the Manufacturer has violated this document, the Company shall give written notice stating the provision violated and the facts relied on, except where notice would compromise an investigation of fraud, a safety risk, or a legal obligation.
9.3 Opportunity to cure. Where a violation is capable of cure, the Manufacturer has ten (10) business days from notice to cure it and to confirm the cure in writing. No cure period applies to fraud, counterfeiting, a risk to the safety of a person or an animal, unlawful conduct, or a violation that by its nature cannot be cured. An inaccurate regulated attribute: an ingredient statement, a warning, or a registration number: presents a regulatory risk, and the affected listing may be suppressed at notice while the cure proceeds.
9.4 Measures. If a violation is established and is not cured within the period allowed, the Company may, proportionate to the violation: (a) issue a written warning; (b) remove or suppress a listing or content; (c) cancel an Order or a booking; (d) suspend the Account or a program participation, in whole or in part, including the privilege of supplying data for new Products; (e) terminate this document and the Account; and (f) exercise any other right or remedy available under this document or at law.
9.5 Appeal. The Manufacturer may appeal a measure under this Article by written notice to legal@aapawz.com within thirty (30) days of the measure, stating the grounds and attaching the records relied on. The appeal is decided by a person who did not make the original decision. The Company's decision on appeal is final. A measure remains in effect during an appeal unless the Company directs otherwise in writing.
9.6 No waiver by delay. The Company's delay in acting on a violation is not a waiver of the violation or of any later violation of the same kind.
Article 10: Term and Termination
10.1 Term. This document takes effect when the Manufacturer first supplies Product Data for offer through the Platform and continues until terminated under this Article.
10.2 Termination by the Company. The Company may terminate this document and the Account on thirty (30) days' written notice for any reason, and immediately on written notice if the Manufacturer materially breaches this document, engages in fraud, or becomes ineligible to participate. Termination of program participation generally is also governed by the Manufacturer Program Termination Policy.
10.3 Termination by the Manufacturer. The Manufacturer may terminate this document on thirty (30) days' written notice to support@aapawz.com, provided the Manufacturer has no Product listed, no data-quality review, and no investigation outstanding.
10.4 Effect of termination. On termination: (a) the rights granted under this document end; (b) obligations that arose before termination: including payment, record-keeping, and indemnification obligations, and the duty to give notice of a change to a Product supplied before termination for so long as units of that Product remain offered: survive until satisfied; and (c) the Company shall disburse amounts owed, less amounts the Company may set off under this document, within thirty (30) days, except amounts held in connection with an open investigation or dispute.
10.5 Survival. The Definitions, Fees (for accrued amounts), Liability, Indemnification, Enforcement and Appeals (for measures taken before termination), Dispute Resolution, and General Provisions Articles survive termination.
Article 11: Dispute Resolution
11.1 Any dispute arising out of or relating to this document, or to the relationship it governs, is governed by the Dispute Resolution Policy, which is incorporated into this document by reference.
Article 12: General Provisions
12.1 Amendments. The Company may amend this document by posting the amended document in the Document Center and giving notice to the Manufacturer at the email address in the Account. An amendment that materially increases the Manufacturer's fees or obligations takes effect thirty (30) days after notice; other amendments take effect on posting. Continued use of the Platform after the effective date of an amendment is acceptance of it. If the Manufacturer does not accept an amendment, the Manufacturer's remedy is to terminate under Article 10 before the amendment takes effect.
12.2 Notices. Legal notices under this document shall be sent to legal@aapawz.com. Operational notices and all other communications shall be sent to support@aapawz.com. A notice to the Company is effective when the Company acknowledges receipt or, for email, one business day after sending, whichever is earlier. Notices to the Manufacturer are effective when sent to the email address in the Account or posted to the Account's notice facility in the portal, whichever occurs first. The Manufacturer shall keep the email address in the Account current.
12.3 Governing law. This document is governed by the laws of the State of Tennessee, without regard to its conflict-of-laws rules. Subject to the Dispute Resolution Policy, any proceeding arising out of this document shall be brought in the state or federal courts located in Shelby County, Tennessee, and the parties consent to personal jurisdiction there.
12.4 Severability. If any provision of this document is held unenforceable, the provision shall be enforced to the fullest extent permitted, and the remaining provisions continue in full effect.
12.5 No third-party beneficiaries. This document is for the benefit of the Company and the Manufacturer only and confers no rights on any other person, except as Article 8 provides for the Company's members, managers, employees, and agents.
12.6 Entire agreement. This document, together with the documents it incorporates by reference, is the entire agreement between the Company and the Manufacturer for the subject it governs and supersedes every prior or contemporaneous statement, communication, or agreement on that subject, whether written or oral.
12.7 Assignment. The Manufacturer shall not assign this document or any right or obligation under it without the Company's prior written consent, and an assignment without consent is void. The Company may assign this document to an affiliate or in connection with a sale of all or part of its business, on notice to the Manufacturer.
12.8 Waiver. A waiver of any provision of this document is effective only in writing and only for the instance stated. No waiver is a waiver of any other provision or instance.
12.9 Interpretation. Headings are for convenience only. "Including" means "including without limitation." This document shall not be construed against a party as its drafter. The English-language text controls over any translation.
